Xxxxxxxx Assets definition

Xxxxxxxx Assets has the meaning set forth in the Recitals, including certain other related assets and properties that are either located on the same parcel of real estate or used in connection therewith, and all contracts, permits, licenses and other intangible rights related to such assets to the extent assignable and to the extent used in connection with the ownership and operation of the assets and properties described above, and those applicable assets which are listed in detail on Exhibit A hereto.

Xxxxxxxx Assets means collectively, (a) the Xxxxxxxx Pipelines, (b) the Xxxxxxxx Refined Products Terminals, (c) the Xxxxxxxx Crude Storage Tanks, (d) the Xxxxxxxx Crude Offloading Racks and (e) the Xxxxxxxx Refined Product Storage Tanks.”

Xxxxxxxx Assets means all of the assets, properties, permits, rights or other privileges (whether contractual or otherwise) owned, leased or otherwise used or held by Xxxxxxxx and its Subsidiaries.

• The Operating Company shall promptly provide TRMC copies of all correspondence between the Operating Company and a governmental authority or third party regarding the Operating Company’s activities with respect to the Xxxxxxxx Assets where the TRMC Remedial Work is to be performed.

• The consent by the Lenders described herein is limited to the Xxxxxxxx Transfer and the Xxxxxxxx Assets and shall not be construed to be a consent to or a permanent waiver of the Section 6.04 of the Credit Agreement or any other terms, provisions, covenants, warranties or agreements contained in any Loan Document.

• TRMC shall not interfere with the Operating Company’s actions taken pursuant to this Section 4.3(c), and shall cooperate with the Operating Company in obtaining any permits, consents or approvals necessary for the Operating Company to perform its actions taken with respect to the Xxxxxxxx Assets.

• However, if the Partnership or the Operating Company is compelled to undertake or pursue TRMC Remedial Work with respect to the Xxxxxxxx Assets, or threatened with penalties or other adverse consequences (including damages, litigation, indemnification obligations, attorneys’ fees, etc.), then the Operating Company shall have the right and authority, but not the obligation, to conduct the TRMC Remedial Work with respect to the Xxxxxxxx Assets at TRMC’s sole expense.

• Subject to the terms hereof, the Lenders hereby (a) consent to the Xxxxxxxx Transfer pursuant to the PSA, and (b) consent to the Administrative Agent releasing and discharging the Xxxxxxxx Assets from the liens and security interests granted to such respective agents by the Borrower or any Guarantor under the Loan Documents.

More Definitions of Xxxxxxxx Assets

Xxxxxxxx Assets means the assets of Xxxxxxxx to be acquired by the Borrower in the Xxxxxxxx Acquisition pursuant to the Asset Purchase Agreement.

Xxxxxxxx Assets means all present and future assets and property of Vendor forming part of, or used in the extraction, production and/or processing of minerals at, or which relate to or arise out of, the Xxxxxxxx Project.

Xxxxxxxx Assets means, collectively, all of the “Assets” as defined in each of the Battlecat Purchase Agreement and the Marquis Purchase Agreement.

Xxxxxxxx Assets means (a) all Tower Structures; (b) all of Xxxxxxxx'x and the Xxxxxxxx Affiliates' rights to all Tower Sites; (c) all Tower Related Assets; (d) all rights under any Governmental Permits (excluding FCC licenses) held exclusively with respect to the ownership or use of the Tower Structures or Tower Sites and not used or useful by the respective Xxxxxxxx Affiliate in any other part of its business and operations, to the extent such Governmental Permits are transferable to OpCo.

Xxxxxxxx Assets has the meaning set forth in Section 2.1.

Xxxxxxxx Assets. The Seller's net book value of all of the Xxxxxxxx Assets as at the Closing Date, plus the value of the Xxxxxxxx Inventory, as provided in Article 2.02(d) below; and

Xxxxxxxx Assets means those assets set forth in Schedule "T" attached hereto and forming a part hereof;
