Common use of From time to time, either Clause in Contracts

From time to time, either. Party (the “Disclosing Party”) may disclose or make available to the other Party (the “Receiving Party”), whether orally or in physical form, confidential or proprietary infor- mation of or in the possession of the Disclosing Party (including confidential or proprietary infor- mation of a third party that is in the possession of the Disclosing Party) in connection with the Agree- ment. The term “Confidential Information” means any and all information in any form that Disclosing Party provides to Receiving Party in the course of the Agreement and that either (i) has been marked as confidential; or (ii) is of such nature that a rea- sonable person would consider confidential under like circumstances. Notwithstanding the foregoing, Confidential Information shall not include any in- formation, however designated, which the Receiv- ing Party can show (a) is or has become generally available to the public without breach of the Agreement by the Receiving Party, (b) became known to the Receiving Party prior to disclosure to the Receiving Party by the Disclosing Party, (c) was received from a third party without breach of any nondisclosure obligations to the Disclosing Party or otherwise in violation of the Disclosing Party’s salassapitovelvoitteita Xxxxxxxxxxx Osapuolta kohtaan tai muutoin loukkaamatta Luovuttavan Osapuolen oikeuksia, tai (d) olevan Vastaanotta- van Osapuolen kehittämää riippumatta mistään Luovuttavalta Osapuolelta saaduista Luottamuk- sellisista Tiedoista.
