Continuing Project undertakings. So long as the Loan is outstanding, the Borrower shall: (i) Maintenance: maintain, repair, overhaul and renew all property forming part of the Project as required to keep it in good working order; (ii) Project assets: unless the Bank shall have given its prior consent in writing, retain title to and possession of all or substantially all the assets comprising the Project or, as appropriate, replace and renew such assets and maintain the infrastructure forming part of the Project continuous open to traffic (save if not possible for maintenance or safety reasons) and in substantially continuous operation in accordance with its original purpose; provided that the Bank may withhold its consent only where the proposed action would prejudice the Bank's interests as lender to the Borrower or would render the Project ineligible for financing by the Bank under the Statute or under Article 267 of the Treaty of Rome; (iii) Insurance: insure all works and property forming part of the Project with first class insurance companies in accordance with the most comprehensive relevant industry practice; (iv) Rights and Permits: maintain in force all rights of way or use and all permits necessary for the execution and operation of the Project; and (v) Environment and EU law: (a) Environment: implement and operate the Project in conformity with those laws of the European Union save for any derogation made by the Bank for the purpose of this Contract and the Republic of Croatia, as well as applicable international treaties, of which a principal objective is the preservation, protection or improvement of the Environment; for which purpose ‘‘Environment’’ means the following, in so far as they affect human well-being: (a) fauna and flora; (b) soil, water, air, climate and landscape; and (c) cultural heritage and the built environment; and (b) undertake to ensure that: (i) all approvals by, and authorisations from, the competent environmental authorities in the Republic of Croatia required for the purpose of Article 6.05 (v) (a) will be secured and maintained; (ii) the Project will not have significant negative effects on any site of nature conservation importance and that no materials or substances which could have adverse effects on the environment will be used or disposed of in the construction and, so long as the Loan is outstanding, the operation and maintenance of the Project; and (iii) so long as the Loan is outstanding, all maintenance and rehabilitation works which may be...

Maintenance: maintain, repair, overhaul and renew all works and property forming part of the Project as required to keep it in good working order and secure adequate funds for the said purposes; 2. Project assets: unless the Bank shall have given its prior consent in writing, retain title to and possession of all or substantially all the assets comprising the Project or, as appropriate, replace and renew such assets and maintain the Project in substantially continuous operation in accordance with its original purpose; provided that the Bank may withhold its consent only where the proposed action would prejudice the Bank's interests as lender to the Borrower or would render the Project ineligible for financing by the Bank under the Statute or under Article 267 of the Treaty of Rome; and 3. Insurance: insure all works and property forming part of the Project with first class insurance companies in accordance with the most comprehensive relevant industry practice; 4. Rights and permits: maintain in force all rights of way or use and all permits necessary for the execution and operation of the Project; and 5. Environment: implement and operate the Project in conformity with those laws of the European Union to the extent implemented by the law of the Republic of Serbia or specified by the Bank prior to the date of this Contract, as well as applicable international treaties, of which a principal objective is the preservation, protection or improvement of the Environment; for which purpose ‘‘Environment’’ means the following: (a) human living conditions; (b) fauna and flora; (c) soil, water, air, climate and the landscape; and (d) cultural heritage and the built environment; and includes working conditions of workers engaged on the Project and its social effects; and 6. General law: execute and operate the Project with the aim of conforming to the principles of EU law directly applicable to the Borrower and the Project, as implemented in the laws of the Borrower.
Continuing Project undertakings. The Borrower shall cause the Final Beneficiary to: (a) Maintenance: maintain, repair, overhaul and renew all property forming part of the relevant Sub-Project as required to keep it in good working order. In case of schemes of the Project generating significant addi- tional operation and maintenance cost, the MRDFWM shall include terms in its financing agreement with the Final Be- neficiary aimed at ensuring operational sustainability and an appropriate level of cost recovery; (b) Project assets: unless the Bank shall have given its prior consent in writing, retain title to and possession of all or substantially all the assets comprising the re- levant Sub-Project or, as appropriate, replace and renew such assets and maintain the relevant Sub-Project in substantially continuous operation in accordance with its original purpose; provided that the Bank may with- hold its consent only where the proposed action would prejudice the Bank’s interests as lender to the Borrower or would render the Project ineligible for financing by the Bank under its Statute or under Article 309 of the Treaty on the Functioning of the European Union; (c) Insurance: insure all works and property forming part of the relevant Sub-Project to the satisfaction of the Bank in accordance with normal practice for similar works of public interest in Croatia;

Integrity: take, within a reasonable timeframe, appropriate measures in respect of any member of its management bodies who has been convicted by a final and irrevocable court ruling of a Criminal Offence perpetrated in the course of the exercise of his/her professional duties, in order to ensure that such member is excluded from any Borrower’s activity in relation to the Loan or the Project; Integrity Audit Rights: ensure that all contracts under the Project to be procured after the date of signature of this Contract in accordance with EU Directives on procurement provide for: the requirement that the relevant contractor promptly informs the Bank of a genuine allegation, complaint or information with regard to Criminal Offences related to the Project; the requirement that the relevant contractor keeps books and records of all financial transactions and expenditures in connection with the Project; and the Bank’s right, in relation to an alleged Criminal Offence, to review the books and records of the relevant contractor in relation to the Project and to take copies of documents to the extent permitted by law.

  • PROMENA CENE I PRAVO PUTNIKA NA OTKAZ Ukoliko Putnik blagovremeno otkaže putovanje (od 90 do 45 xxxx) - Organizator ima pravo na naknadu učinjenih administrativnih troškova. Organizator može zahtevati povećanje ugovorene cene pre početka putovanja ako xx xxxxx zaključenja Ugovora došlo do promene u kursu razmene valute, xxxx xx cena izražena u dinarima i to odmah po saznanju da xx xxxxx do povećanja cena xx xxxxxx izvršioca usluga. Za povećanje ugovorene cene xx xxxxxx Organizatora, Putnik ima pravo da: zahteva zamenu za sličan Program bez doplate iz ponude Organizatora ili može putem pisanog otkaza raskinuti ugovor bez naknade štete. Ako u primerenom roku, ne dužem od 48 sati, Putnik pisanim putem ne obavesti organzatora da prihvata promenu ugovorene cene, smatra se da je raskinuo Ugovor. Naknadna sniženja cena Programa ne mogu se odnositi na već zaključene Ugovore i ne mogu biti osnov bilo kakvog prigovora Putnika prema Organizatoru.

  • Putnik i Organizator saglasno ugovaraju nadležnost Arbitražnog xxxx XXXX Beograd, Kondina 14 za rešavanje međusobnih sporova, uz primenu ovih Opštih uslova, kao i Opštih uslova putovanja YUTA i propisa R. Srbije.

  • POSLOVNA TAJNA Poslovnom tajnom Društva smatraju se oni dokumenti i podaci, koji se odnose na poslovanje Društva, a čije bi priopćavanje neovlaštenim osobama bilo protivno interesima Društva i vlasnika udjela u Fondu, ili se zakonom ili drugim propisima smatraju poslovnom tajnom. Poslovnom tajnom u Društvu smatraju se naročito podaci o veličini vrijednosti udjela vlasnika. Osnivači Društva, članovi Uprave i Nadzornog odbora Društva kao i sve osobe koje su zaposlene ili obavljaju stalne ili povremene poslove na temelju posebnog ugovora, dužni su čuvati poslovnu tajnu u protivnom, odgovaraju Društvu za nastalu štetu zbog odavanja poslovne xxxxx. Obveza čuvanja poslovne xxxxx ne prestaje niti nakon što xxxx navedene osobe izgube status koji ih obvezuje na čuvanje poslovne xxxxx. AZ Benefit nije pravna osoba pa tako nije obveznik ni poreza na dobit niti poreza na dodanu vrijednost. Prema Zakonu o porezu na dohodak dobrovoljna mirovinska štednja je porezno poticajna za poslodavce i porezne obveznike koji obavljaju samostalne djelatnosti i to na način da je uplata doprinosa u dobrovoljne mirovinske fondove xx xxxxxx poslodavca i poreznog obveznika koji obavlja samostalnu djelatnost za radnike priznata kao izdatak na koji se ne plaća porez na dohodak. Osnovne karakteristike poreznog tretmana uplata u dobrovoljni mirovinski fond su: Tretman uplata doprinosa xx xxxxxx poslodavaca za zaposlenike odnosno poreznog obveznika koji obavlja samostalnu djelatnost za njega osobno ili za njegove zaposlenike članove dobrovoljnog mirovinskog xxxxx: Porez na dohodak ne plaća se na iznos uplaćenih doprinosa koje poslodavci odnosno obveznici poreza koji obavljaju samostalnu djelatnost, uz prethodnu suglasnost člana, uplate u tuzemne dobrovoljne mirovinske fondove i to u iznosu od 500 kn mjesečno, odnosno 6.000 kn godišnje. Navedeni iznosi određeni su Zakonom o porezu na dohodak važećim na xxx donošenja ovog Prospekta te su podložni izmjenama i dopunama propisa. Prestankom ili ukidanjem odgovarajućih odredaba poreznih ili drugih propisa odnosno relevantnih Zakona, ovaj se članak smatra automatski izmijenjenim ili ukinutim u skladu sa odredbama poreznog propisa ili Zakona na snazi u mjerodavnom trenutku.

  • ZAŠTITA LIČNIH PODATAKA PUTNIKA Lični podaci putnika, koje isti daje dobrovoljno, predstavljaju poslovnu tajnu Organizatora. Xxxxxx xx saglasan da lične podatke Organizator može koristiti za realizaciju ugovorenog programa putovanja, pri čemu se ne mogu saopštavati adrese, mesto, vreme i cena putovanja i imena saputnika drugim licima, osim licima određenim posebnim propisima.

  • OBAVEZNOST PRIMENE Organizator može Pogramom ili Posebnim uslovima putovanja predvideti drugačije odredbe u odnosu na ove Opšte uslove, zbog posebnih uslova i pravila neposrednim pružaocima usluga, kao i za putovanja sa posebnim sadržajima (povodom održavanja sportskih, kongresnih i sličnih međunarodnih manifestacija i posebnim vidovima turizma – đački, lov i ribolov, ekstremni sportovi i dr.) i koji čine sastavni deo takvih Ugovora. Neefikasnost pojedinih odredbi Xxxxxxx nema za posledicu neefikasnost čitavog Xxxxxxx o putovanju, što važi i za ove Opšte uslove.

  • Neplaćeno odsustvo Član 54.

  • JAMSTVO ZA UREDNO ISPUNJENJE UGOVORA (1) Najkasnije u roku od 8 xxxx od xxxx sklapanja Ugovora, Pružatelj usluge će Korisniku dostaviti jamstvo za uredno ispunjenje Ugovora u obliku: a) bankarske garancije u izvorniku, bezuvjetne, neopozive i plative na „prvi poziv“ i „bez prigovora“, izdane od prvoklasne xxxxx xx sjedištem u Republici Hrvatskoj prihvatljive za Korisnika (Prilog 8. ovog Ugovora), ili b) beskamatni novčani polog, na račun Korisnika IBAN XX0000000000000000000, otvoren u Privrednoj banci Zagreb d.d., Radnička cesta 50, 10000 Zagreb. (2) Iznos jamstva za uredno ispunjenje Ugovora iz stavka 1. ovog članka utvrđuje se prema formuli: gdje su: 𝑇 = 𝑅𝑝𝑟𝑒𝑡𝑘𝑣𝑎𝑙𝑖𝑓𝑖𝑐𝑖𝑟𝑎𝑛𝑜[𝑀𝑊] ∙ 7 [𝑀𝑊 ] ∙ 14 [xxxx] ∙ 24 [𝑠𝑎𝑡𝑎] 𝑇 - iznos jamstva za uredno ispunjenje ugovora [EUR] 𝑅𝑝𝑟𝑒𝑡𝑘𝑣𝑎𝑙𝑖𝑓𝑖𝑐𝑖𝑟𝑎𝑛𝑜 - ukupni iznos rezerve snage za xxxx xx Pružatelj pretkvalificiran [MW] (3) Ukupan iznos jamstva za uredno ispunjenje Ugovora u skladu sa stavkom 2. ovog članka ne može biti manji od 7.000,00 (xxxxx tisuća) EUR niti veći od 70.000,00 (sedamdeset tisuća) EUR. (4) U slučaju da Pružatelj ne postupi u skladu s člankom 15. stavkom 6. i stavkom 7., Xxxxxxxx će aktivirati jamstvo za uredno ispunjenje Ugovora. (5) Nakon aktiviranja jamstva za uredno ispunjenje Ugovora iz stavka 1. ovog članka xx xxxxxx Korisnika, bilo u cijelosti ili samo djelomično, Pružatelj je obvezan najkasnije u roku od 8 (osam) xxxx od xxxx aktiviranja dostaviti Korisniku novo jamstvo za uredno ispunjenje Ugovora jednake vrijednosti kao aktivirano jamstvo ili, ako se radi o novčanom depozitu na bankovni račun, uplatiti dodatni iznos na bankovni račun radi dopune iznosa beskamatnog novčanog pologa, do punog iznosa predviđenog ovim Ugovorom tako da Korisnik uvijek ima na raspolaganju jamstva za uredno ispunjenje Ugovora koja odgovaraju kvaliteti predviđenoj stavkom 1. i iznosima predviđenima stavcima 2. i 3. ovog Ugovora. (6) Korisnik zadržava pravo, u slučaju kada iznos dva računa u prethodnom šestomjesečnom razdoblju bude veći od ukupnog iznosa jamstva za uredno ispunjenje Ugovora deponiranog kod Korisnika, zatražiti od Pružatelja usluge da, u roku od 8 xxxx od takvog pisanog zahtjeva Korisnika dostavi novo jamstvo.
