Common use of Final provisions Clause in Contracts

Final provisions. 1. The Seller's assignment of the receivables and other rights and obligations under the Purchase Order / Agreement will be possible only with the prior written consent of the Buyer 2. In the case of legal ineffectiveness of certain provisions of the OWZiU as a result of the introduction of different legal regulations, the remaining provisions do not expire. According to the content of this clause, if some provisions of the OWZiU prove to be invalid, the Parties to the contract undertake to enter into negotiations to supplement the OWZiU in this part. 3. In the event of a conflict between the individual provisions of the OWZiU and the provisions of the Order / Agreement, the provisions of the Contract / Agreement apply, however, this does not exclude the application of the remaining provisions of OWZiU 4. In matters not covered by the provisions of these OWZiU or in the Order / Agreement, the provisions of the Civil Code and other provisions of the Polish law shall apply accordingly. 5. All disputes shall be resolved amicably in the first instance, and in the event of disagreement by the court competent for the registered office of the Buyer.
