可分割性. 37.1 Any provision in the Agreement which is illegal, invalid or unenforceable for any reason in any jurisdiction shall be ineffective only to the extent of such illegality, invalidity or unenforceability and shall not affect the legality, validity or enforceability of the remaining provisions hereof or the legality, validity or enforceability of such provision in any other jurisdiction. Where, however, the provisions of any applicable law may be waived, they are waived by the Parties hereto to the full extent permitted by such law to the end that the Agreement shall be a valid and binding agreement enforceable in accordance with its terms and conditions
可分割性. 倘若本協議之任何條文或條款被任何法院、監管機構或團體判定為無效或不能強制執行，則該項判定應只適用於該條文或條款。其餘條文及條款之有效性將不會因此受到影響，而本協議應繼續執行，猶如該無效或不能強制執行之條文或條款並未載於本協議內一樣。 35. 規管法律及司法管轄權 本協議及其執行均受香港法律管轄。本協議雙方均接受香港法院之非專屬司法管轄權管轄。
可分割性. If any of the terms of this Agreement are declared illegal or unenforceable by any court of competent jurisdiction, such term or terms shall be deemed null and void and shall be considered deleted from this Agreement. All the remaining terms shall remain in full force and effect. 如本契約任何條款經任何具司法管轄權法院宣告非法或無法執行時，該等條款應視為無效，並應視為自本契約刪除。其餘全部條款均應維持完整效力。

If any term or other provision of this Agreement is deemed o be invalid, illegal or incapable of being enforced by any rule of law or public policy, all other conditions and provisions of this Agreement shall nevertheless remain in full force and effect so long as the economic or legal substance of the transactions contemplated thereby is not affected in any adverse manner to either Party hereto. Upon such determination that any term or other provision is invalid, illegal or incapable of being enforced hereunder, the Parties hereto shall negotiate in good faith to modify this Agreement so as to affect the original intent of the Parties hereto as closely as possible in a commercially reasonable and acceptable manner, such that the transactions contemplated in this Agreement may be fulfilled to the fullest extent possible. 若本协议中任何条款或者条件根据任何法律或者公共政策被认定为无效、不合法或者无法执行，则本协议中其他所有的条款或者条件均应当不受影响，仍保持完全的效力，只要该拟定交易的经济或法律实质未对任何一方造成任何形式的不利影响。任何无效的、不合法的或不可执行的条款或条件终止后，双方应当进行良好协商且商业上合理的共同修改本协议，尽可能以一种可接受的方式达成双方的原始意图，以使本协议的拟定交易能够在尽可能的范围内完成.
