可分割性. 37.1 Any provision in the Agreement which is illegal, invalid or unenforceable for any reason in any jurisdiction shall be ineffective only to the extent of such illegality, invalidity or unenforceability and shall not affect the legality, validity or enforceability of the remaining provisions hereof or the legality, validity or enforceability of such provision in any other jurisdiction. Where, however, the provisions of any applicable law may be waived, they are waived by the Parties hereto to the full extent permitted by such law to the end that the Agreement shall be a valid and binding agreement enforceable in accordance with its terms and conditions
37.1 在任何司法管轄區因任何原因而違法、無效或不能執行的本協議的任何條文，所失效的條文將條限於屬違法、無效或不能執行的條文，而將不會影響本協議中其餘條文的合法性、有效性或執行性或該條文於其他司法管轄區的合法性、有效性或執行性。然而，倘若任何適用法律的條文可被寬免遵從，雙方應按該法律允許的範圍寬免遵從有關條文，以致本協議成為有效及具約束力的協定，可根據其條款及條件執行。

If any of the terms of this Agreement are declared illegal or unenforceable by any court of competent jurisdiction, such term or terms shall be deemed null and void and shall be considered deleted from this Agreement. Xx the event that any term or provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining terms shall be valid and enforced to the fullest extent permitted by Applicable Law. If any term or provision of this Agreement is deemed by a court to be unenforceable because such provision is too broad in scope, the provision shall be construed in a limited scope to make it enforceable.

If any term or other provision of this Agreement is deemed o be invalid, illegal or incapable of being enforced by any rule of law or public policy, all other conditions and provisions of this Agreement shall nevertheless remain in full force and effect so long as the economic or legal substance of the transactions contemplated thereby is not affected in any adverse manner to either Party hereto. Upon such determination that any term or other provision is invalid, illegal or incapable of being enforced hereunder, the Parties hereto shall negotiate in good faith to modify this Agreement so as to affect the original intent of the Parties hereto as closely as possible in a commercially reasonable and acceptable manner, such that the transactions contemplated in this Agreement may be fulfilled to the fullest extent possible. 若本协议中任何条款或者条件根据任何法律或者公共政策被认定为无效、不合法或者无法执行，则本协议中其他所有的条款或者条件均应当不受影响，仍保持完全的效力，只要该拟定交易的经济或法律实质未对任何一方造成任何形式的不利影响。任何无效的、不合法的或不可执行的条款或条件终止后，双方应当进行良好协商且商业上合理的共同修改本协议，尽可能以一种可接受的方式达成双方的原始意图，以使本协议的拟定交易能够在尽可能的范围内完成.

In the event any provision of this Agreement is wholly or partly invalid, the validity of the Agreement as a whole shall not be affected and the remaining provisions of the Agreement shall remain valid.
