Ability to Protect Its Own Interests and Bear Economic Risks. The Purchaser, by reason of the business and financial experience of its management, has the capacity to protect its own interests in connection with the transactions contemplated by this Agreement and is capable of evaluating the merits and risks of the investment in the Shares. The Purchaser is able to bear the economic risk of an investment in the Shares and is able to sustain a loss of all of its investment in the Shares without economic hardship, if such a loss should occur.

Such Purchaser is able to bear the economic risk of an investment in the Purchased Shares and is able to sustain a loss of all of its investment in the Purchased Shares without economic hardship, if such a loss should occur.

Without limiting the foregoing, the Purchaser is aware that the Company has restated its financial statements for the second and third quarter of the fiscal year ended March 31, 2003 (“Fiscal 2003”), issued an earnings warning for the fourth quarter of fiscal 2003, has been delisted from the Nasdaq SmallCap Market, is the subject of an informal inquiry with the Nasdaq and an informal inquiry from the SEC and is named as a defendant in several pending class action and shareholder derivative lawsuits. However, nothing contained in this Section 4.6 shall be deemed to in any way qualify any of the representations and warranties of the Company contained in Section 5.
