Informed Decision. Seller is aware of the Company's business affairs and financial condition and has reached an informed and knowledgeable decision to sell the Shares.
Informed Decision. Both parties agree that employees should be fully informed about all aspects of Union representation. The Union will provide fact-based information to employees as it endeavors to convince prospective members of the merits of being represented by a labor union. Management’s role during this process will include:
(a) responding to individual employee inquiries,
(b) explaining the organizing process, including any obligations and responsibilities of the parties,
(c) correcting any inaccuracies or misstatements or any employee misunderstandings of information disseminated during the campaign process.
Informed Decision. The Seller has had an opportunity to consult with its independent legal, tax and financial advisors, and together with such advisors, has evaluated the transactions contemplated in this Agreement and has independently determined to agree to the terms and conditions of this Agreement. No representation is being or has been made by the Seller, the Buyer or either of their respective advisors to the Seller regarding the tax, financial, legal or other effects to the Seller or its stockholders of the transactions contemplated in this Agreement. The Seller is familiar with and understands the business and financial condition, operations and prospects of the Buyer and Seller and is sufficiently informed and sophisticated enough to make a decision regarding the transactions contemplated by this Agreement.
Informed Decision. TRP acknowledges and agrees that: (a) TRP has sufficient information to make an informed decision as to the extent to which it chooses to rely on the information in any Trustmark issued by the NIEF Center; (b) TRP’s use of or reliance on any Trustmark issued by the NIEF Center is governed by this Agreement; and (c) TRP shall bear the legal consequences of failure to comply with the obligations contained herein. TRP IS SOLELY RESPONSIBLE FOR DECIDING WHETHER TO RELY ON THE INFORMATION IN ANY TRUSTMARK ISSUED BY THE NIEF CENTER.
Informed Decision. You acknowledge and agree that: (i) you have sufficient information to make an informed decision as to the extent to which you choose to rely on the information in a Certificate; (ii) your use or reliance of any Trend Micro SSL Information is governed by this Agreement and you shall bear the legal consequences of your failure to comply with the obligations contained herein. YOU ARE SOLELY RESPONSIBLE FOR DECIDING WHETHER OR NOT TO RELY ON THE INFORMATION IN A CERTIFICATE.
Informed Decision. The Seller is in possession of all reports and documents filed by the Purchaser with the Securities and Exchange Commission and has reviewed such filings and such other information regarding the Purchaser and its business and business plan as the Seller deems relevant to make an informed decision to sell the Purchase Shares to the Purchaser. The Seller with his legal, tax and financial advisors has investigated the Purchaser and its business and has negotiated the transaction contemplated herein and has independently determined to sell the Purchase Shares to the Purchaser on the terms described herein. The Seller alone or with the assistance of his legal, tax and financial advisors is knowledgeable and experienced in financial and business matters and is capable of making an informed decision to sell the Purchase Shares to the Purchaser. The Seller acknowledges and agrees that the Purchaser has not solicited the acquisition of the Purchase Shares; rather the transaction contemplated herein was solicited by the Seller. No representation is being or has been made by the Purchaser or its advisors to the Seller regarding the tax or other effects to the Sellers of the transactions contemplated herein. The transactions contemplated herein are not being effected through a broker or dealer or on or through any exchange.
Informed Decision. You represent and warrant that You are knowledgeable in the relevant subject area and possess sufficient information to make an informed decision as to Your use of the ORCP Services and Your reliance on the information contained in a Certificate. You acknowledge and agree that neither ARIN nor any CA is responsible for assessing the appropriateness of use of the ORCP Services (or any part thereof). You acknowledge and agree You are solely responsible for deciding whether or not to rely on or otherwise use any ORCP services, including the information in a Certificate, and ARIN assumes no liability or responsibility for Your or any other Relying Party’s decision, use or other action in connection with the ORCP Services (or any part thereof). You acknowledge and agree that RPKI is an emerging security framework and with it comes associated risks, including theft or potential compromise of a private key, which may or may not be detected, and the possibility of use of a stolen or compromised private key to forge an unauthorized digital signature. You acknowledge and agree that ARIN does not provide any assurance that the ORCP Services (or any part thereof) will be free from risks, hackers, perpetrators or others who may seek to misappropriate or engage in improper conduct with respect to the ORCP Services (or any part thereof). You acknowledge and agree that neither the ORCP Services (or any part thereof) nor the Certificate is designed, intended, or authorized for use in connection with equipment in hazardous circumstances or for uses requiring fail-safe performance, including uses in connection with the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control systems, or weapons control systems, where failure could lead to death, personal injury, or severe environmental damage. You represent and warrant that: (i) You have the full power and authority to enter into and perform Your obligations under this Agreement; (ii) the assent to and performance by You of Your obligations under this Agreement do not constitute a breach of or conflict with any other agreement or arrangement by which You may be bound, or any applicable laws, regulations, or rules; and (iii) this Agreement constitutes a legal, valid, binding, and an executory obligation, enforceable in accordance with its terms.
Informed Decision. Each Member, by executing this Agreement, represents and warrants that he has been furnished with sufficient written and oral information about the Company and the business to be operated by the Company to allow him to make an informed decision prior to purchasing a Membership Interest in the Company.
Informed Decision. The parties have been represented by counsel of their own choice throughout the action described herein and all investigations and negotiations which have preceded the execution of this Agreement. Each party acknowledges that it has sufficient information in order to make an informed decision about whether to enter into this Agreement.

TRP is solely responsible for deciding whether to rely on the information in any trustmark issued by Trustmark Provider.
