Acceptance Testing Results. AT&T shall provide notification to Seller upon completion of acceptance testing setting forth the specific date of acceptance or rejection of each Product and Part included in the notification. If any Product or Part is rejected, Seller shall thereafter proceed forthwith to correct the defects indicated by AT&T, either by repairing the defective Product or Part at the point of delivery or within Seller's facility, if possible, or by supplying a new Product or Part. The cost associated with any such repair or replacement, including transportation charges for return to Seller and subsequent return to AT&T, shall be borne by Seller. Products and Parts for which acceptance tests are not completed within the time set forth in Exhibit A for that Product or Part after arrival at AT&T's delivery destination shall be deemed to have been accepted by AT&T as of such time.

If any Material is rejected, Supplier shall thereafter proceed forthwith to correct the defects indicated by Company, either by repairing the defective Material at the point of delivery or within Supplier's facility, if possible, or by supplying a new Material. The cost associated with any such repair or replacement, including transportation charges for return to Supplier and subsequent return to Company, shall be borne by Supplier. The transportation costs will be borne by Company if it is determined that the Material was improperly rejected. Material for which acceptance tests are not completed within thirty (30) days after delivery to the FOB point shall be deemed to have been accepted by Company as of such time.

If any Product Unit is rejected, FIC shall, at SSE's option, either issue SSE full credit for return of the defective Product Unit, or proceed forthwith to correct the defects indicated by SSE, either by repairing the defective Product Unit at the point of delivery or within FIC's facility, if possible, or by supplying a new Product Unit.   • Acceptance Testing The MCP must have the capability to report all elements in the Minimum Data Set as set forth in the ODJFS Encounter Data Specifications and must submit a test file in the ODJFS-specified medium in the required formats prior to contracting or prior to an information systems replacement or update. Acceptance testing of encounter data is required as specified in Section 29(a)(v) of this Appendix.

  • Stability Testing Patheon may be requested to conduct stability testing on the Products in accordance with the protocols set out in the Specifications for the separate fees and during the time periods set out in Schedule C to a Product Agreement. Patheon will not make any changes to these testing protocols without prior written approval from Client. If a confirmed stability test failure occurs, Patheon will notify Client within one Business Day, after which Patheon and Client will jointly determine the proceedings and methods to be undertaken to investigate the cause of the failure, including which party will bear the cost of the investigation. Changes made in the Project scope, at any time during the Project, will result in a corresponding adjustment to the Project costs.

  • Testing Landlord shall have the right to conduct annual tests of the Premises to determine whether any contamination of the Premises or the Project has occurred as a result of Tenant’s use. Tenant shall be required to pay the cost of such annual test of the Premises; provided, however, that if Tenant conducts its own tests of the Premises using third party contractors and test procedures acceptable to Landlord which tests are certified to Landlord, Landlord shall accept such tests in lieu of the annual tests to be paid for by Tenant. In addition, at any time, and from time to time, prior to the expiration or earlier termination of the Term, Landlord shall have the right to conduct appropriate tests of the Premises and the Project to determine if contamination has occurred as a result of Tenant’s use of the Premises. In connection with such testing, upon the request of Landlord, Tenant shall deliver to Landlord or its consultant such non-proprietary information concerning the use of Hazardous Materials in or about the Premises by Tenant or any Tenant Party. If contamination has occurred for which Tenant is liable under this Section 30, Tenant shall pay all costs to conduct such tests. If no such contamination is found, Landlord shall pay the costs of such tests (which shall not constitute an Operating Expense). Landlord shall provide Tenant with a copy of all third party, non-confidential reports and tests of the Premises made by or on behalf of Landlord during the Term without representation or warranty and subject to a confidentiality agreement. Tenant shall, at its sole cost and expense, promptly and satisfactorily remediate any environmental conditions identified by such testing in accordance with all Environmental Requirements. Landlord’s receipt of or satisfaction with any environmental assessment in no way waives any rights which Landlord may have against Tenant.

  • Tests Based on the AUPs, the Asset Representations Reviewer shall review the Required Documents to determine whether, for each Reviewable Receivable, (a) there was evidence that the applicable Test for such Reviewable Receivable was satisfied, (b) there was evidence that the applicable Test for such Reviewable Receivable was not satisfied or (c) the Test could not be completed as a result of missing or insufficient Required Documents for a Reviewable Receivable. Each Test shall be performed individually. The Asset Representations Reviewer may, at its sole discretion, review additional information that is not required for the Asset Representations Review as defined by the AUPs, but it is not required to do so.
