Access and Inspection, Etc. The Company shall allow the Buyer and its authorized representatives full access during normal business hours from and after the date hereof and prior to the Closing Date to all of the properties, books, contracts, commitments and records of the Company for the purpose of making such investigations as the Buyer may reasonably request in connection with the transactions contemplated hereby, and shall cause the Company to furnish Buyer such information concerning its affairs as Buyer may reasonably request. The Company has caused and shall cause its personnel to assist the Buyer in making such investigation and shall use their best efforts to cause the counsel, accountants, engineers and other non-employee representatives of the Company to be reasonably available to Buyer for such purposes.

Each party to this Agreement has allowed and shall allow the other party and its authorized representatives full access during normal business hours from and after the date hereof and prior to the Closing Date to all of its properties, books, contracts, commitments and records for the purpose of making such investigations as the other party may reasonably request in connection with the transactions contemplated hereby, and shall cause the other party to furnish such information concerning its affairs as reasonably requested. Each party to this Agreement has caused and shall cause its personnel to assist the other party in making such investigation and shall use his best efforts to cause its counsel, accountants, and other non-employee representatives to be reasonably available to the other party for such purposes.

The Company shall allow the Buyer and its authorized representatives full access during normal business hours from and after the date hereof and prior to the Closing Date to all of the properties, books, contracts, commitments and records of the Company (collectively, the “Records”) for the purpose of making such investigations as the Buyer may reasonably request in connection with the transactions contemplated hereby, and shall cause the Company to furnish the Buyer such information concerning its affairs as the Buyer may reasonably request provided, however, that the Buyer and its authorized representative shall agree to hold in strict confidence and shall not make any disclosure or use any Record or other information which the Company determines in good faith to be confidential, and of which determination the Buyer or its authorized representatives are so notified, unless (i) the release of such Records is ordered pursuant to a final, non-appealable subpoena or order from a court or government body of competent jurisdiction, or (ii) the information in such Records has been made generally available to the public other than by disclosure in violation of this or any other agreement of which the Buyer has knowledge. The Company has caused and shall cause its personnel to assist the Buyer in making such investigation and shall use their best efforts to cause the counsel, accountants, engineers and other non-employee representatives of the Company to be reasonably available to Buyer for such purposes.

The Company and the Shareholders have allowed and shall allow Parent and its authorized representatives full access during normal business hours from and after the date hereof and prior to the Closing Date to all of the properties, books, contracts, commitments and records of the Company for the purpose of making such investigations as Parent may reasonably request in connection with the transactions contemplated hereby, and shall cause the Company to furnish Parent such information concerning its affairs as Parent may reasonably request. The Company and the Shareholders have caused and shall cause the personnel of the Company to assist Parent in making such investigation and shall use their reasonable best efforts to cause the counsel, accountants, and other non-employee representatives of the Company to be reasonably available to Parent for such purposes. The Shareholders shall cause the Company to comply with all obligations of the Company under this Agreement.

The Company and the Members have caused and the Company shall cause the personnel of the Company to assist the Purchaser in making such investigation and shall use their best efforts to cause the counsel, accountants, and other non-employee representatives of the Company to be reasonably available to the Purchaser for such purposes.

Future Tech shall allow Buyer and its authorized representatives reasonable access during normal business hours from and after the date hereof and through the Closing Date to all of the properties, books, contracts, commitments and records of Future Tech for the purpose of making such investigations as Buyer may reasonably request in connection with the transactions contemplated hereby, and shall furnish Buyer such information concerning its affairs as Buyer may reasonably request.

Each of the Parent and the Merger Sub has allowed and shall allow the Company and its authorized representatives full access during normal business hours from and after the date hereof and prior to the Closing Date to all of the properties, books, contracts, commitments and records of the Parent and the Merger Sub for the purpose of making such investigations as the Company may reasonably request in connection with the transactions contemplated hereby (including, if requested, the taking of a physical inventory), and shall cause the Parent and the Merger Sub to furnish the Company such information concerning its affairs as the Company may reasonably request. The Parent and the Merger Sub have caused and shall cause the personnel of the Parent and the Merger Sub to assist the Company in making such investigation and shall use its best efforts to cause the counsel, accountants, engineers and other non-employee representatives of the Parent and the Merger Sub to be reasonably available to the Company for such purposes. The Parent and the Merger Sub shall comply with all of their obligations under this Agreement.

The Company and the Shareholders have caused and shall cause the personnel of the Company to assist United in making such investigation and shall use his best efforts to cause the counsel, accountants, and other non-employee representatives of the Company to be reasonably available to United for such purposes. The Shareholders shall cause the Company to comply with all obligations of the Company under this Agreement. United shall afford the Company, the Shareholders and their authorized representatives reciprocal treatment.
