Common use of ACCESS CABLECASTING Clause in Contracts

ACCESS CABLECASTING. (a) The PEG Access Downstream Channels shall be used to transmit PEG Access Programming to Subscribers, at no charge to the Issuing Authority, its designee, the Access Corporation or any User, and shall be subject to the control and management of the Issuing Authority and/or its designee. (b) The Licensee shall provide Upstream Channel capacity for PEG Access Programming over the I-Net from the Access Corporation Studio, Town Hall, Police Station, Fire Station, Highway Department, Senior Center, Public Library, all Norfolk Public Schools, Xxxx Xxxxxx Regional Schools and such other buildings as the Town may reasonably request during the term hereof ("Upstream Sites"). The Licensee shall provide and maintain all necessary processing equipment in order to switch Upstream Signals from the Access Corporation to the designated Downstream Access Channel. (c) In order that PEG Access Programming can be cablecast over the PEG Access Subscriber Network Downstream Channels, pursuant to this Article 6, all PEG Access Programming transmitted from all remote origination locations shall be modulated by Access Corporation-owned equipment at all remote origination locations. The Access Corporation shall then transmit said Programming from any location within the Town having Origination Capability on an I-Net Upstream Channel as provided in Section 3.2(a), to the Headend, Hub Site and/or other location at the discretion of the Licensee. At the Headend or Hub Site and/or other location, Licensee shall retransmit said PEG Access Programming on a PEG Access Subscriber Network Downstream Channel. (d) Licensee shall provide and maintain all necessary switching and/or processing equipment, at the Headend, Hub Site and/or other location at the discretion of the Licensee, in order to retransmit an Upstream Signal from the I-Net to the designated PEG Access Subscriber Network Downstream Channel. (e) Licensee shall use its commercially reasonable best efforts to facilitate the transmission, switching and processing of the Access Corporation's live coverage of any Norfolk Town meetings held at Xxxx Xxxxxx Regional High School in Wrentham. Should the location of the public meetings be changed to another location not accessible via the Town's I-Net, but which changed location is accessible by means of the town of Wrentham's I-Net, the Licensee and the Issuing Authority shall cooperate in providing alternate arrangements. (f) The Licensee shall monitor the PEG Access Subscriber Network Downstream Channels for technical quality of audio/video cablecasting and shall ensure that they are maintained at standards commensurate with those which apply to the Norfolk Cable System's commercial channels. The Licensee shall address in good faith any difficulties that arise regarding cablecasting of PEG Access Programming excluding any network processing or switching facilities outside of Licensee's control. (g) There shall be no charge to the Town or Access Corporation for upstream or downstream transmission, switching or processing. (h) The Licensee will assist the Access Corporation in the transmission of the Bulletin Boards over the assigned PEG channels only by maintaining existing VDS equipment until such equipment is replaced by the Access Corporation, provided, however, that in the event such equipment is not replaced by December 31, 1999, the Access Corporation shall pay Licensee's reasonable fees for any maintenance or repair provided by Licensee in regard to such VDS equipment. The Licensee will use commercially reasonable efforts to ensure that the Cable System is available for such purposes at all times.

ACCESS CABLECASTING. (e) Licensee shall use its commercially reasonable best efforts to facilitate the transmission, switching and processing of the Access Corporation's live coverage of any Norfolk Town meetings held at Xxxx Xxxxxx Regional High School in Wrentham. Should the location of the public meetings be changed to another location not accessible via the Town's I-Net, but which changed location is accessible by means of the town of Wrentham's I-Net, the Licensee and the Issuing Authority shall cooperate in providing alternate arrangements. (f) The Licensee shall monitor the PEG Access Subscriber Network Downstream Channels Channel(s) for technical signal quality of audio/video cablecasting and shall ensure that they are maintained at standards commensurate with those which that apply to the Norfolk Cable System's ’s commercial channelschannels pursuant to FCC technical standards. The Licensee Franchising Authority shall address be responsible for the picture quality of all Access Programming at the demarcation point, which shall be the modulator output at the origination location. To provide for adequate picture quality, the City’s video signals shall meet NTSC standards and/or the minimum operating input parameters of the modulators. (c) It shall be the Franchisee’s sole responsibility to ensure that Access programming is automatically switched to the appropriate Access Channel(s), in an efficient and timely manner. The Franchisee shall not charge the Franchising Authority and/or its designee(s) for such switching responsibility. The City or its designee is responsible for all manual switching. The Franchisee and the Franchising Authority shall negotiate, in good faith faith, any difficulties that arise regarding cablecasting of PEG Access Programming excluding any network processing or switching facilities outside of Licensee's controlProgramming. (gd) There The Franchisee shall be no charge provide and maintain all other necessary switching and/or processing equipment located in its headend facility in order to switch upstream signals from the City to the Town designated downstream Access Channel(s). Nothing herein shall require the Franchisee to provide any other switching equipment or Access Corporation for upstream or downstream transmission, switching or processingany other end user equipment. (h) The Licensee will assist the Access Corporation in the transmission of the Bulletin Boards over the assigned PEG channels only by maintaining existing VDS equipment until such equipment is replaced by the Access Corporation, provided, however, that in the event such equipment is not replaced by December 31, 1999, the Access Corporation shall pay Licensee's reasonable fees for any maintenance or repair provided by Licensee in regard to such VDS equipment. The Licensee will use commercially reasonable efforts to ensure that the Cable System is available for such purposes at all times.

(h) The Licensee will assist the Access Corporation in the transmission of the Bulletin Boards over the assigned PEG channels only by maintaining existing VDS equipment until such equipment is replaced by the Access Corporation, provided, however, that in the event such equipment is not replaced by December 31, 1999, the Access Corporation shall pay Licensee's reasonable fees for any maintenance or repair provided by Licensee in regard to such VDS equipment. ACCESS CABLECASTING. (a) The In order that the Access Corporation can cablecast its Programming over the PEG Access Downstream Channels Channels, all PEG programming shall be used to transmit PEG modulated, then transmitted from the Access Programming to SubscribersCorporation, at no charge the Town Hall, the Oxford High School and/or any other locations with Origination capability as listed in Exhibit 8 hereto, to the Issuing AuthorityCable System Headend or Hub, its designeeon an Upstream Channel made available, without charge, to the Town and the Access Corporation or any User, and shall be subject to the control and management of the Issuing Authority and/or its designeefor their use. (b) The Licensee shall provide Upstream Channel capacity for the Access Corporation with the capability to ensure that PEG Access Programming over is sent upstream to the I-Net from Headend, where such PEG Access Programming will be automated and electronically switched to the appropriate Downstream Channel, in an efficient and timely manner. At the Headend or the Licensee’s Hub, said PEG Access Programming shall be retransmitted in the downstream direction on one of the Downstream PEG Access Channels. The Licensee shall not charge the Town and/or the Access Corporation Studiofor such switching responsibility. The Licensee and the Issuing Authority shall negotiate in good faith any difficulties that arise regarding cablecasting of PEG Access Programming. The Licensee shall be responsible for automated switching of PEG Access Programming at its Headend and the Access Corporation shall be responsible for switching its Access Programming, Town Hallas necessary, Police Station, Fire Station, Highway Department, Senior Center, Public Library, all Norfolk Public Schools, Xxxx Xxxxxx Regional Schools and such other buildings as the Town may reasonably request during the term hereof at its hub site.
