Account Opening Information/Taxpayer Identification Numbers (“TINs”). (a) The Investors and the Company have provided the Escrow Agent with their respective fully executed Internal Revenue Service (“IRS”) Form W-8, or W-9. The Investors and the Company each represent that its correct TIN assigned by the IRS is set forth in the those forms, as provided. (b) The parties hereto agree that for all Federal, state and local income tax reporting purposes, all interest or other income earned from the investment of the Escrow Amount shall be allocated to, and reported by, the Investors and reported, as and to the extent required by law, by the Escrow Agent to the IRS, or any other taxing authority, on IRS Form 1099 or 1042S (or other appropriate form) as income earned from the Escrow Funds by the Investors whether or not said income has been distributed during such year. The Escrow Agent shall withhold any taxes it deems appropriate in the absence of proper tax documentation or as required by law, and shall remit such taxes to the appropriate authorities. The Escrow Parties hereby represent to the Escrow Agent that (i) there is no sale or transfer of an United States Real Property Interest as defined under IRC Section 897(c) in the underlying transaction giving rise to this Agreement; and (ii) such underlying transaction does not constitute an installment sale requiring tax reporting or withholding of imputed interest or original issue discount to the IRS or other taxing authority. (c) Notwithstanding anything to the contrary in this Escrow Agreement, for each calendar year, the Escrow Agent will pursuant to written instructions distribute to the Investors on or before March 15 of the following year an amount equal to the product of (i) 45% and (ii) the income allocated to the Investors under subsection (b) above. (d) The Escrow Agent shall timely file all applicable Form 1099-INT information statements with the Internal Revenue Service and provide associated payee statements to the Investors, documenting the income on the Escrow Amount.

  • Taxpayer Identification Number; Other Identifying Information The true and correct U.S. taxpayer identification number of the Company and each Designated Borrower that is a Domestic Subsidiary and a party hereto on the Closing Date is set forth on Schedule 10.02. The true and correct unique identification number of each Designated Borrower that is a Foreign Subsidiary and a party hereto on the Closing Date that has been issued by its jurisdiction of organization and the name of such jurisdiction are set forth on Schedule 5.17.

  • Taxpayer Identification Number The Borrower’s true and correct U.S. taxpayer identification number is set forth on Schedule 10.02.

  • Employer Identification Number The Administrator shall have and use its own Employer Identification Number for purposes of calculating payroll tax withholdings and providing reports state and federal tax authorities.

  • Tax Identification Number All deposits to the Accounts shall be subject to the Escrow Agent's receipt of a valid tax identification number for the Company, Manager or Potential Investor, as applicable.

  • Personal Identification Number We will issue you a Personal Identification Number (PIN) for use with your Card at VISA NET automatic teller machines (ATM’s). These numbers are issued to you for your security purposes. These numbers are confidential and should not e disclosed to third parties. You are responsible for safekeeping your PIN. You agree not to disclose or otherwise make available your PIN to anyone not authorized to sign on your Accounts. To keep your Account secure, please do not write your PIN on your Card or keep it in the same place as your Card.

  • Customer Identification Program Notice To help the U.S. government fight the funding of terrorism and money laundering activities, U.S. Federal law requires each financial institution to obtain, verify, and record certain information that identifies each person who initially opens an account with that financial institution on or after October 1, 2003. Certain of PNC’s affiliates are financial institutions, and PNC may, as a matter of policy, request (or may have already requested) the Fund’s name, address and taxpayer identification number or other government-issued identification number, and, if such party is a natural person, that party’s date of birth. PNC may also ask (and may have already asked) for additional identifying information, and PNC may take steps (and may have already taken steps) to verify the authenticity and accuracy of these data elements.

  • Taxpayer ID Number The Contractor shall include its taxpayer ID number on all invoices submitted to the County for payment to ensure compliance with IRS requirements and to expedite payment processing.
