Accredited Buyer. Buyer is an "accredited investor" within the meaning of Rule 501 of Regulation D of the Securities Act.

Accredited Buyer. The Buyer is (i) an “accredited Buyer” as that term is defined in Rule 501 of Regulation D promulgated under the 1933 Act by reason of Rule 501(a)(3) and (6), (ii) experienced in making investments of the kind described in this Agreement and the related documents, (iii) able, by reason of the business and financial experience of its officers (if an entity) and professional advisors (who are not affiliated with or compensated in any way by the Company or any of its affiliates or selling agents), to protect its own interests in connection with the transactions described in this Agreement, and the related documents, and (iv) able to afford the entire loss of its investment in the Securities being purchased by the Buyer from the Company.
Accredited Buyer. The Buyer is an “accredited Buyer” as defined in Rule 501(a)(1), (2), (3) or (7) of Regulation D promulgated under the Securities Act of 1933, as amended. It has such knowledge and experience in financial and business matters that it is capable of independently evaluating the risks and merits of purchasing the Acquired Membership Interests; it has independently evaluated the risks and merits of purchasing the Acquired Membership Interests and has independently determined that the Acquired Membership Interests is a suitable investment for it; and it has sufficient financial resources to bear the loss of its entire investment in the Acquired Membership Interests. It has received all the information it considers necessary or appropriate for deciding whether to acquire its respective Acquired Membership Interests and further represents that it has had an opportunity to ask questions and receive answers from the Seller regarding the terms and conditions of the offering of the Acquired Membership Interests.
Accredited Buyer. Rentier is an "accredited investor" within the meaning of SEC Rule 50 l of Regulation D under the Securities Act.
Accredited Buyer. Each Buyer is an “accredited investor” as determined pursuant to Regulation D promulgated under the Securities Act of 1933.
Accredited Buyer. That s/he is an “accredited investor,” as such term is defined under Rule 501 of Regulation D promulgated under the Securities Act of 1933, as amended (the “Securities Act”). S/he is capable of evaluating the merits and risks of purchasing and owning the Seller’s Membership Interest and has substantial experience in making investment decisions of the type contemplated hereby. The purchase and ownership of the Seller’s Membership Interest by such Buyer is consistent with such Buyer’s general investment objectives.
