Accrued Employee Benefits. None of Seller's employees is now, or will by the passage of time hereafter become, entitled to receive any vacation time, vacation pay or severance pay attributable to services rendered prior to the Closing except as set forth in the Schedule 7.5.4.
Accrued Employee Benefits. Sellers shall have paid (i) to each Australian Employee the monetary value of the Australian Employee Benefits accrued by the Australian Employee up to Closing (including, without limitation, the Australian Employee Termination Benefits, as applicable) and (ii) to Xxxxxxx Xxxxxxxx and Xxxx Xxxx the monetary value of the Canadian Employee Benefits or any other amount agreed by him and Xxxxx.xxx in full and final payment of any sums owing to him as a result of his employment by Xxxxx.xxx prior to the Closing Date.
Accrued Employee Benefits. All costs of accrued employee benefits (sick leave, vacation leave, health, dental and life insurance benefits, 401(k) plans, etc., if any) shall be determined as of the date of Closing and shall be credited to the LLC toward payment of the Purchase Price. If such information is not available on the date of Closing it shall be subject to adjustment in cash after the Closing in accordance with Section 12(h).

Accrued Employee Benefits. Except as set forth on Exhibit 3.4, the Seller has no obligation for accrued employee benefits, salaries, bonuses or vacation pay. See Section 12.2(i).
Accrued Employee Benefits. BUYER shall be entitled to receive credit against amounts falling due under the Promissory Note for the sums BUYER pays with respect to all earned and unpaid EMPLOYEE compensation and benefits existing at the time of CLOSING for employees who will be retained by BUYER following the CLOSING, including but not limited to such items as incentive bonus, payable vacation days, payable sick days, etc. In order to obtain such credit, BUYER shall inform SELLER in writing listing each EMPLOYEE's name and benefits paid by it under the provisions of this Section on a monthly basis.
