Acquisition Commission. For supervising the acquisition, purchase or long term lease of Real Property for the Company, the Advisor is to receive an Acquisition Commission equal to the lesser of (i) up to 1% of the cost of acquisition, inclusive of commissions, if any, paid to nonaffiliated brokers; or (ii) the compensation customarily charged in arm's-length transactions by others rendering similar property acquisition services as an ongoing public activity in the same geographical location and for comparable property. The aggregate of each purchase price of each property (including the Acquisition Commissions and all real estate brokerage fees) may not exceed such property's Appraised Value at acquisition.

Acquisition Commission. For locating, leasing or purchasing Real Property for the Company, the Advisor or an Affiliate shall receive an Acquisition Commission equal to the lesser of (i) up to 6% of costs of acquisition, inclusive of commissions, if any, paid to nonaffiliated brokers; or (ii) the compensation customarily charged in arm's-length transactions by others rendering similar property acquisition services as an ongoing public activity in the same geographical location and for comparable property.
Acquisition Commission. If Executive is deemed the Procurring Cause for the consummation of the acquisition of a parking company ("Target Company") by means of the acquisition of 100% of the outstanding capital stock of the Target Company or the acquisition of substantially all of the assets of the Target Company, Executive shall receive a one-time commission payment (the "Acquisition Commission") equal to 2% of the aggregate purchase price for the Target Company (the "Purchase Price'') up to $2 Million, and 1% of the aggregate Purchase Price in excess of $1 Million; provided, however, the total amount of the Acquisition Commission shall not exceed $100,000. The determination of whether Executive is deemed the Procurring Cause for the acquisition of a Target Company and entitled to the Acquisition Commission shall be made by the Company, in its sole discretion and shall be due and payable only upon the consummation of the acquisition of the Target Company. The Target Company subject to the Acquisition Commission must be specified on a Qualifying Certificate signed by the Company in the form of Exhibit A.
Acquisition Commission. The Acquisition Commission shall be paid to Executive within 30 days of the satisfaction of all closing contingencies and the closing of the acquisition of the Target Company.

  • Sales Commission You shall be entitled to charge a sales commission on the sale or redemption, as appropriate, of each series and class of each Fund’s Shares in the amount of any initial, deferred or contingent deferred sales charge as set forth in our then effective prospectus.   • Additional Commission In addition to the payments owed pursuant to Paragraph 1.10 above, and unless Lessor and the Brokers otherwise agree in writing, Lessor agrees that: (a) if Lessee exercises any Option, (b) if Lessee acquires any rights to the Premises or other premises owned by Lessor and located within the same Project, if any, within which the Premises is located, (c) if Lessee remains in possession of the Premises, with the consent of Lessor, after the expiration of this Lease, or (d) if Base Rent is increased, whether by agreement or operation of an escalation clause herein, then, Lessor shall pay Brokers a fee in accordance with the schedule of said Brokers in effect at the time of the execution of this Lease.

  • Real Estate Commissions Neither Seller nor Purchaser has authorized any broker or finder to act on any party’s behalf in connection with the sale and purchase hereunder and neither Seller nor Purchaser has dealt with any broker or finder purporting to act on behalf of any other party. Purchaser agrees to indemnify, defend and hold harmless Seller for, from and against any and all claims, losses, damages, costs or expenses of any kind or character arising out of or resulting from any agreement, arrangement or understanding alleged to have been made by Purchaser or on Purchaser’s behalf with any broker or finder in connection with this Agreement or the transaction contemplated hereby. Notwithstanding anything to the contrary contained herein, this Section 9.2 shall survive the Closing or any earlier termination of this Agreement.

  • Investment Company; Public Utility Holding Company Neither the Company nor any Subsidiary is an "investment company" or a company "controlled" by an "investment company" within the meaning of the Investment Company Act of 1940, as amended, or a "public utility holding company" within the meaning of the Public Utility Holding Company Act of 1935, as amended.

This indemnification shall survive Closing or any termination of this Agreement.
