Actions by Affiliates. Each of Purchaser and Sellers shall cause their respective controlled Affiliates, and shall use their reasonable best efforts to ensure that each of their respective other Affiliates (other than Sponsor in the case of Purchaser) takes all actions reasonably necessary to be taken by such Affiliate in order to fulfill the obligations of Purchaser or Sellers, as the case may be, under this Agreement.
Actions by Affiliates. Each Party agrees that, to the extent this Agreement contemplates any action to be taken by an Affiliate of such Party, such Party, as the case may be, will take all actions necessary to ensure that such Affiliate takes such action and the failure of such Affiliate to take such action shall be deemed a default by such Party.
Actions by Affiliates. All obligations undertaken by Purchaser under this Article IX may be satisfied in whole or in part by an Affiliate of Purchaser.
Actions by Affiliates. All obligations undertaken by Buyer or Seller under this Section 6.04 may be satisfied in whole or in part by an Affiliate of such person.
Actions by Affiliates. Any subsidiary or affiliate participating hereunder shall become a party to the Trust and become an "Employer" hereunder when its Board of Directors delivers a resolution to the Company approving such action along with an adoption agreement, in the form prescribed by the Representative, executed by its officers. A copy thereof shall be filed with the Trustee. Any such Employer shall contribute its allocable share to the cost of maintaining and administering the Trust so long as it remains a party to the Trust.
Actions by Affiliates. Notwithstanding any other provision of this Agreement, the Purchaser shall not be required to cause any portfolio company, investment fund or other Affiliate of any shareholder of the Purchaser or any director, officer, employee, general partner, limited partner, member or manager of any shareholder of the Purchaser to take any action, undertake any divestiture or restrict its conduct other than to provide responsive information required to make any submission or application to a Governmental Entity and to otherwise cooperate in connection with any such submission or application as is necessary and customary under the circumstances.
Actions by Affiliates. In the event an Affiliate of a Party fails to perform any obligation or comply with any provision hereunder that requires performance or compliance by such Affiliate and such failure to perform or comply would constitute or be deemed a breach of the relevant obligation or provision of this Agreement if such Affiliate were the relevant Party, such failure to perform or comply shall be deemed a breach of such obligation or provision by the relevant Party. In the event of any failure of an Affiliate of a Party to perform or comply with an applicable obligation hereunder, the other Party shall provide notice of such failure to the Party whose Affiliate failed to perform, in accordance with Section 16.7.
Actions by Affiliates. Any action required to be performed by a Party under this Development Agreement may be performed by an Affiliate of such Party; provided, however that such Party shall (a) not thereby be relieved of any of its responsibilities under this Development Agreement, and (b) be jointly and severally responsible with such Affiliate for failure by such Affiliate to comply with all relevant restrictions, limitations and obligations in this Development Agreement.
Actions by Affiliates. To the extent that this Agreement requires action to be taken by affiliates of any party hereto, the applicable party shall cause such action to be taken.
Actions by Affiliates. To the best of Buyer's knowledge, no action has been taken by any officer or director of any Affiliate of Buyer and Buyer's Parent purporting to act as an officer or director of Buyer and Buyer's Parent.
