Actions Upon Expiration or Termination. 12.3.1 Upon expiration or termination of this Agreement, for any reason, CARBO shall deliver all Raw Materials, work-in-process and finished Products to PICONYX, at PICONYX’s sole cost and expense. The expiration or termination of this Agreement shall not release any Party of any liabilities or obligations that arose prior to the expiration or termination date. All terms and conditions of this Agreement that, by their nature, a reasonable person would expect to survive the termination of this Agreement shall so survive.

  • Actions Upon Termination In the event of termination not the fault of the Contractor, the Contractor shall be paid for the services properly performed prior to termination, together with any reimbursable expenses then due, but in no event shall such compensation exceed the maximum compensation to be paid under the Contract.
