Activities covered by the Agreement. The activities covered by this Agreement are intended to build a common, shared infrastructure to ensure nationally consistent ECEC data across the ECEC sector. These activities include:  compilation of nationally comparable data in all ECEC data collections to provide evidence of achievement against the six performance indicators in the NP ECE  development and implementation of agreed data standards, definitions, classifications and protocols through a National Minimum Data Set for ECEC  contribution to research and evaluation to inform the ECEC evidence base  development and implementation of a nationally coordinated ECEC dataset underpinned by a National Minimum Data Set for ECEC  development of the capability for collecting and reporting ECEC information at the unit record level, to support research and evaluation, and to provide longitudinal evidence and analysis of outcomes  collection and reporting of timely, high quality national ECEC information, having regard to collection constraints  access to ECEC information for statistical and research purposes, as agreed by the Parties under the Agreement, and  development of strategies to raise awareness of available data and ensure that governments, policy makers, providers and the community know how to access, analyse and use data appropriately.

  • Formation of the Agreement 2.1 The Agreement is binding upon Supplier after accepting the Purchase Order as evidenced by acknowledgement, supply of Goods and/or performance of Services. Versuni expressly rejects Supplier’s general conditions of sale.

  • Terminating the Agreement With reasonable cause, either Client or Contractor may terminate this Agreement, effective immediately upon giving written notice. Reasonable cause includes: A material violation of this Agreement; Any act exposing the other party to liability to others for personal injury or property damage; or Either party terminating this Agreement at any time by giving days' written notice to the other party of the intent to terminate.

  • Termination of the Agreement In the event of failure by the participant to perform any of the obligations arising from the agreement, and regardless of the consequences provided for under the applicable law, the institution is legally entitled to terminate or cancel the agreement without any further legal formality where no action is taken by the participant within one month of receiving notification by registered letter. If the participant terminates the agreement before its agreement ends or if he/she fails to follow the agreement in accordance with the rules, he/she shall have to refund the amount of the grant already paid, except if agreed differently with the sending organisation. In case of termination by the participant due to "force majeure", i.e. an unforeseeable exceptional situation or event beyond the participant's control and not attributable to error or negligence on his/her part, the participant shall be entitled to receive at least the amount of the grant corresponding to the actual duration of the mobility period. Any remaining funds shall have to be refunded, except if agreed differently with the sending organisation.

  • Execution of the Agreement The Company, the party executing this Agreement on behalf of the Company, and the Consultant, have the requisite corporate power and authority to enter into and carry out the terms and conditions of this Agreement, as well as all transactions contemplated hereunder. All corporate proceedings have been taken and all corporate authorizations and approvals have been secured which are necessary to authorize the execution, delivery and performance by the Company and the Consultant of this Agreement. This Agreement has been duly and validly executed and delivered by the Company and the Consultant and constitutes a valid and binding obligation, enforceable in accordance with the respective terms herein. Upon delivery of this Agreement, this Agreement, and the other agreements and exhibits referred to herein, will constitute the valid and binding obligations of Company, and will be enforceable in accordance with their respective terms. Delivery may take place via facsimile transmission.

  • PARTIES TO THE AGREEMENT ‌ The parties to the Agreement (hereinafter "Party" or "Parties") are:

  • Operation of the Agreement A5.1 This Agreement is comprehensive and provides the terms and conditions of employment of employees covered by this Agreement, other than terms and conditions applying under applicable legislation.

  • Relation of the Standard Contractual Clauses to the Agreement Nothing in the Agreement shall be construed to prevail over any conflicting clause of the Standard Contractual Clauses. For the avoidance of doubt, where this DPA further specifies audit and subprocessor rules in sections 5 and 6, such specifications also apply in relation to the Standard Contractual Clauses.

  • Subject of the Agreement The subject of this Agreement is to define conditions of cooperation and rights and duties of the contracting parties while providing Licensed Materials as are defined hereunder.

  • Relationship with the Agreement 2.1 The parties agree that DPA shall replace any existing DPA the parties may have previously entered into in connection with the Services.

  • Annexes to the Agreement The Annexes to this Agreement shall form an integral part thereof.
