Additional Prepayments. If, at the end of any Friday (or, if such day is not a Business Day, then as of the end of the next Business Day), the Consolidated Cash Balance exceeds the lesser of (x) $200,000,000.00 and (y) 10% of the Borrowing Base then in effect, then the Borrower shall, on the next Business Day, prepay the Revolving Credit Borrowings and Swing Line Loans in an aggregate principal amount equal to such excess. Each prepayment of Borrowings pursuant to this Section 3.03(e) shall be applied in the same manner as set forth in Section 3.03(c)(v), shall be subject to Section 3.03(c)(vi), and shall be without premium or penalty except as required under Section 5.02.”

Additional Prepayments. At any time during the term of the Agreement, Esmertec may make additional prepayments of royalties to Insignia at the rates determined in accordance with Section 5.1 with respect to all or some of the Java Environments licensed hereunder, in quantities desired by Esmertec (each a “New Prepay Amount”); provided: (i) any such election to make a New Prepay Amount shall be made prior to June 1, 2004; (ii) actual payment for such New Prepay Amount is received not later than ninety (90) days following Esmertec’s election therefore but in no case later than June 30, 2004; and (iii) that any such election is accompanied with a product allocation statement at the time such payment is made designating: (1) the type of product/units (according to the Java Environment each implements), (2) the applicable royalty rate associated with such type of units, (3) the quantities of each such type of unit, and (4) the total amount of royalties represented by the product allocation, which amount shall equal the New Prepay Amount.
Additional Prepayments. On January 1, 1998 and on the first day of each Julyand January thereafter, the Company may also prepay a principal amount of the Notes equal to the principal amount then required to be prepaid pursuant to subsection (A) of this Section 3.5 or a lesser principal amount not less than an aggregate principal amount of $500,000. The right of prepayment contained in this subsection (B) shall be noncumulative. The exercise of the right to prepay pursuant to this subsection (B) shall not relieve the Company to any extent from its obligation thereafter to make the prepayments required by subsection (A) of this Section 3.5.

  • All Prepayments Except as this Agreement may specifically provide otherwise, all prepayments of the Term Loan shall be applied by Agent to the Obligations in inverse order of maturity. The monthly payments required under Schedule 2.1 shall continue in the same amount (for so long as the Term Loan and/or (if applicable) any advance thereunder shall remain outstanding) notwithstanding any partial prepayment, whether mandatory or optional, of the Term Loan.   • Optional Prepayment of Term Loans The Borrower may at any time and from time to time prepay the Tranche B-1 Term Loans, the Tranche B-2 Term Loans and/or any other Term Loans of any Class, in whole or in part, without premium or penalty (except as provided in Section 2.21 and subject to Section 2.13), in an aggregate principal amount, (1) in the case of Eurocurrency Loans, that is an integral multiple of $1.0 million and not less than $5.0 million, and (2) in the case of ABR Loans, that is an integral multiple of $1.0 million and not less than $5.0 million, or, in each case, if less, the amount outstanding. The Borrower will notify the Administrative Agent by telephone (confirmed by hand delivery, facsimile transmission or e-mail) of such election not later than 11:00 a.m., New York City time, (a) in the case of a Eurocurrency Borrowing, three Business Days before the anticipated date of such prepayment and (b) in the case of an ABR Borrowing, one Business Day before the anticipated date of such prepayment. Each such notice of prepayment will specify the prepayment date and the principal amount of each Borrowing (or portion thereof) to be prepaid. All prepayments under this Section 2.07 will be accompanied by accrued and unpaid interest on the principal amount to be prepaid to but excluding the date of payment. Any such notice may be revocable or conditioned on a refinancing of all or any portion of the Term Facility. Any optional prepayments of Tranche B-1 Term Loans, Tranche B-2 Term Loans and/or other Term Loans of any Class pursuant to this Section 2.07 will be applied to the remaining scheduled amortization payments of such applicable Class of Term Loans as directed by the Borrower (or in the absence of such direction, in direct order of maturity, to the amortization payments of such applicable Class of Term Loans) and will be applied ratably to the Term Loans of such Class included in the prepaid Borrowing.

  • Partial Prepayments Each partial prepayment of the Loan or portion thereof under § 3.3 shall be in a minimum principal amount of $1,000,000 or an integral multiple of $100,000 in excess thereof, shall be accompanied by the payment of accrued interest on the principal prepaid to the date of payment. Each partial payment under § 3.2 and § 3.3 shall be applied first to the principal of Base Rate Advances, and then to the principal of LIBOR Rate Advances.

  • Optional Prepayments with Make Whole Amount. The Company may, at its option, upon notice as provided below, prepay at any time all, or from time to time any part of, the Notes of any series, in an amount not less than $5,000,000 in the case of a partial prepayment of any series, at 100% of the principal amount so prepaid, together with interest accrued thereon to the date of such prepayment, plus the Make-Whole Amount determined for the prepayment date with respect to such principal amount. The Company will give each holder of Notes of any series being prepaid written notice of each optional prepayment under this Section 8.2 not less than 30 days and not more than 60 days prior to the date fixed for such prepayment. Each such notice shall specify such date, the aggregate principal amount of the Notes of such series to be prepaid on such date, the principal amount of each Note of such series held by such holder to be prepaid (determined in accordance with Section 8.3), and the interest to be paid on the prepayment date with respect to such principal amount being prepaid, and shall be accompanied by a certificate of a Senior Financial Officer as to the estimated Make-Whole Amount due in connection with such prepayment (calculated as if the date of such notice were the date of the prepayment), setting forth the details of such computation. Two Business Days prior to such prepayment, the Company shall deliver to each holder of Notes a certificate of a Senior Financial Officer specifying the calculation of such Make-Whole Amount as of the specified prepayment date.
