Advertisers; Subscribers; Circulation. None of the 20 persons, entities or business organizations that generated the greatest amount of advertising revenues for each of the Publications during the period from April 1, 1998 through September 30, 1999 has given notice that they will reduce the level at which it purchases advertising space on a regular basis from the Company or any of the Publications, and, to the Shareholders' knowledge, no existing or potential competitor has taken any action with respect to any market in which any of the Publications are sold or distributed (including, but not limited to, the publication and marketing of a new newspaper or expanded circulation into the geographic area served by any of the Publications or the alteration of the format, schedule, advertising rates, subscription price, distribution methods or practices or marketing efforts of an existing newspaper). Set forth on Section 2.12 of the Disclosure Schedule or attached thereto, is (i) the total paid circulation and the total unpaid circulation for each of the Publications as of the 1998 Balance Sheet Date and as of September 30, 1999, (ii) a list of all advertisements published in each of the Publications during the period from April 1, 1999 through September 30, 1999 in exchange for goods or services, as opposed to cash payment, provided, however, that no such list is required to be delivered if the aggregate value of all such advertisements during such period by all of the Publications, based upon the published rate for the type of advertising involved, is less than $5,000, (iii) a schedule of all sales during the period from April 1, 1999 through September 30, 1999 of, commitments during such period to sell, or representations during such period that it will sell, advertising space in any of the Publications to any party at a rate below the published rate for the type of advertising sold or to be sold, (iv) an accounts receivable aging as of September 30, 1999 of the Company, (v) a description of any circulation drives, including, but not limited to, any discounting or other promotional programs, occurring in the period from April 1, 1999 through September 30, 1999 and (vi) an accounts receivable aging as of September 30, 1999. Set forth on Section 3.18 of the Triple Sub Disclosure Letter is (i) the total paid circulation and the total unpaid circulation for each Triple Newspaper as of December 31, 2005, (ii) a list of the ten businesses or entities that generated the greatest amount of advertising revenues for each Triple Newspaper during the period from January 1, 2005 through December 31, 2005, and (iii) a schedule of all sales during the period from January 1, 2005 through December 31, 2005 or commitments during such period to sell, or representations during such period that it will sell, advertising space in any Triple Newspaper to any party at a rate below the published rate for the type of advertising sold or to be sold.

The Newspapers have no lifetime subscription liabilities.

The Shareholders have delivered to the Buyer or attached to Section 2.12 of the Disclosure Schedule (i) a verified audit circulation report with respect to the total paid circulation and the total unpaid circulation for each of the Publications as of the 1997 Balance Sheet Date and as of October 31, 1998, (ii) a list of the 10 businesses or entities that generated the greatest amount of advertising revenues for the Publications during the period from January 1, 1997 through the 1997 Balance Sheet Date and during the period from January 1, 1998 through October 31, 1998, (iii) a list of all existing arrangements pursuant to which the Company is obligated to publish advertisements in any of the Publications after the date hereof in exchange for goods or services, as opposed to cash payment and (iv) an accounts receivable aging as of October 31, 1998 of the Company.   • Customer Content As part of the Services provided under this Agreement, Customer Data will be stored and processed in the data center region specified in the applicable Ordering Document. Axway shall not access Customer Content except in response to support or technical issues where Customer provides Axway with prior Customer’s written authorization required to access such Customer Content. Axway is not responsible for unauthorized access, alteration, theft or destruction of Customer Content arising from Customer’s own or its authorized users’ actions or omissions in contravention of the Documentation. Customer’s ability to recover any lost data resulting from Axway’s misconduct is limited to restoration by Axway from the most recent back-up.

  • Unlisted/Non-Published Subscribers <<customer_name>> will be required to provide to BellSouth the names, addresses and telephone numbers of all <<customer_name>> customers that wish to be omitted from directories.

  • ADVERTISING RESULTS The prior written approval of the Commissioner is required in order for results of the Bid to be used by the Contractor as part of any commercial advertising. The Contractor shall also obtain the prior written approval of the Commissioner relative to the Bid or Contract for press or other media releases.

Open Ecosystem Partner may add its own material to the information supplied by either indirectly by Distributor or directly by SAP, solely for the purposes of Open Ecosystem Partner's own marketing activities. Tax-exempt bonds issued by a Transmission Owner under an agreement between the Transmission Owner and the New York State Energy Research and Development Authority (“NYSERDA”), or its successor, or by a Transmission Owner itself, and pursuant to Section 142(f) of the Internal Revenue Code, 26 U.S.C. § 142(f). Locality. A single LBMP Load Zone or set of adjacent LBMP Load Zones within one Transmission District within which a minimum level of Installed Capacity must be maintained. Local Reliability Rule. A Reliability Rule established by a Transmission Owner, and adopted by the NYSRC to meet specific reliability concerns in limited areas of the NYCA, including without limitation, special conditions and requirements applicable to nuclear plants and special requirements applicable to the New York City metropolitan area. Locational Based Marginal Pricing (“LBMP”). A pricing methodology under which the price of Energy at each location in the NYS Transmission System is equivalent to the cost to supply the next increment of Load at that location (i.e., the short-run marginal cost). The short-run marginal cost takes generation Bid Prices and the physical aspects of the NYS Transmission System into account. The short-run marginal cost also considers the impact of Out-of-Merit Generation (as measured by its Bid Price) resulting from the Congestion and Marginal Losses occurring on the NYS Transmission System which are associated with supplying an increment of Load. The term LBMP also means the price of Energy bought or sold in the LBMP Markets at a specific location.
