Affiliates & Agents. Plan Sponsor acknowledges and agrees that Empower may utilize the services of Affiliates, agents and suppliers selected by Empower. Empower’s use of any such party will not relieve Empower of its obligations hereunder, and Empower shall at all times remain liable f or the perf ormance of the Services hereunder. Notwithstanding the foregoing, and notwithstanding that Empower and Plan Sponsor are entering into this Agreement, the obligations under each Schedule are solely the obligations of the Empower Affiliate that entered into that Schedule (including the terms of this Agreement that are incorporated therein by reference), and neither Empower nor any Empower Affiliate shall be jointly and severally liable with any other Empower entity. Neither Empower nor any Empower Affiliate shall be the guarantor of the obligations of any other Empower Affiliate.

Affiliates & Agents. As used in this AGREEMENT, the term "AFFILIATES" refers to any corporation, association, or other entity that directly or indirectly owns, is owned by, or is under common ownership with The Procter & Xxxxxx Company or with Box Elder County, respectively, either currently or during the term of this AGREEMENT. As used in this definition, the terms "owns," "owned", or "ownership" mean the direct or indirect possession of more than 50% of the voting securities, income interest, or a comparable equity in such business entity. As used in this AGREEMENT, the term "AGENTS" refers to any companies that are performing work for or on behalf of P&G.

Affiliates & Agents. The Services will be provided under this Agreement through AT&T, to AT&T’s operating Affiliates. In connection therewith (a) AT&T shall be the sole point of contact for all communications with, and the flow of information and materials from and to Synacor under this Agreement, (b) except as expressly set forth in Article XVIII and Section 21.20, Synacor shall have no liability under this Agreement to any AT&T Affiliate. Synacor may perform its obligations under this Agreement through its Affiliates and, subject to Section 7.7, Synacor Agents. Each Party will be responsible and liable for any act or omission of such Party’s Affiliates and Agents to the same extent that such Party would be responsible and liable for its own acts or omissions under this Agreement.
