Agents for Service of Process. 30.1 Each of Unilever N.V. and JDI and each Unilever Affiliate and JDI Affiliate not incorporated or organised in England and/or Wales hereby appoints the agent set against its name below to be its agent for the receipt of service of process in England and agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent: Unilever N.V. and each such Unilever Affiliate Unilever PLC Xxxxxxxx Xxxxx Xxxxxxxxxxx Xxxx XX0X 0XX Xxxxxxx Attention: General Counsel JDI and each such JDI Affiliate JohnsonDiversey Limited (registered in England no. 2565578) Xxxxxx Xxxxxx Xxxxxx Xxxxxxxxxxx - XX0 0 XX Xxxxxx Xxxxxxx Attention: Managing Director
30.2 Any Service Document shall be deemed to have been duly served on a party if marked for the attention of that party’s Process Agent at the address above or such other address within England or Wales as may be notified to the party wishing to serve the document and:
(A) left at the specified address; or
(B) sent to the specified address by first class post or air mail. In the case of (A), the Service Document shall be deemed to have been duly served when it is left. In the case of (B), the Service Document shall be deemed to have been served two clear Business Days after the date of posting.
30.3 If a Process Agent at any time ceases for any reason to act as such, the party for whom that Process Agent acted shall appoint a replacement Process Agent having an address for service in England or Wales and shall notify the other Parties of the name and address of the replacement Process Agent. Failing such appointment and notification, any other party shall be entitled by notice to the relevant party to appoint a replacement Process Agent to act on the relevant party’s behalf. The provisions of this clause applying to service on a Process Agent apply equally to service on a replacement Process Agent.
30.4 A copy of any Service Document served on a Process Agent shall be sent by post (or otherwise in a manner permitted by clause 31 of this agreement) to the appointor of the Process Agent and (where the appointor is a Unilever Affiliate) to the Unilever Parties and (where the appointor is a JDI Affiliate) to JDI. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Document.
Agents for Service of Process. 21.1 Bidder shall at all times maintain an agent for service of process in England. Bidder irrevocably appoints Bidco (such entity or any replacement agent appointed pursuant to Clause 21.3, “Agent”) as its agent for such purpose.
21.2 Without prejudice to any other permitted mode of service, each party agrees that service of any claim form, notice or other document for the purpose of any Proceedings begun in England shall be duly served upon it if served on the Agent in any manner permitted by the UK Civil Procedure Rules, whether or not it is forwarded to the party.
21.3 If for any reason the Agent appointed by any party at any time ceases to act as such, the party shall promptly appoint another such agent and promptly notify the other parties of the appointment and the new agent’s name and address in accordance with Clause 17. If the party concerned does not make such an appointment within seven Business Days of such cessation, then any other party may make such appointment on behalf of, and at the expense of, such defaulting party and if it does so shall promptly notify the other parties of the new agent’s name and address in accordance with Clause 17.
Agents for Service of Process. Agents for Service of Process. Without prejudice to any other method of service allowed by law, Thorium Power appoints Pillsbury Wxxxxxxx Xxxx Xxxxxxx LLP, Tower 42, Level 23, 20 Xxx Xxxxx Xxxxxx Xxxxxx, XX0X 0XX, Xxxxxx Xxxxxxx and ENEC appoints [ ] as their respective agents for service or process in any proceedings before the English Courts. If any person appointed as process agents is unable for any reason to act, the party which appointed the process agent, must immediately appoint another agent and failing such appointment within fourteen (14) days of the event taking place, the other party may appoint the agent. Failure by a process agent to notify a party of any process will not invalidate the relevant proceedings.
Agents for Service of Process. Roomlinx, Xxxxx, XxXxxxx and SignalShare Infrastructure hereby irrevocably designate as their respective Agents for Service of Process the persons identified in the right hand column next to their respective names in paragraph 26 of this Settlement Agreement, which they, and each of them, hereby authorize to receive service of any legal process, including service of the Stipulations and Dismissals described in paragraph 7 of this Settlement Agreement.
Agents for Service of Process. The parties hereto hereby designate the following as their agents for service of process and will waive any objection to service of process if served upon its agent as set forth below: Waiver of Anticipated Profits. Operator hereby waives any claim against Authority and its Board members, officers, employees, agents, representatives, contractors, subcontractors, affiliates, consultants, successors, and assigns for loss of anticipated profits caused by any suit or proceedings directly or indirectly attacking the validity of this Concession Agreement or any part hereof, or by any judgment or award in any suit or proceeding declaring this Concession Agreement null, void or voidable, or by delaying the exercise of any rights under this Concession Agreement.
Agents for Service of Process. Evergreen hereby irrevocably appoints Xxxx Xxxxxx, c/x Xxxxxxx & Xxxxx, Xxxxx 00, 0 Xxxx Xxxxxx, Xxxxxx, XXX Xxxxxxxxx, as its agent for the service of process in New South Wales in connection with this Agreements, service upon whom shall be deemed complete whether or not forwarded to or received by Evergreen. Nothing contained in this Agreement shall affect the right to serve process in any other manner permitted by law, nor affect the right to bring proceedings in any other jurisdiction whether in connection with this Agreement or otherwise.
Agents for Service of Process. Each Trustee shall be considered as an agent of the Trust Fund for the purpose of accepting service of legal process; provided that the Trustees may designate their administrative agent, or another person, as agent of the Trust Fund for this purpose.
