Agreement to Convey to Agency. The Company has conveyed or has caused to be conveyed to the Agency (i) a leasehold interest in the Land, including any buildings, structures or other improvements thereon, and (ii) lien-free title to the Equipment, and will convey or cause to be conveyed to the Agency lien-free title to or a leasehold interest in the Equipment and Improvements acquired after the date hereof, in each case except for Permitted Encumbrances.

Agreement to Convey to Agency. The Company has conveyed to the Agency a leasehold interest in real property, including any buildings, structures or improvements thereon, described in Exhibit A attached hereto and the Company has or will convey all of its interest to the Agency in the Equipment described in Exhibit B attached hereto. The Company agrees that the Agency’s interest in the Facility resulting from said conveyances will be sufficient for the purposes intended by this Leaseback Agreement and agrees that it will defend, indemnify and hold the Agency harmless from any expense or liability arising out of a defect in title or a lien adversely affecting the Facility and will pay all reasonable expenses incurred by the Agency in defending any action respecting title to or a lien affecting the Facility.
Agreement to Convey to Agency. The Company has conveyed, or has caused to be conveyed, or will convey, or will cause to be conveyed, to the Agency all of the interest in real property, including any buildings, structures or improvements thereon, described in Exhibit "A" attached hereto and the equipment and personal property described in Exhibit "B" attached hereto (the "Equipment" and collectively the "Facility"). The Company agrees that the Agency's interest in such Facility will be sufficient for the purposes intended by this Lease Agreement and agrees that it will defend, indemnify and hold the Agency harmless from any expense or liability arising out of a defect in title or a lien adversely affecting the Facility and will pay all reasonable expenses incurred by the Agency in defending any action respecting title to or a lien affecting the Facility. Provided, however, that the Agency accepts title subject to the encumbrances referred to in Section 1.2(e).

The Company agrees that it will defend, indemnify and hold the Agency harmless from any expenses incurred by the Agency in defending any action respecting title to or a Lien affecting the Facility, unless such Lien is consented to by the Agency.
Agreement to Convey to Agency. The Company has or will convey, or will cause to be conveyed, to the Agency, pursuant to the Company Lease and the Bill of Sale to Agency, all the Company’s right, title and interest in and to the Facility. The Company represents and warrants that it has good and marketable title to the portions of the Facility that exist on the date hereof, free and clear from all Liens except Permitted Encumbrances, and agrees that it will defend, indemnify and hold the Agency harmless from any expenses or liability due to any defect in title thereto. The Company also agrees to pay all reasonable expenses incurred by the Agency in defending any action with respect to title to or a Lien affecting the Facility, except for Permitted Encumbrances.
Agreement to Convey to Agency. The Company will convey or cause to be conveyed to the Agency title to the Equipment, if any, to be owned by the Agency and Improvements acquired after the date hereof, subject to Permitted Encumbrances.
