Agreement to Return Company Property/Documents. Executive acknowledges that his employment with the Company and its Affiliates has terminated effective as of the Termination Date. Accordingly, Executive agrees that, in accordance with the Company’s policy: (i) Executive will not take with him, copy, alter, destroy or delete any files, documents or other materials whether or not embodying or recording any Confidential Information (as defined in the Employment Agreement), including copies, without obtaining in advance the written consent of an authorized Company representative; and (ii) Executive will promptly return to the Company all Confidential Information, documents, files, records and tapes (written or electronically stored) that are in Executive’s possession or under his control, and Executive shall not use or disclose such materials in any way or in any format, including written information in any form, information stored by electronic means, and any and all copies of such materials. Executive further agrees that he will return to the Company immediately all Company property, including, without limitation, any Company-provided keys, equipment, computer and computer equipment, devices, any other Company cellular phones, Company credit cards, business cards, data, lists, information, correspondence, notes, memorandums, reports or other writings prepared by the Company or Executive on behalf of the Company or an Affiliate.

Following the termination of CONSULTANT’s consulting arrangement for any reason, CONSULTANT agrees that: (i) he will not take with him, copy, alter, destroy, or delete any files, documents or other materials whether or not embodying or recording any Confidential Information, including copies, without obtaining in advance the written consent of an authorized COMPANY representative; and (ii) he will promptly return to the COMPANY all Confidential Information, documents, files, records and tapes (written or electronically stored) that have been in his possession or control regarding the COMPANY, and he will not use or disclose such materials in any way or in any format, including written information in any form, information stored by electronic means, and any and all copies of these materials. He further agrees to return to the COMPANY immediately all COMPANY property, including, without limitation, keys, equipment, computer(s) and computer equipment, devices, COMPANY cellular phones, other COMPANY telephonic equipment, COMPANY credit cards, data, lists, information, correspondence, notes, memos, reports, or other writings prepared by the COMPANY or himself on behalf of the COMPANY.

Accordingly, Xxxxxxxx agrees that: (i) he did not and will not take with him, copy, alter, destroy, or delete any files, documents, electronically stored information, or other materials whether or not embodying or recording any Confidential Information, including copies, without obtaining in advance the written consent of an authorized SPACEHAB representative; and (ii) he will promptly return to SPACEHAB all Confidential Information, documents, files, records and tapes (written or electronically stored) that have been in his possession or control regarding SPACEHAB or any SPACEHAB Released Party, and he will not use or disclose such materials in any way or in any format, including written information in any form, information stored by electronic means, and any and all copies of these materials. Xxxxxxxx further agrees that upon or before the execution of this Agreement, he will return to SPACEHAB all SPACEHAB or SPACEHAB Released Party property, including, without limitation, all papers, notebooks, reports, manuals, computer files, software, vehicle, tools, keys, credit authorizations, apparatus, computer user identifiers, passwords and other property furnished to Xxxxxxxx by SPACEHAB or any SPACEHAB Released Party, or other property which was prepared or made in whole or in part by Xxxxxxxx in connection with his SPACEHAB employment.

The Executive will promptly return to HCC all Confidential Information, documents, files, electronically stored information, records and tapes (written or electronically stored) regarding HCC that are in his possession or control, and he will not use or disclose such materials in any way or in any format, including written information in any form, information stored by electronic means, and any and all copies of these materials. Upon or before the execution of this Agreement, Executive will return to HCC all HCC property, including, without limitation, company automobiles, keys, equipment, computer(s) and computer equipment, devices, cellular phones, other telephonic equipment, HCC credit cards, data, lists, information, correspondence, notes, memos, reports, or other writings prepared by HCC or himself on behalf of HCC. If Executive so elects, Executive may alternatively notify HCC that he elects to purchase any such HCC property in his possession, and HCC will sell such HCC property to Executive at its fair market value as determined by HCC. The Company shall assign to Executive any term life insurance policies on Executive’s life owned by the Company upon payment by Executive of any paid premium therefor.

Accordingly, Executive agrees that (i) he did not and will not remove, alter, destroy, or delete any files, documents, electronically stored information, or other materials whether or not embodying or recording any Confidential Information, including copies, without obtaining in advance the written consent of an authorized Employer Group representative; and (ii) he will promptly return to Employer Group all Confidential Information in what ever form maintained that has been in his possession or control regarding Employer Group or any of the Employer Group Released Parties, provided, however, that Executive may retain copies of the various agreements Executive negotiated with Rxxx-Xxxxxxx and copies of the various files and work papers pertaining to dispositions, joint ventures, development properties, and acquisitions on which Executive worked during his employ with Employer Group. Executive shall make all such files available to the Employer Group for review upon ten (10) days prior written notice. Notwithstanding the foregoing, Executive understands and agrees that the provisions of paragraph 12 shall continue to be applicable to such retained copies. Except as expressly set forth in this Agreement, Executive further agrees that upon or before the execution of this Agreement, he will return to Employer Group all Employer Group or Employer Group Released Parties property, including, without limitation, keys, equipment, computer(s) and computer equipment, devices, Employer Group credit cards, data, lists, information, correspondence, notes, memos, reports, or other writings prepared by Employer Group or himself on behalf of Employer Group or any Employer Group Released Parties. The Executive will promptly return to Xxxxxx Drilling all Confidential Information, documents, files, electronically stored information, records and tapes (written or electronically stored) regarding Xxxxxx Drilling that are in his possession or control, and he will not use or disclose such materials in any way or in any format, including written information in any form, information stored by electronic means, and any and all copies of these materials. Upon or before the execution of this Agreement, Executive will return to Xxxxxx Drilling all Xxxxxx Drilling property except the property described in paragraph 9 above, including, without limitation, company automobiles, keys, equipment, computer(s) and computer equipment, devices, cellular phones, other telephonic equipment, Xxxxxx Drilling credit cards, data, lists, information, correspondence, notes, memos, reports, or other writings prepared by Xxxxxx Drilling or himself on behalf of Xxxxxx Drilling.
