Agreement to Return Company Property/Documents. Executive acknowledges that his employment with the Company and its Affiliates has terminated effective as of the Termination Date. Accordingly, Executive agrees that, in accordance with the Company’s policy: (i) Executive will not take with him, copy, alter, destroy or delete any files, documents or other materials whether or not embodying or recording any Confidential Information (as defined in the Employment Agreement), including copies, without obtaining in advance the written consent of an authorized Company representative; and (ii) Executive will promptly return to the Company all Confidential Information, documents, files, records and tapes (written or electronically stored) that are in Executive’s possession or under his control, and Executive shall not use or disclose such materials in any way or in any format, including written information in any form, information stored by electronic means, and any and all copies of such materials. Executive further agrees that he will return to the Company immediately all Company property, including, without limitation, any Company-provided keys, equipment, computer and computer equipment, devices, any other Company cellular phones, Company credit cards, business cards, data, lists, information, correspondence, notes, memorandums, reports or other writings prepared by the Company or Executive on behalf of the Company or an Affiliate.

Consultant further agrees to return to the Company immediately all Company property issued at any time during the Term of this Agreement, including, without limitation, keys, equipment, computer(s) and computer equipment, devices, data, lists, information, correspondence, notes, memos, reports, or other writings prepared by the Company or Consultant on behalf of the Company.

Following the termination of CONSULTANT’s consulting arrangement for any reason, CONSULTANT agrees that: (i) he will not take with him, copy, alter, destroy, or delete any files, documents or other materials whether or not embodying or recording any Confidential Information, including copies, without obtaining in advance the written consent of an authorized COMPANY representative; and (ii) he will promptly return to the COMPANY all Confidential Information, documents, files, records and tapes (written or electronically stored) that have been in his possession or control regarding the COMPANY, and he will not use or disclose such materials in any way or in any format, including written information in any form, information stored by electronic means, and any and all copies of these materials. He further agrees to return to the COMPANY immediately all COMPANY property, including, without limitation, keys, equipment, computer(s) and computer equipment, devices, COMPANY cellular phones, other COMPANY telephonic equipment, COMPANY credit cards, data, lists, information, correspondence, notes, memos, reports, or other writings prepared by the COMPANY or himself on behalf of the COMPANY.
Agreement to Return Company Property/Documents. Xxxxxxx understands and agrees that his last day of active work as a director, officer and employee of SPACEHAB shall be December 31, 2006. Accordingly, Xxxxxxx agrees that: (i) he did not and will not take with him, copy, alter, destroy, or delete any files, documents, electronically stored information, or other materials whether or not embodying or recording any Confidential Information, including copies, without obtaining in advance the written consent of an authorized SPACEHAB representative; and (ii) he will promptly return to SPACEHAB all Confidential Information, documents, files, records and tapes (written or electronically stored) that have been in his possession or control regarding SPACEHAB or any SPACEHAB Released Party, and he will not use or disclose such materials in any way or in any format, including written information in any form, information stored by electronic means, and any and all copies of these materials. Xxxxxxx further agrees that upon or before the execution of this Agreement, he will return to SPACEHAB all SPACEHAB or SPACEHAB Released Party property, including, without limitation, company automobiles, keys, equipment, computer(s) and computer equipment, devices, cellular phones, SPACEHAB credit cards, data, lists, information, correspondence, notes, memos, reports, or other writings prepared by SPACEHAB or himself on behalf of SPACEHAB or any SPACEHAB Released Party.

The Executive will not take with him, copy, alter, destroy, or delete any files, documents, electronically stored information, or other materials whether or not embodying or recording any Confidential Information, including copies, without obtaining in advance the written consent of an authorized HCC representative. The Executive will promptly return to HCC all Confidential Information, documents, files, electronically stored information, records and tapes (written or electronically stored) regarding HCC that are in his possession or control, and he will not use or disclose such materials in any way or in any format, including written information in any form, information stored by electronic means, and any and all copies of these materials. Upon or before the execution of this Agreement, Executive will return to HCC all HCC property, including, without limitation, company automobiles, keys, equipment, computer(s) and computer equipment, devices, cellular phones, other telephonic equipment, HCC credit cards, data, lists, information, correspondence, notes, memos, reports, or other writings prepared by HCC or himself on behalf of HCC. If Executive so elects, Executive may alternatively notify HCC that he elects to purchase any such HCC property in his possession, and HCC will sell such HCC property to Executive at its fair market value as determined by HCC. The Company shall assign to Executive any term life insurance policies on Executive’s life owned by the Company upon payment by Executive of any paid premium therefor.

Accordingly, Mxxxxx agrees that: (i) he did not and will not take with him, copy, alter, destroy, or delete any files, documents, electronically stored information, or other materials whether or not embodying or recording any Confidential Information, including copies, without obtaining in advance the written consent of an authorized HCC representative; and (ii) he will promptly return to HCC all Confidential Information, documents, files, records and tapes (written or electronically stored) that have been in his possession or control regarding HCC or any HCC Releasee, and he will not use or disclose such materials in any way or in any format, including written information in any form, information stored by electronic means, and any and all copies of these materials, except in each case any materials or information that may be regarded as Confidential Information that is maintained in the files of Mxxxxx’x legal counsel solely in connection with such counsel’s representation of Mxxxxx. Mxxxxx or his legal counsel shall provide an inventory specifically identifying all such Confidential Information within thirty (30) days of the Effective Date. Mxxxxx further agrees that upon or before the execution of this Agreement, he will return to HCC all HCC or HCC Releasee property, including, without limitation, company automobiles, keys, equipment, computer(s) and computer equipment, devices, cellular phones, HCC credit cards, data, lists, information, correspondence, notes, memos, reports, or other writings prepared by HCC or himself on behalf of HCC or any HCC Releasee.

Employee further agrees that on or before the Separation Date, he will return to the Company immediately all Company property, including, without limitation, keys, equipment, computer(s) and computer equipment, devices, Company cellular phones, Company credit cards, data, electronically stored information, lists, correspondence, notes, memos, reports, or other writings prepared by the Company or himself on behalf of the Company.
