Aircraft Assets Related Documents. Each Aircraft Assets Related Document is a legal, valid and binding agreement of the Person within the ACS Group that is a party thereto (including by way of assignment or novation) and is enforceable against such Person within the ACS Group that is a party thereto in accordance with its terms except where enforceability may be limited by general equitable principles, insolvency, liquidation, reorganization and other laws of general application relating to creditorsrights or claims or the concepts of materiality, reasonableness, good faith and fair dealing. No Person within the ACS Group has modified, amended or waived any provision of or terminated any Aircraft Assets Related Documents referred to in Schedule 5.01(b) of the Remarketing Services Agreements except as disclosed therein.

Aircraft Assets Related Documents. The Servicer shall provide to the Security Trustee a copy of each fully executed Aircraft Assets Related Document received by the Servicer no later than ten Business Days after the receipt thereof by the Servicer. For purposes of this Section 9.7, the term “Aircraft Assets Related Documents” does not include letters of intent, memoranda of understanding or similar documents.
Aircraft Assets Related Documents. (a) The Servicer shall not be required to perform any service provided for in or in connection with any Aircraft Assets Related Documents not in its possession (all such Aircraft Assets Related Documents listed in Schedule 4.02 being in its possession) or delivered to it, and, to the extent that the failure to provide such service results in any Losses to the Servicer, GFL shall indemnify the Servicer for such Losses on an After-Tax Basis, in accordance with the provisions of Article XI.
Aircraft Assets Related Documents. Each Aircraft Assets Related Document provided by the previous servicer to AerFi Group plc or subsequently delivered to the Servicer is (or at the time of such delivery will be) in full force and effect and a legal, valid and binding agreement of the Person in AerCo Group, whether such Person became or becomes a member of AerCo Group prior to, on or after the Closing Date, that is a party thereto and, to the best knowledge of such Person within AerCo Group, each such other party thereto, and is (or at the time of such delivery will be) enforceable against such Person within AerCo Group that is a party thereto and, to the best knowledge of such Person within AerCo Group, against each such other party thereto in accordance with its terms subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar laws affecting creditors' rights and remedies and to general equity principles. To the best knowledge of AerCo after due inquiry (it being understood that such due inquiry shall consist of a review of the Aircraft Assets Related Documents obtained by AerCo and the Subsidiaries from the previous servicer of the Initial Aircraft), none of the Aircraft Assets Related Documents listed on Schedule 4.02 or subsequently delivered to the Servicer has been modified, amended or terminated except as disclosed therein. To the best knowledge of AerCo after due inquiry (it being understood that such due inquiry shall consist of a review of the Aircraft Assets Related Documents obtained by AerCo and the Subsidiaries from the previous servicer of the Initial Aircraft), except as set forth in the Aircraft Assets Related Documents with respect to specific potential defaults, each Person within AerCo Group (and each predecessor-in-interest of any Person) has performed or is performing all material obligations required to be performed by it under the applicable Aircraft Assets Related Documents and is not (with or without notice or lapse of time or both) in breach or default in any material respect thereunder and, to the best knowledge of AerCo, no other party to any of the Aircraft Assets Related Document is or at the time of the delivery of such Aircraft Assets Related Document to the Servicer will be (with or without notice or lapse of time or both) in breach or default in any material respect thereunder.

Aircraft Assets Related Documents. Schedule 4.02 sets forth a true and complete list of all material Aircraft Assets Related Documents. The Aircraft Assets Related Documents relating to Aircraft owned as of the date hereof by any AOE have been delivered to the Servicer and the Aircraft Assets Related Documents relating to a particular Aircraft yet to be purchased by and delivered to any AOE shall be delivered to the Servicer on the applicable Delivery Date. Any Aircraft Assets Related Document received after the relevant Delivery Date that has not previously been delivered to the Servicer shall be delivered to the Servicer by the relevant AOE promptly upon receipt after the relevant Delivery Date. The Servicer shall not be required to perform any service provided for in any Aircraft Assets Related Documents not delivered to it.
