Allocated Termination Value. The "Allocated Termination Value" of the Property, at any time, as a whole is the sum of the Series A (HCL) Portion, Series B (HCL) Portion and Certificate (HCL) Portion of the Adjusted Capitalized Cost, or, if determined prior to the consummation of the refinancing of the Interim Notes (HCL Series) contemplated by Article III of the Participation Agreement, the sum of the then outstanding The "Series A (HCL) Portion" of the Adjusted Capitalized Cost at any time shall be equal to the then outstanding aggregate principal amount of the A-Notes (HCL Series) together with interest accrued and unpaid and all other amounts due thereon or with respect thereto; The "Series B (HCL) Portion" of the Adjusted Capitalized Cost at any time shall be equal to the then outstanding aggregate principal amount of the B-Notes (HCL Series), together with interest accrued and unpaid and all other amounts due thereon or with respect thereto; and The "Certificate (HCL) Portion" of the Adjusted Capitalized Cost at any time shall be equal to the then outstanding aggregate stated amount of the Certificates (HCL Series) together with Distributions and all other amounts due thereon or with respect thereto. Capitalized terms used herein and not defined herein shall have the meanings ascribed to them in the Lease (and the other Schedules thereto) to which this Schedule C is attached, including terms defined by reference in the Lease to the other Operative Documents.

  • Allocated Values The Purchase Price is allocated among the Assets as set forth in Exhibit C attached hereto (the “Allocated Values”). The Parties agree that the Allocated Values shall be used to compute any adjustments to the Purchase Price pursuant to the provisions of Article III and Article IV, and for preferential rights purposes.

  • Termination Period This Option shall be exercisable for three (3) months after Participant ceases to be a Service Provider, unless such termination is due to Participant’s death or Disability, in which case this Option shall be exercisable for twelve (12) months after Participant ceases to be a Service Provider. Notwithstanding the foregoing sentence, in no event may this Option be exercised after the Term/Expiration Date as provided above and this Option may be subject to earlier termination as provided in Section 13 of the Plan.

The Employee can rebut the above presumption if he proves the idea, process or invention (i) was first conceived or developed after termination of employment, (ii) was conceived or developed entirely on the Employee’s own time without using the Company’s equipment, supplies, facilities, personnel or Confidential Information, and (iii) did not result from or is not derived directly or indirectly, from any work performed by the Employee for the Company or from work performed by another employee of the Company to which the Employee had access.
