Interim Notes definition

Interim Notes means the notes issued and outstanding under the Interim Notes Indenture.

Interim Notes shall have the meaning set forth in the recitals hereto.

Interim Notes means the 9.00% Mandatorily Redeemable Convertible Senior Secured Notes due 2012 issued by the Company pursuant to the Interim Indenture.

• Upon the execution and delivery of any such copy of this Agreement by any such Person, such Person, shall, upon delivery thereof to the Controlling Collateral Agent and the Interim Notes Collateral Agent, thereafter become a party to this Agreement.

• Each of the Working Capital Facility Collateral Agent and the Working Capital Facility Lenders, in the first instance, the Interim Notes Collateral Agent and the Interim Notes Noteholders, in the second instance, and the Pari Passu Collateral Agent and the Pari Passu Lenders, in the third instance, may demand specific performance of this Agreement.

Interim Notes means those certain promissory notes of SearchMedia International Limited, dated as of March 18, 2009 or March 19, 2009, in favor of certain of the Shareholders to be converted into securities of the Company in connection with the Business Combination.
