Allocation of the Program Manager Fee. The College shall pay the Program Manager based on time and materials actually billed, as detailed herein, in accordance with the Staffing Plan attached to this Exhibit as Attachment “1.” The aggregate Program Manager Fee, shall not exceed Seven Hundred Seventy-Nine Thousand Eight Hundred Fifty-One Dollars ($779,851) for the first year of the Agreement (“Annual Cap”). The first year of the Agreement shall commence on the date the Program Manager receives the written Notice to Proceed signed by the College’s Representative, and shall end exactly one (1) year later, wherein the second year of the Agreement shall immediately commence. The third, fourth and fifth years of this Agreement shall commence immediately after the end of the previous year. If the Program Manager’s aggregate xxxxxxxx do not equal the Annual Cap for any single year, the difference between the xxxxxxxx and the Annual Cap shall NOT be added on to the Annual Cap for the next or any other year remaining on the Term of the Agreement.

In addition to the amounts determined pursuant to Articles IV and VI of this Agreement, Applicant on an annual basis shall also indemnify and reimburse District for all non-reimbursed costs, certified by the District’s external auditor to have been incurred by the District for extraordinary education-related expenses directly and solely related to the project that are not directly funded in state aid formulas, including expenses for the purchase of portable classrooms and the hiring of additional personnel to accommodate a temporary increase in student enrollment caused directly by such project. Applicant shall have the right to contest the findings of the District’s external auditor pursuant to Section 4.9 above.
