Amendment to Offering Memorandum and Supplements. The Company will advise each Initial Purchaser promptly of any proposal to amend or supplement the Offering Memorandum and will not effect such amendment or supplement without the consent of the Initial Purchasers. Neither the consent of the Initial Purchasers, nor the Initial Purchaser's delivery of any such amendment or supplement, shall constitute a waiver of any of the conditions set forth in Section 5 hereof.

Until the Closing Time, the Company and the Guarantor will advise the Representatives promptly of their intention to amend or supplement the Offering Memorandum, will furnish the Representatives with copies of any such documents a reasonable amount of time prior to their use, and will not use any such document to which the Representatives or counsel to the Representatives shall reasonably object.

Prior to the completion of the placement of the Securities by the Initial Purchasers as evidenced by a notice in writing from Merrill Lynch on behalf of the Initial Purchasers to the Company, the Company will advise each Initial Purchaser promptly of any proposal to amend or supplemexx xxx Oxxxxxng Memorandum (but not including any amendment or supplement to the Offering Memorandum through the filing of any document which is to be incorporated by reference therein) and will not effect such amendment or supplement without the consent of the Initial Purchasers, such consent not to be unreasonably withheld or delayed. Neither the consent of the Initial Purchasers, nor the Initial Purchaser's delivery of any such amendment or supplement, shall constitute a waiver of any of the conditions set forth in Section 5 hereof. Prior to the completion of the placement of the Securities by the Initial Purchasers as evidenced by a notice in writing from Merrill Lynch on behalf of the Initial Purchasers to the Company, the Company will furnish to Merrill Lynch on behalf of the Initial Purchasers, at least 24 hxxxx, xr xxxx shorter period as is reasonably required by the circumstances, prior to the filixx xxxxexx xxth the Commission, a draft of each document which is to be filed by the Company with the Commission and incorporated by reference in the Offering Memorandum). Merrill Lynch on behalf of the Initial Purchasers shall notify the Company in writing of the completion of the placement of the Securities by the Initial Purcxxxxxx pxxxxxly thereafter.

Neither the consent of the Initial Purchasers, nor the Initial Purchasers' delivery of any such amendment or supplement, shall constitute a waiver of any of the conditions set forth in Section 7 hereof.
