Annual Audited Financial Reports. As soon as available and in any event within one hundred twenty (120) days after the end of each of calendar year or other fiscal year as may be applicable with respect to Borrower and Guarantor (a "Fiscal Year"), statements of income and expense and cash flow of Borrower and Guarantor for the annual period ended as of the end of such Fiscal Year, and balance sheets of Borrower and Guarantor as of the end of such Fiscal Year, all in such detail and scope as may be reasonably required by Lender and prepared and audited by an independent certified public accounting firm acceptable to Lender in accordance with GAAP and on a basis consistent with prior accounting periods. Each annual financial statement of Borrower and Guarantor shall be certified by Borrower and Guarantor to be true, correct, and complete, and shall otherwise be in form acceptable to Lender;

The annual financial statements of Borrower shall be certified by the chief financial officer of Borrower to be true, correct, and complete, and shall otherwise be in form acceptable to Lender;
Annual Audited Financial Reports. Furnish to Payee in form satisfactory to Payee not later than ninety (90) days after the close of each fiscal year of Makers, a balance sheet as at the close of each such fiscal year and statements of income and statements of cash flows for each such fiscal year and for Makers, and such other comments and financial details as are usually included in similar reports. Such reports shall be prepared in accordance with GAAP by independent certified public accountants of recognized standing selected by Makers and acceptable to Payee and shall contain unqualified opinions as to the fairness of the statements therein contained.
Annual Audited Financial Reports. Within ninety (90) days after the end of the last quarter of each EOHWC fiscal year, the EOHWC shall submit to the City an audited financial statement for the EOHWC for the preceding fiscal year, audited by an independent certified public accountant, which shall include an itemization of (i) all FAD Retrofit Funds expended under this Agreement, including receipts from the City, disbursements to third parties, and amounts EOHWC remains committed to pay pursuant to outstanding consultant, construction or other contracts; (ii) receipts, if any, of the EOHWC in repayment of FAD Retrofit Funds; (iii) the amount of FAD Retrofit Funds on hand with the EOHWC; and (iv) such other information as the City may reasonably require.

  • Quarterly Financial Reports The School shall prepare and submit quarterly financial reports to the Commission within 45 days of the end of each fiscal year quarter.

  • Financial Reports Borrower shall furnish to Agent the financial statements and reports listed hereinafter (the “Financial Statements”):

  • Monthly Financial Reports Manager shall cause to be prepared and delivered to Tenant reasonably detailed unaudited monthly operating reports (the “Monthly Reports”) that reflect the operational results of the Managed Facility for each month of each Operating Year. Manager shall deliver each Monthly Report to Tenant on or before the twenty fifth (25th) day of the month following the month (or partial month) to which such Monthly Report relates. At a minimum, the Monthly Reports shall include: (a) a balance sheet including current and prior month and prior year-end comparisons (to the extent applicable) and differences in reasonable detail; (b) an income and expense statement for such month and for the elapsed portion of the current Operating Year through the end of such month (with comparison to previous year); (c) a statement of cash flows for such month and for the elapsed portion of the current Operating Year through the end of such month (with comparison to previous year) in reasonable detail to allow Tenant to identify and ascertain sources and uses thereof; (d) a statement of account balances in each Bank Account; and (e) such other reports or information otherwise specified in this Agreement to be provided to Tenant on a monthly basis or as Tenant and Manager may reasonably agree from time to time. Notwithstanding anything to the contrary contained in this Section 10.2, Manager shall not be obligated to deliver a Monthly Report for the last month of each calendar quarter.
