Common use of Annual Maintenance termination Clause in Contracts

Annual Maintenance termination. In respect of any perpetual software licenses, the Customer shall not be entitled to terminate annual Maintenance during the Term of such Maintenance. A termination of annual Maintenance for the following Term may be done no later than 30 September of each year by providing no less than three months written notice of termination, in compliance with clause 5.2. Annual Maintenance may not be partially cancelled or renewed, Annual Maintenance is only available and provided to a Customer in respect of all the perpetual licenses held by the Customer and not in respect of a portion of the perpetual licenses held by the Customer.
