Annual Officer’s Certificate; Notice of Servicer Termination Event. (a) The Servicer will deliver to the Rating Agencies, the Issuer, the Insurer, the Swap Counterparty and the Indenture Trustee, on or before March 31 of each year, beginning on March 31, 2008, an Officer’s Certificate of the Servicer (with appropriate insertions) providing such information as is required under Item 1123 of Regulation AB.
Annual Officer’s Certificate; Notice of Servicer Termination Event. (a) The Servicer will deliver to the Rating Agencies, the Swap Counterparty, the Issuer, the Indenture Trustee and the Note Insurer, on or before March 30 of each year, beginning on March 30, 2006, an Officer’s Certificate stating, as to the Authorized Officer signing such Officer’s Certificate, that (i) a review of the activities of the Servicer during the prior calendar year and of performance under this Agreement has been made under such Authorized Officer’s supervision; and (ii) to the best of such Authorized Officer’s knowledge, based on such review, the Servicer has performed in all material respects its obligations under this Agreement throughout such year, or, if there has been a material default in the performance of any such obligation, specifying each such default known to such Authorized Officer and the nature and status thereof.
Annual Officer’s Certificate; Notice of Servicer Termination Event. (a) The Servicer will deliver to the Rating Agencies, the Issuer and the Indenture Trustee on or before April 30 of each calendar year, beginning with April 30, 2004, an Officer's Certificate, dated as of December 31 of the preceding calendar year, stating that (i) a review of the activities of the Servicer during the preceding calendar year (or since the Closing Date, in the case of the first such Officer's Certificate) and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (ii) to the best of such officer's knowledge, based on such review, the Servicer has performed in all material respects its obligations under this Agreement throughout such year (or since the Closing Date, in the case of the first such Officer's Certificate), or, if there has been a material default in the performance of any such obligation, specifying each such default known to such officer and the nature and status thereof.
Annual Officer’s Certificate; Notice of Servicer Termination Event. On and after the Assumption Date, the Backup Servicer shall deliver the Officer’s Certificate specified in Section 3.9 of the Sale and Servicing Agreement on or before March 31st of each year, dated as of the preceding December 31st.
