Annual Sales Statement. (a) Within 3 months after the end of each Operation Year, the Contractor must provide to the State a statement setting out the following: (i) the value of Gross Canteen Sales during that Operation Year; (ii) the value of sales from vending machines during that Operation Year; (iii) the value of External Prisoner Purchases during that Operation Year, separately itemising the cost of each item and the cost of transport of each item, and providing verification of those costs; and (iv) the amount deposited by the Contractor into the Prisoner Welfare Trust Fund in respect of that Operation Year in accordance with clause 7.4. (b) The statement specified in subclause (a) must be accompanied by a certificate from an Approved Auditor certifying the accuracy of the statement.

Annual Sales Statement. 27.1 The Supplier shall provide the Purchaser within 30 days of each anniversary of the date of this Agreement and within 30 days of termination of this Agreement with a statement giving accurate and complete details of the amount and value of the Supplies sold by the Supplier to the Purchaser under this Agreement during the year ending on the date of such anniversary or, in the event of termination of this Agreement, during the period from the date of this Agreement or the date of the last such statement submitted by the Supplier to the Purchaser (as appropriate) to the date of termination of this Agreement. Where the Purchaser consists of more than one legal entity, the statement shall include accurate details of the purchases made by each legal entity comprising the Purchaser. 27.2 The Supplier shall keep at its normal place of business detailed, accurate and up to date records of the amount and value of the Supplies sold by it to the Purchaser and, where appropriate, to the individual legal entities comprising the Purchaser during this Agreement. The Purchaser shall be entitled on reasonable notice to enter the Supplier’s premises during normal office hours and to inspect such records in order to verify whether any statement supplied by the Supplier to the Purchaser pursuant to Condition 27.1 above is accurate and complete. 27.3 On request from the Purchaser, the Supplier shall, at its own expense, ensure that its external auditors provide the Purchaser with an annual audit certificate as soon as reasonably practicable after the end of the Supplier’s financial year. In the annual audit certificate the auditors shall confirm that any statement supplied by the Supplier to the Purchaser pursuant to Conditions 27.1 or 27.2 above during that financial year is complete and accurate.
Annual Sales Statement. Prior to the last day of the first (1st) month following the end of each Lease Year, Tenant shall furnish Landlord a statement of Tenant’s annual Gross Sales made during the previous Lease Year, or any partial Lease Year, including any authorized deductions (“Annual Sales Statement”). Such Annual Sales Statement shall be certified as correct by Tenant, or if Tenant is a corporation or limited liability company, by an authorized officer or manager of Tenant. With each Annual Sales Statement Tenant shall pay to Landlord the amount of any additional Percentage Rent that is payable to Landlord, considering any installments of Percentage Rent paid by Tenant to Landlord during the previous Lease Year or partial Lease Year, as appropriate. If the Annual Sales Statement shows that during the previous Lease Year Tenant paid more Percentage Rent than it was obligated to pay under the terms of this Lease, the amount of this overpayment shall be applied to the next installment or installments of Percentage Rent due or, if the overpayment was in the last year of the Term, Landlord shall refund to Tenant the full amount of this overpayment within thirty (30) days of Landlord’s receipt of the statement.

In cases where there is difference in opinion as to the value of any item, the Engineer’s view shall prevail.

  • Annual Independent Accountants’ Report (a) The Master Servicer shall cause a firm of nationally recognized independent certified public accountants (the "Independent Accountants"), who may also render other services to the Master Servicer or to the Seller, to deliver to the Indenture Trustee and the Owner Trustee on or before April 30 (or 120 days after the end of the Master Servicer's fiscal year, if other than December 31) of each year, beginning on April 30, 2001, with respect to the twelve months ended the immediately preceding December 31 (or other applicable date), a report to the effect that they have examined certain documents and records relating to the servicing of Receivables under this Agreement and each Series Supplement, compared the information contained in the Master Servicer's Certificates delivered pursuant to Section 4.9 during the period covered by such report with such documents and records and that, on the basis of such examination, such accountants are of the opinion that the servicing has been conducted in compliance with the terms and conditions as set forth in Articles IV and V of this Agreement and the applicable provisions of each Series Supplement, except for such exceptions as they believe to be immaterial and such other exceptions as shall be set forth in such statement. Such report shall acknowledge that the Indenture Trustee shall be a "non- participating party" with respect to such report, or words to similar effect. The Indenture Trustee shall have no duty to make any independent inquiry or investigation as to, and shall have no obligation or liability in respect of, the sufficiency of such procedures. (b) On or before April 30 of each calendar year, beginning with April 30, 2001, the Master Servicer shall cause a firm of nationally recognized independent public accountants (who may also render other services to the Master Servicer or Seller) to furnish a report to the Indenture Trustee, the Master Servicer and each Rating Agency to the effect that they have compared the mathematical calculations of each amount set forth in the Master Servicer's Certificates delivered pursuant to Section 4.9 during the period covered by such report with the Master Servicer's computer reports which were the source of such amounts and that on the basis of such comparison, such accountants are of the opinion that such amounts are in agreement, except for such exceptions as they believe to be immaterial and such other exceptions as shall be set forth in such statement. Such report shall acknowledge that the Indenture Trustee shall be a "non-participating party" with respect to such report, or words to similar effect. The Indenture Trustee shall have no duty to make any independent inquiry or investigation as to, and shall have no obligation or liability in respect of, the sufficiency of such procedures.

  • Fiscal Year and Accounting Method The fiscal year of the Company shall be as designated by the Board of Directors. The Board of Directors shall also determine the accounting method to be used by the Company.

  • Monthly Financials To Agent and Lenders, within thirty-five (35) days after the end of each Fiscal Month, financial information regarding Parent and its Subsidiaries, certified by the Chief Financial Officer of Parent, consisting of consolidated and consolidating (i) unaudited balance sheets as of the close of such Fiscal Month and the related statements of income and cash flows for that portion of the Fiscal Year ending as of the close of such Fiscal Month; (ii) unaudited statements of income and cash flows for such Fiscal Month, setting forth in comparative form the figures for the corresponding period in the prior year and the figures contained in the Projections for such Fiscal Year, all prepared in accordance with GAAP (subject to normal year-end adjustments); and (iii) a summary of the outstanding balance of all Permitted Intercompany Debt as of the last day of that Fiscal Month; provided, that such financial information shall be delivered within sixty (60) days after the first month in each Fiscal Year. Such financial information shall be accompanied by the certification of the Chief Financial Officer of Parent that (i) such financial information presents fairly in accordance with GAAP (subject to normal year-end adjustments and the absence of footnotes) the financial position and results of operations of Parent and its Subsidiaries, on an unconsolidated and combined basis, in each case as at the end of such Fiscal Month and for that portion of the Fiscal Year then ended and (ii) any other information presented is true, correct and complete in all material respects and that there was no Default or Event of Default in existence as of such time or, if a Default or Event of Default shall have occurred and be continuing, describing the nature thereof and all efforts undertaken to cure such Default or Event of Default. In addition, Parent shall deliver to Agent and Lenders, within thirty-five (35) days after the end of each Fiscal Month, a management discussion and analysis that includes a comparison to budget for that Fiscal Month and a comparison of performance for that Fiscal Month to the corresponding period in the prior year.
