ANTI-BRIBERY AND ANTI. CORRUPTION We will observe all relevant laws, statutes and regulations relating to anti-bribery and anti-corruption, including the Bribery Act 2010 and we will not engage in any activity or conduct, which constitutes an offence under sections 1, 2 or 6 of the Bribery Act 2010. We have our own anti-bribery and anti-corruption policies, and will enforce them where appropriate.
ANTI-BRIBERY AND ANTI. Corruption clause Smluvní strany se dohodly, že při plnění této smlouvy budou vždy postupovat čestně a transparentně a potvrzují, že takto jednaly i v průběhu vyjednávání a po dobu účinnosti této smlouvy. Každá ze smluvních stran prohlašuje, že neposkytne, nenabídne ani neslíbí úplatek jinému nebo pro jiného v souvislosti s obstaráváním věcí obecného zájmu ani neposkytne, nenabídne ani neslíbí úplatek jinému nebo pro jiného v souvislosti s podnikáním svým nebo jiného, a že neposkytne, nenabídne ani neslíbí neoprávněné výhody třetím stranám, ani je nepřijímá a nevyžaduje. V této souvislosti se smluvní strany zavazují si navzájem neprodleně oznámit důvodné podezření ohledně možného jednání, které je v rozporu se zásadami podle tohoto článku a mohlo by souviset s plněním této smlouvy nebo s jejím uzavíráním. The Parties have agreed to always act honestly and transparently in the performance of this Agreement and confirm that they have acted in such a manner during the negotiations and will do so for the duration of this Agreement’s effect. Each Party declares that it will not provide, offer or promise a bribe to another person or for another person in connection with the procurement of matters of a general interest, nor will it provide, offer or promise a bribe to another person or for another person in connection with its or another’s business and that it will not provide, offer or promise unfair advantages to third parties nor will it accept or demand them. In this context, the Parties undertake to notify each other without delay of a reasonable suspicion of possible conduct that is contrary to the principles of this Article and could be related to the performance of this Agreement or its conclusion.
ANTI-BRIBERY AND ANTI corruption Each Party agrees that it shall comply, at all times, with all applicable anti-corruption laws and regulations. Either Party shall be entitled to terminate this Agreement immediately on written notice to the other Party, if the other Party is in breach of its obligations set out in this Section 16.

ANTI-BRIBERY AND ANTI corruption Each Beneficiary shall have in place an appropriate anti-bribery and antitrust policy to enable such Beneficiary to comply with its obligations under Clause 19, with which it shall comply at all times. Each Beneficiary shall comply fully at all times with all applicable anti-bribery and anti-corruption laws, including but not limited to, all applicable anti-bribery and anti-corruption laws of the territory in which that Beneficiary conducts business with any other Beneficiary. The General Assembly shall be entitled to decide on the termination of the participation under the Grant Agreement of a Beneficiary on written notice under Article [__] of the Grant Agreement, if a Beneficiary fails to perform its obligations under this Consortium Agreement in accordance with this Clause 19. A Beneficiary shall have no claim against the General Assembly or the other Beneficiaries for compensation for any loss of whatever nature by virtue of the termination of their participation under the Grant Agreement in accordance with this Clause 19. To the extent (and only to the extent) that the laws of the territory provide for any such compensation to be paid to a Beneficiary upon the termination of their participation under the Grant Agreement, each Beneficiary hereby expressly agrees to waive (to the extent possible under the laws of the territory) or to repay any such compensation or indemnity. The provisions of Clause 13.2.3 shall apply in such circumstances.

CORRUPTION 12.1 Victrex and Buyer shall comply with the Unfair Competition Prevention Act and relevant laws and regulations and other domestic and foreign anti-bribery and anti- corruption laws and regulations. 12.2 Victrex and Buyer shall each establish their own internal system to ensure compliance with the laws and regulations referred to in Article 12.1 above. 12.3 Buyer shall immediately notify Victrex if it has been requested provision of any unrighteous benefits in relation to the performance of these Conditions or any Individual Contract. 第12条 （贈収賄防止及び腐敗防止） １．ビクトレックス及び本買主は、不正競争防止法及び関連諸法令並びにその他の国内外の贈収賄防止及び腐敗行為防止に関する法令を遵守する。 ２． ビクトレックス及び本買主は、それぞれ前項に定める各法令を遵守するための内部の体制を確立する。 ３． 本買主は、本取引条件又は個別契約の履行に関して何ら✎の不正な利益の供与を求められた場合、直ちにビクトレックスに通知する。

CORRUPTION LAWS - - Neither party will offer or give any gratuity to induce any person or entity to enter into, execute, or perform any term or condition of this Agreement, a SA or PO or any other agreement between the parties. Each party further represents that it has knowledge and understanding of all applicable Anti-Bribery and Anti- Corruption Laws, including but not limited to the Foreign Corrupt Practices Act of the United States of America (“FCPA”), the United Kingdom Bribery Act, and the Anti-Unfair Competition Law of the People’s Republic of China (“AUCL”). The Parties further agree that:
