Anticipated Risks. Describe the project's risk mitigation plan. What are the biggest challenges or risks that may be encountered? How will the project manage these risks and what measures will be taken to address any challenges? Our largest vulnerabilities lie in the ability to launch, administer and close the program within the nine- month timeline. Our projects typically include a lengthy development period, during which we interview workers and participants to finalize our program plans. To meet our goals with this program, we will instead largely rely on the insights gained from the Xxxxxxxxxxxxx Xxxxxxxxxx effort. An additional time concern is the ability to develop and execute subcontracts as quickly as is necessary, given lengthy County processes and involvement of risk, legal, and procurement divisions. This will require the dedicated tracking of process benchmarks, development of pre-award contracts, and other proactive measures to ensure a timely pathway for execution. DCWs are juggling various life commitments with thin systems of support, limited personal finances, and other barriers. Beyond the capacity to complete a program, many may feel overwhelmed by the commitment, depth of content, or may have learning or language challenges. To help address this, the project will partner with Cultiva La Salud not only as our outreach lead, but also to help design program elements that are rooted in community practices. Organizing in 10 to 13 small cohorts will help bring more participants to completion, and facilitate peer relationships that support peer-learning and team advancement. The program’s investment in staff resources to help cohorts advance is also key to this effort. The inability to provide incentives to non-paid DCWs presents a challenge. First, it does not incentivize completion for family care. But it also creates differentiation among those receiving strong subsidy and those not. Our desire would be to serve all participants equally, and mix participants so that family care members are learning alongside and from their employed cohort mates. To address this, we will search for other resources to provide incentives to family care members.

  • Damage If prior to Closing the Property is damaged by fire or other casualty, Seller shall estimate the cost to repair and the time required to complete repairs and will provide Purchaser written notice of Seller’s estimation (the “Casualty Notice”) as soon as reasonably possible after the occurrence of the casualty.

  • DAMAGE TO THE PROPERTY If the property is damaged, by fire or other casualty, after the Effective Date and before the Closing, the Seller will bear the risk of loss and the Buyer may cancel this Agreement without liability and the Escrow Money shall be returned to the Buyer. Alternatively, the Buyer will have the option of purchasing the Property at the agreed-upon Purchase Price and the Seller will credit the deductible, if any, and transfer to the Buyer at Closing any insurance proceeds or Seller's claim to any insurance proceeds payable for the damage. The Seller will cooperate with and assist the Buyer in collecting any such proceeds. The Seller shall not settle any insurance claim for damage caused by casualty without the consent of the Buyer.

  • Production Proceeds Notwithstanding that, by the terms of the various Mortgages, certain Guarantors and Borrower are and will be assigning to Administrative Agent and Lenders all of the “Production Proceeds” (as defined therein) accruing to the property covered thereby, so long as no Event of Default has occurred such Loan Parties may continue to receive from the purchasers of production all such Production Proceeds, subject, however, to the Liens created under the Mortgages, which Liens are hereby affirmed and ratified. Upon the occurrence of an Event of Default, Administrative Agent and Lenders may exercise all rights and remedies granted under the Mortgages, including the right to obtain possession of all Production Proceeds then held by Loan Parties or to receive directly from the purchasers of production all other Production Proceeds. In no case shall any failure, whether purposed or inadvertent, by Administrative Agent or Lenders to collect directly any such Production Proceeds constitute in any way a waiver, remission or release of any of their rights under the Mortgages, nor shall any release of any Production Proceeds by Administrative Agent or Lenders to Loan Parties constitute a waiver, remission, or release of any other Production Proceeds or of any rights of Administrative Agent or Lenders to collect other Production Proceeds thereafter.

  • Salvage All materials which are scrapped or removed in connection with the making of repairs required by Articles 9 or 10 shall be or become the property of Lessor or Lessee depending on which party is paying for or providing the financing for such work.

From and after the Closing Date, Buyer shall be responsible to continue at its expense the administration of any claim or loss covered, or which is the subject of a representation letter or being defended under a reservation of rights, under any worker's compensation or liability policy maintained by Parent or its Affiliates on or prior to the Closing Date. (c) Parent shall each use its reasonable best efforts to (i) acquire for a period of five years after the Closing Date extended reporting period coverage with respect to the liability policies set forth in Schedule 8.4 to ------------ cover claims made after the Closing Date which are based on acts, errors or omissions which occur prior to the Closing Date (the "Tail Policies") and cause ------------- Buyer to be named as an additional insured with respect to the Tail Policies, and (ii) cause Buyer to be named as an additional insured for the five year period prior to the Closing Date with respect to each occurrence-based liability policy maintained by Parent or its Affiliates with respect to the Companies as of the Closing Date. Parent and Buyer shall each pay one-half of the cost of the Tail Policies and of Buyer's being so named as an additional insured.

  • Loss or Damage The District and its agents and authorized representatives shall not in any way or manner be answerable or suffer loss, damage, expense, or liability for any loss or damage that may happen to the Work, or any part thereof, or in or about the same during its construction and before acceptance, and the Contractor shall assume all liabilities of every kind or nature arising from the Work, either by accident, negligence, theft, vandalism, or any cause whatsoever; and shall hold the District and its agents and authorized representatives harmless from all liability of every kind and nature arising from accident, negligence, or any cause whatsoever.
