Common use of Appointment and Responsibilities Clause in Contracts

Appointment and Responsibilities. Each Party shall appoint an individual to act as the primary point of operational contact for the administration and operation of this Agreement, as follows: (i) The individual appointed by Vontier as the primary point of operational contact pursuant to this Section 7.03(a) (the “Vontier Transition Manager”) shall have overall responsibility for coordinating, on behalf of Vontier, all activities undertaken by Vontier and its Providers, Affiliates and Representatives hereunder, including the performance of Vontier’s obligations hereunder, the coordinating of the provision of the Vontier Provided Services and access to the Vontier Provided Facilities with Fortive, acting as a day-to-day contact with Fortive Transition Manager and making available to Fortive the data, facilities, resources and other support services from Vontier required for Fortive Providers to be able to provide the Fortive Provided Services and access to the Fortive Provided Facilities in accordance with the requirements of this Agreement. Vontier may change Vontier Transition Manager from time to time upon written notice to Fortive. Vontier shall use commercially reasonable efforts to provide at least thirty (30) days’ prior written notice of any such change. (ii) The individual appointed by Fortive as the primary point of operational contact pursuant to this Section 7.03(a) (the “Fortive Transition Manager”) shall have overall operational responsibility for coordinating, on behalf of Fortive, all activities undertaken by Fortive and its Providers, Affiliates and Representatives hereunder, including the performance of Fortive’s obligations hereunder, the coordinating of the provision of the Fortive Provided Services and access to the Fortive Provided Facilities with Vontier, acting as a day-to-day contact with Vontier Transition Manager and making available to Vontier the data, facilities, resources and other support services from Fortive required for Vontier Providers to be able to provide the Vontier Provided Services and access to the Vontier Provided Facilities in accordance with the requirements of this Agreement. Fortive may change Fortive Transition Manager from time to time upon written notice to Vontier. Fortive shall use commercially reasonable efforts to provide at least thirty (30) days’ prior written notice of any such change.

Vontier Veralto may change Vontier Veralto Transition Manager from time to time upon written notice to FortiveXxxxxxx. (ii) The individual appointed by Fortive Xxxxxxx as the primary point of operational contact pursuant to this Section 7.03(a) (the “Fortive Xxxxxxx Transition Manager”) shall have overall operational responsibility for coordinating, on behalf of FortiveXxxxxxx, all activities undertaken by Fortive Xxxxxxx and its Providers, Affiliates and Representatives hereunder, including the performance of Fortive’s Xxxxxxx’x obligations hereunder, the coordinating of the provision of the Fortive Xxxxxxx Provided Services and access to the Fortive Xxxxxxx Provided Facilities with VontierXxxxxxx, acting as a day-to-day contact with Vontier Veralto Transition Manager and making available to Vontier Veralto the data, facilities, resources and other support services from Fortive Xxxxxxx required for Vontier Veralto Providers to be able to provide the Vontier Veralto Provided Services and access to the Vontier Veralto Provided Facilities in accordance with the requirements of this Agreement. Fortive Xxxxxxx may change Fortive Xxxxxxx Transition Manager from time to time upon written notice to VontierVeralto. Fortive Xxxxxxx shall use commercially reasonable efforts to provide at least thirty (30) days’ prior written notice of any such change.

Vontier Newco may change Vontier Newco Transition Manager from time to time upon written notice to FortiveEverest. (ii) The individual appointed by Fortive Everest as the primary point of operational contact pursuant to this Section 7.03(a) (the “Fortive Everest Transition Manager”) shall have overall operational responsibility for coordinating, on behalf of FortiveEverest, all activities undertaken by Fortive Everest and its Providers, Affiliates and Representatives hereunder, including the performance of FortiveEverest’s obligations hereunder, the coordinating of the provision of the Fortive Everest Provided Services and access to the Fortive Everest Provided Facilities with VontierNewco, acting as a day-to-day contact with Vontier Newco Transition Manager and making available to Vontier Newco the data, facilities, resources and other support services from Fortive Everest required for Vontier Newco Providers to be able to provide the Vontier Newco Provided Services and access to the Vontier Newco Provided Facilities in accordance with the requirements of this Agreement. Fortive Everest may change Fortive Everest Transition Manager from time to time upon written notice to VontierNewco. Fortive Everest shall use commercially reasonable efforts to provide at least thirty (30) days’ days prior written notice of any such change.

Vontier Envista may change Vontier Envista Transition Manager from time to time upon written notice to FortiveXxxxxxx. Vontier Envista shall use commercially reasonable efforts to provide at least thirty (30) days’ prior written notice of any such change. (ii) The individual appointed by Fortive Xxxxxxx as the primary point of operational contact pursuant to this Section 7.03(a) (the “Fortive Xxxxxxx Transition Manager”) shall have overall operational responsibility for coordinating, on behalf of FortiveXxxxxxx, all activities undertaken by Fortive Xxxxxxx and its Providers, Affiliates and Representatives hereunder, including the performance of Fortive’s Xxxxxxx’x obligations hereunder, the coordinating of the provision of the Fortive Xxxxxxx Provided Services and access to the Fortive Xxxxxxx Provided Facilities with VontierEnvista, acting as a day-to-day contact with Vontier Envista Transition Manager and making available to Vontier Envista the data, facilities, resources and other support services from Fortive Xxxxxxx required for Vontier Envista Providers to be able to provide the Vontier Envista Provided Services and access to the Vontier Envista Provided Facilities in accordance with the requirements of this Agreement. Fortive Xxxxxxx may change Fortive Xxxxxxx Transition Manager from time to time upon written notice to VontierEnvista. Fortive Xxxxxxx shall use commercially reasonable efforts to provide at least thirty (30) days’ prior written notice of any such change.

Each Party shall appoint an individual to act as the primary point of operational contact for the administration and operation of this Agreement, as follows: (i) The individual appointed by Vontier Filtration as the primary point of operational contact pursuant to this Section 7.03(a7.3(a)(i) (the “Vontier Filtration Transition Manager”) shall have overall responsibility for coordinating, on behalf of VontierFiltration, all activities undertaken by Vontier Filtration and its Providers, Recipients, Affiliates and Representatives representatives hereunder, including (A) the performance of VontierFiltration’s obligations hereunder, (B) the coordinating of the provision of the Vontier Filtration-Provided Services and access to the Vontier Filtration-Provided Facilities with FortiveCummins, acting (C) serving as a the day-to-day contact with Fortive for the Cummins Transition Manager Manager, and (D) making available to Fortive Cummins the data, facilities, resources and other support services from Vontier Filtration required for Fortive the Cummins Providers to be able to provide the Fortive Cummins-Provided Services and access to the Fortive Cummins-Provided Facilities in accordance with the requirements of this Agreement. Vontier Filtration may change Vontier the Filtration Transition Manager from time to time upon written notice to FortiveCummins. Vontier Filtration shall use commercially reasonable efforts to provide at least thirty (30) days’ prior written notice of any such change. (ii) The individual appointed by Fortive Cummins as the primary point of operational contact pursuant to this Section 7.03(a7.3(a)(ii) (the “Fortive Cummins Transition Manager”) shall have overall operational responsibility for coordinating, on behalf of FortiveCummins, all activities undertaken by Fortive Cummins and its Providers, Recipients, Affiliates and Representatives representatives hereunder, including (A) the performance of Fortive’s Cummins’ obligations hereunder, (B) the coordinating of the provision of the Fortive Cummins-Provided Services and access to the Fortive Cummins-Provided Facilities with VontierFiltration, acting (C) serving as a the day-to-day contact with Vontier for the Filtration Transition Manager Manager, and (D) making available to Vontier Filtration the data, facilities, resources and other support services from Fortive Cummins required for Vontier the Filtration Providers to be able to provide the Vontier Filtration-Provided Services and access to the Vontier Filtration-Provided Facilities in accordance with the requirements of this Agreement. Fortive Cummins may change Fortive the Cummins Transition Manager from time to time upon written notice to VontierFiltration. Fortive Cummins shall use commercially reasonable efforts to provide at least thirty (30) days’ prior written notice of any such change.

Xxxxxxx may change Xxxxxxx Transition Manager from time to time upon written notice to Fortive. Xxxxxxx shall use commercially reasonable efforts to provide at least thirty (30) days prior written notice of any such change.
