APPOINTMENT AS AUTHORIZED RESELLER. We appoint You as a nonexclusive authorized reseller of Our goods. Both parties agree that You are an independent contractor; You are not, and agree not to market Your company as, Our agent, partner, franchisee, joint venturer, or employee.
APPOINTMENT AS AUTHORIZED RESELLER. 2.1 Subject to the terms contained herein and in the Exhibits, COMPANY hereby grants rights to the Reseller on the terms and conditions set forth herein during the Term of this Agreement to market and resell the Products in unaltered form to Clients and to distribute the Promotional Materials throughout its Distribution Channels in the territory as defined in this Agreement.
APPOINTMENT AS AUTHORIZED RESELLER. 1.1 ACL hereby appoints Reseller as a non-exclusive independent reseller to resell the ACL Products in the Territory, and Reseller hereby accepts such appointment as of the Effective Date of this Agreement.
APPOINTMENT AS AUTHORIZED RESELLER. 1.1 ACL hereby appoints Titan Wireless Inc. as a non-exclusive independent reseller to resell the ACL Products in the Territory, and Titan hereby accepts such appointment as of the Effective Date of this Agreement.
APPOINTMENT AS AUTHORIZED RESELLER. Supplier hereby appoints Ciena, and Ciena hereby accepts appointment, as an authorized worldwide reseller to purchase Products for its own account and to market, demonstrate, distribute, sell and service Products, directly or indirectly, on an exclusive basis at the Exclusive Accounts and on a non-exclusive basis at the Authorized Accounts, subject to the terms and conditions of this Agreement. The parties hereby acknowledge and agree that Supplier shall not be held in breach of the above rights of exclusivity as they pertain to any of Supplier’s distribution agreements with Verizon, Xxxx Canada, Rogers and/or All stream in existence as of the Effective Date hereof. Accounts other than those listed in Exhibit B may be added and become authorized, and Authorized Accounts may become Exclusive Accounts, by separate written amendment by the Parties and in accordance with the procedures set forth in Exhibit B. Ciena shall use commercially reasonable efforts to promote the distribution of the Products. Ciena shall set the terms and conditions for resale of the Products, provided that such terms and conditions do not obligate Supplier beyond its obligations set forth in this Agreement without Supplier’s prior written consent.
APPOINTMENT AS AUTHORIZED RESELLER. Upon the terms and subject to the conditions set forth in this Agreement, HIDDENLAYER hereby appoints, and shall cause its Affiliates to appoint, the Reseller as a non-exclusive reseller of the Resale Materials; provided that, the Reseller may only resell any Documentation (a) in connection with the sale to an End User, by the Reseller, of the Resale Software or (b) to an End User that has, prior to the date of such resale, already purchased or otherwise licensed, from either the Reseller or HIDDENLAYER or any of its Affiliates, and currently uses, the Resale Software. For the avoidance of doubt, the Reseller may not resell any Resale Materials with any other software, product or service or by the resale of any Resale Material on its own other than pursuant to Section 3.1(b). In all cases where the Reseller resells any Resale Materials, such Resale Materials must be resold in its entirety, and in no event may the Reseller resell any part, portion or component of any particular Resale Material less than the entirety of such particular Resale Material. For the avoidance of doubt, the rights granted to the Reseller under this Agreement are non-exclusive, and nothing herein shall restrict HIDDENLAYER or any of its Affiliates, or any person authorized by HIDDENLAYER or any of its Affiliates, from marketing, selling or providing any of its products or services, including any Resale Materials, directly or indirectly to any person, including any End User.
