  • If Goods are Resale Materials, Seller’s quality assurance system must meet the requirements for certification under ISO 9001 or higher standards.

  • The Reseller hereby acknowledges that it does not and will not sell or offer to sell any Resale Materials under a business or marketing plan or system prescribed by HIDDENLAYER or its Affiliates.

  • The Reseller will conduct business in a manner that reflects favorably at all times on the Resale Materials and the good name, goodwill and reputation of HIDDENLAYER.

  • For the avoidance of doubt, notwithstanding anything to the contrary, the Reseller is solely responsible for selling any and all Resale Materials that it purchases from HIDDENLAYER, and HIDDENLAYER has no responsibility to assist with that sale and in no way assumes any responsibility to assist with that sale or to ensure any sale is consummated.

  • The Reseller hereby accepts the appointment as a non- exclusive reseller of the Resale Materials upon the terms and subject to the conditions set forth in this Agreement.

  • The Reseller shall maintain accurate and complete records of its marketing, sales, support, and maintenance activities under this Agreement and/or related to sales of the Resale Materials.

Related to Resale Materials

  • Offering Materials means a Fund’s currently effective prospectus and most recently filed registration statement with the SEC relating to shares of the Fund.

  • Supplier Materials has the meaning given in clause 8.1(h).

  • Training Materials means any and all materials, documentation, notebooks, forms, diagrams, manuals and other written materials and tangible objects, describing how to maintain the Facilities, including any corrections, improvements and enhancements thereto to the Bloom Systems which are delivered by Operator to Owner, but excluding any data and reports delivered to Owner.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • Promotional Materials means the core written, printed, video or graphic advertising, promotional, educational and communication materials (other than Collaboration Product labeling) for marketing, advertising and promotion of the Collaboration Products.

  • Recyclable Materials means materials that are separated from mixed municipal solid waste for the purpose of recycling or composting, including paper, glass, plastics, metals, automobile oil, batteries, source-separated compostable materials, and sole source food waste streams that are managed through biodegradative processes. Refuse-derived fuel or other material that is destroyed by incineration is not a recyclable material. (Minn. Stat. § 115A.03, Subd. 25a)

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Marketing Materials has the meaning ascribed thereto in NI 41-101;
