Appointment as Sales Representative. Subject to the terms and conditions of this Agreement, ATS hereby appoints Representative as its exclusive sales representative for the Products in the Territory; provided, however, ATS reserves the right to directly or indirectly sell Products to any hospital or other customer in the Territory that refuses to do business with Representative.

Appointment as Sales Representative. Beeba's hereby appoints DSHC, and DSHC accepts appointment as, sales representative for the Styles, with authority to sell the Styles in the United States on the terms and conditions set forth herein. DSHC's duties as sales representative shall be to use its best efforts to obtain orders for the sale of the Styles and to provide such follow up services as are needed by the customers, with the same degree of care and with the same purpose, expertise and timeliness as DSHC uses in the conduct of its own business.
Appointment as Sales Representative. Company hereby appoints Salesperson as its exclusive Sales Representative to solicit orders for the Products in the Territory. Salesperson hereby accepts the appointment and agrees to solicit orders and promote the Products, subject to the terms of this Agreement.
Appointment as Sales Representative a. Edudata hereby appoints BMC as its exclusive sales representative in the countries of Japan and the People's Republic of China to solicit orders in the name of Edudata for the sale of Products. b. Other countries within the Far East may be added to BMC's sales territory upon the written agreement of the parties. Such additions may be exclusive or non-exclusive as the parties may agree. Should Edudata obtain any inquiries from Japan or the People's Republic of China, it shall immediately forward such inquiries to BMC for handling. If Edudata obtains any substantive inquiry from any other country within the Far East requesting that any exclusive rights be granted, it shall first provide written notice of such inquiry to BMC and BMC shall have a reasonable time thereafter, not to be less than 10 business days and not to be more than 25 business days, within which to agree to match all material terms of such inquiry. Should BMC match all such terms, it shall be granted the rights requested by the inquiring entity; should it fail to match all such terms, Edudata is free to grant the requested rights to the inquiring entity. c. In all agreements with a customer within the Far East, Edudata shall impose, as a requirement of sale and continuing sales, that such customer agree that any transshipment of the Products outside of the country of destination is prohibited and that Edudata shall immediately suspend all further shipments to such customer upon violation of such agreement. In addition, and as a condition of sale and continuing sales, Edudata shall require that such customer agree not to disclose, disseminate or expose any confidential or proprietary information belonging to Edudata for any use or purpose except solely in connection with the sale of Products and then only within the country of destination. d. In addition to the above rights, Edudata authorizes BMC to separately sell monitors, cabinets and other accessories or peripheral items to customers obtained by BMC. All income and expenses associated with such sales shall be borne by BMC. BMC shall advise Edudata upon receipt of each order from its customers as to whether the sale includes or excludes such items.

  • Appointment as Sub-Advisor The Advisor hereby appoints the Sub-Advisor to act as investment adviser for and to manage the Sub-Advisor Assets, subject to the supervision of the Advisor and the Board of Trustees of the Trust, and subject to the terms of this Agreement; and the Sub-Advisor hereby accepts such appointment. In such capacity, the Sub-Advisor shall be responsible for the investment management of the Sub-Advisor Assets. The Sub-Advisor agrees to exercise the same degree of skill, care and diligence in performing its services under this Agreement as the Sub-Advisor exercises in performing similar services with respect to other fiduciary accounts for which the Sub-Advisor has investment responsibilities, and that a prudent manager would exercise under the circumstances.

  • Appointment as Agent 1.1 The Trust hereby appoints DSC Shareholder Services Agent for the Series to provide as agent for the Trust services as Transfer Agent, Dividend Disbursing Agent and Shareholder Servicing Agent and DSC hereby accepts such appointment and agrees to provide the Trust, as its agent, the services described herein. 1.2 The Trust shall pay DSC and DSC shall accept, for the services provided hereunder, the compensation provided for in Section VIII hereof. The Trust also shall reimburse DSC for expenses incurred or advanced by it for the Trust in connection with its services hereunder.

  • Medical Appointments Medical appointments may be charged to sick leave. The employee must notify the supervisor of a medical appointment at least twenty-four (24) hours in advance except in case of emergency.

  • Medical/Dental Appointments (a) Where medical and/or dental appointments cannot be scheduled outside the employee's working hours, sick leave with pay will be granted in accordance with Clause 19.1(c) (Sick Leave Credits). (b) Where an employee's qualified medical practitioner refers the employee to a Specialist, then any necessary travel time, to a maximum of one working day, for the employee to visit such Specialist, will be granted in accordance with Clause 19.1(c) (Sick Leave Credits).

  • Appointment of the Distributor (a) Each Fund hereby appoints the Distributor as the principal underwriter and distributor of the Fund to sell Shares to the public on the terms set forth in this Agreement and that Fund's prospectus and the Distributor hereby accepts such appointment and agrees to act hereunder. Each Fund, during the term of this Agreement, shall sell Shares to the Distributor upon the terms and conditions set forth herein. (b) The Distributor agrees to purchase Shares, as principal for its own account, from each Fund and to sell Shares as principal to investors, and securities dealers, including Xxxx Xxxxxx Xxxxxxxx Inc. ("DWR"), an affiliate of the Distributor, upon the terms described herein and in that Fund's prospectus (the "Prospectus") and statement of additional information included in the Fund's registration statement (the "Registration Statement") most recently filed from time to time with the Securities and Exchange Commission (the "SEC") and effective under the Securities Act of 1933, as amended (the "1933 Act"), and the 1940 Act or as the Prospectus may be otherwise amended or supplemented and filed with the SEC pursuant to Rule 497 under the 1933 Act.

  • Exclusive Appointment The Company acknowledges that the appointment of the Manager hereunder is an exclusive appointment for the Term. The Company shall not appoint other managers with respect to the Vessels or the Containership business during the Term, except in circumstances in which it is necessary to do so in order to comply with Applicable Laws or as otherwise agreed by the Manager in writing. This Section 2.5 does not prohibit the Company from having its own employees perform the Management Services.
