Appointment of the Consultant. The Company appoints the Consultant and the Consultant accepts appointment on the terms and conditions provided in this Agreement as a consultant to the Company’s and its subsidiaries’ businesses, including any other corporations hereafter formed or acquired by the Company or any of its subsidiaries to engage in any business.
Appointment of the Consultant. 3.1. The Client hereby appoints the Consultant to perform the Services on the terms and conditions set forth in this Agreement and the Consultant accepts the appointment and undertakes to carry out the Services.
3.2. Insofar as the Consultant comprises more than one firm and/or company associated together for the purpose of performing the Services, all such firms and/or companies shall be jointly and severally liable for the obligations of the Consultant under this Agreement. Such firms and/or companies shall designate and authorize one of their number to liaise on their behalf with and represent them vis-a-vis the Client who shall be entitled to deal with them through such representative.
Appointment of the Consultant. Subject to the following terms and conditions, the Consultant agrees to provide the Services (defined herein) to EYI and EYI hereby retains the Consultant to provide the Services. The Consultant covenants and agrees with EYI to discharge the performance of its obligations under this Agreement honestly, in good faith and in the best interests of EYI, and in connection therewith shall exercise the degree of care, diligence and skill that a reasonably prudent person would exercise in similar circumstances.
Appointment of the Consultant. (a) With effect from 12 October 2021, the Consultant will act as Consultant for LJAM. LJAM hereby confirms the appointment of the Consultant and the Consultant hereby agrees to act as Consultant for LJAM.
(b) The Consultant undertakes to use its best endeavors to provide the commercial services specified herein to LJAM in accordance with sound business practice and to protect and promote the interests of LJAM in all matters relating to the provision of services hereunder.
(c) In the exercise of its duties hereunder, the Consultant, to the extent practicable and subject to sound business practices, shall act in accordance with the policies and instructions that from time to time shall be communicated to it by LJAM, and the Consultant shall at all times serve LJAM faithfully and diligently.
Appointment of the Consultant. (a) With effect from the Effective Date, the Consultant will act as Consultant for HCOL. HCOL hereby confirms the appointment of the Consultant and the Consultant hereby agrees to act as Consultant for HCOL.
(b) The Consultant undertakes to use its best endeavors to provide to HCOL the Services specified below in accordance with sound management practice and to protect and promote the interests of HCOL in all matters relating to the provision of services hereunder.
(c) In the exercise of its duties hereunder, the Consultant, to the extent practicable and subject to sound management practices, shall act in accordance with the policies and instructions that from time to time shall be communicated to it by HCOL and the Consultant shall at all times serve HCOL faithfully and diligently.
Appointment of the Consultant. 1.1 Pubco appoints the Consultant to carry out the corporate role of Chief Financial Officer and also assist in areas of business development and general company management.
1.2 Notwithstanding the compensation received hereunder by the Consultant, the Company and Pubco will be jointly responsible for the reimbursement of all expenses incurred by the Consultant for the proper execution of this Agreement, including but not limited to, all Pubco and Company expenses relating to travel & transportation, lodging, entertainment, telecommunication, office-related expenses, printing, photocopying, as well as, various indemnification related expenses (as discussed herein).
Appointment of the Consultant. 1.1 The Client hereby appoints the Consultant, to provide the Services (more fully described Exhibit A and made a part of this Agreement) under the terms and conditions set forth herein
1.2 the Consultant agrees to devote the time, attention, knowledge, and skill necessary to carry out its responsibility over the term of this Agreement which shall run for the next Twelve months and as it pertains to the work encompassed in Exhibit A ("Services") of this Agreement.
Appointment of the Consultant. SESAME hereby appoints the Consultant and the Consultant accepts the appointment on the terms and conditions hereinafter set forth.
Appointment of the Consultant. The Advisor hereby appoints the Consultant to perform the services described herein. The Consultant shall provide the Advisor with such services as are set forth in Section 4, as necessary or appropriate to assist the Advisor with respect to its proper supervision and management of the assets of the Company.
