Nominated Persons. For the avoidance of doubt, any notice to be given to the Cover Pool Monitor, will be sent to those persons nominated by the Cover Pool Monitor from time to time (the “Nominated Persons” and each a “Nominated Person”) and the Cover Pool Monitor will not be deemed to have any knowledge of any notice sent to a person other than a Nominated Person, provided that a person will continue to be a Nominated Person until such time as the Cover Pool Monitor has sent notice to the Bond Trustee and the Guarantor (or the Cash Manager on its behalf) that any such Nominated Person has ceased to be a Nominated Person for the purpose of this Agreement. Furthermore, a Nominated Person will not be required, expected or deemed to have knowledge of any information known to any person not being a Nominated Person and is not required to obtain such information from any such other person.
Nominated Persons. 12.1 The Client nominates the following members of its staff (up to two (2)) to speak to and liaise with the Company on all matters relating to the Disclosure Services. The Client warrants that the following individuals are senior representatives of its organisation, called Nominated Person(s) and that they will each agree security procedures with the Company to ensure that confidentiality of information between the Company and the Client is maintained at all times. 12.2 The Client should also ensure that the candidate does not disclose details to any third party at anytime and that breaches can be investigated either internally, by UM, the CRB or by government agencies and that this may lead to criminal proceedings against the candidate and/or any individual or organisation who have either aided or assisted to that effect. 12.3 The Nominated Person is responsible for ensuring that they follow all the procedures set out and any misrepresentation of data or fraud would be dealt with and appropriate legal proceedings commenced, irrespective of whether there is any financial impact. This may lead to proceedings through the criminal courts as all information and communication relating to the CRB is of a highly confidential nature and any breaches relating to these would have to be dealt with appropriately. The Client will share in this liability and should take all reasonable steps to ensure that the Nominated person follows the procedures set out and action taken accordingly. 12.4 They are expected to confirm their acceptance of the CRB code of practice, confidentiality procedures, the Security, Storage, Handling, Retention & Disposal of Disclosures and the Form of Agreement before the organisation and the appointed Nominated Person(s) can be allowed the privileges afforded to them. 12.5 If the Nominated Person(s) does not follow any of the procedures agreed in the latter procedures and policies then their privilege to act as a Nominated Person will be suspended and then terminated as necessary. The countersignatory at UM will investigate the non-compliance issues that are identified and further remedial action planned. 12.6 The Nominated Person is a responsible senior person(s) who has responsibilities for making recruitment decisions on behalf of that organisation. Nominated Persons. The Exporter must: (a) ensure that the Nominated Persons have, as a minimum, the skills, qualifications and experience specified in the Activity Proposal and are lawfully entitled to undertake the Activities; (b) ensure that only the Nominated Persons undertake the Activities on behalf of the Exporter; (c) not replace any Nominated Person without MLA's prior written approval such approval not to be withheld where the proposed replacement has at least the same or similar ability, experience and qualifications as the person they are replacing; (d) undertakes that the Nominated Persons will perform this work to the best of their skill and ability; and (e) must provide each Nominated Person with a copy of this agreement and take all reasonable steps to explain it to them.
Nominated Persons. The Service Provider: must, subject to the terms of this Agreement, cause the Nominated Persons to perform the work in respect of the Services on behalf of the Service Provider; undertakes that the Nominated Persons will perform this work to the best of their skill and ability; and must provide each Nominated Person with an explanation of their specific obligations under this Agreement and take all reasonable steps to explain those obligations to them. The Service Provider must provide the Services: in accordance with all relevant laws and regulations and any applicable industry standards or guidelines, including applicable Ethics Laws; in accordance with the Milestones and the Specifications and otherwise in compliance with the requirements set out in the Statement of Work; in accordance with the MLA Policies and all reasonable and lawful directions of MLA from time to time concerning the Services; and with due care and skill and in a professional manner consistent with generally accepted industry best practice. The parties agree that a Milestone is not achieved unless it is completed to the reasonable satisfaction of MLA. The Service Provider must at all times act in the best interests of MLA in providing the Services. If at any time MLA reasonably considers that the Service Provider has not acted in the best interest of MLA, MLA may immediately terminate this Agreement in accordance with 17.4.1.(b). The Service Provider must not provide the Services (or any part thereof) performed from a location outside Australia without the prior written consent of MLA.
Nominated Persons. The Consultant will introduce to the Client appropriately qualified personnel for the assistance in the delivery of the Services at a cost to the Client. It is hereby clarified that the Consultant will be requiring two persons in Israel, which will be contracted directly by the Client and payment will be executed directly by the Client or by a third party contracted for this purpose. The Client acknowledges that a monthly sum of approximately US$ 9,500_shall be required for such personnel of the Client in Israel. Office rent and utilities shall be determined jointly and approved by the Client.
Nominated Persons. ‌ (a) The Contractor may delegate work to any Nominated Person. (b) The Contractor must not engage any person other than a Nominated Person to perform the Services in its place or on its behalf. (c) The Foundation may by written notice require the Contractor to cease involving a Nominated Person in the delivery of the Services. The Contractor must immediately comply with that direction. (d) The Contractor must immediately replace any Nominated Person whose involvement in the Services is ceased in accordance with paragraph (c) so as to prevent any disruption to the delivery of the Services from occurring. (e) The Contractor may propose to replace any Nominated Person and/or include an additional Nominated Person at any time (the New Nominated Person). The Foundation may accept or reject the appointment of the New Nominated Person acting reasonably. The Foundation may request details from the Contractor as to the suitability of the New Nominated Person prior to accepting their appointment which may include (but is not limited to) details of academic qualifications and employment history.
