Approval of Shareholders of Beeville; Efforts. (a) Beeville shall, and shall cause its board of directors to, (i) take all action in accordance with the federal securities laws, the laws of the State of Texas and the Organizational Documents of Beeville necessary to (1) call and give notice of a special meeting of its shareholders (the “Beeville Shareholder Meeting”) for the purpose of (A) considering and voting upon the approval of this Agreement and the transactions contemplated hereby and (B) for such other purposes consistent with the complete performance of this Agreement as may be necessary and desirable within fifteen (15) days following the date the Registration Statement is declared effective under the Securities Act (the “Notice Date”) and (2) schedule the Beeville Shareholder Meeting to take place on a date that is within forty-five (45) days after the Notice Date; (ii) use Commercially Reasonable Efforts to (x) cause the Beeville Shareholder Meeting to be convened and held on the scheduled date and (y) obtain the necessary approvals by Beeville’s shareholders of this Agreement and the transactions contemplated hereby (the “Beeville Shareholder Approval”); and (iii) subject to Section 5.1(b), include in the Proxy Statement (as defined herein) the recommendation that the Beeville shareholders approve and adopt this Agreement and the transactions contemplated hereby (the “Beeville Board Recommendation”).
