Obtaining Approvals. Purchaser shall use commercially reasonable best efforts to obtain any consent, authorization or approval of, or exemption by, any governmental body or agency or instrumentality thereof, or other person, required to be obtained or made by Purchaser in connection with the transactions contemplated by this Agreement.
Obtaining Approvals. Whenever this Agreement requires the prior approval or consent of Franchisor, Franchisee shall make a timely written request to Franchisor therefor, and such approval or consent must be obtained in writing. Franchisor makes no warranties or guarantees upon which Franchisee may rely, and assumes no liability or obligation to Franchisee, by providing any waiver, approval, consent, or suggestion to Franchisee in connection with this Agreement, or by reason of any neglect, delay, or denial of any request therefor.
Obtaining Approvals. Seller shall use its commercially reasonable efforts to obtain (and to cooperate with Purchaser in obtaining) any (i) consent, authorization or approval of, or exemption by, any governmental body or agency or instrumentality thereof required to be obtained or made by Seller in connection with the transactions contemplated by this Agreement, and (ii) consent to, and authorization or approval of any other person or entity to or required as a result of, consummation of the transactions contemplated hereby.
Obtaining Approvals. Jubilant shall be responsible for obtaining all Regulatory Approvals that are required in relation to the manufacture (other than general permits for the Facility), distribution and sale of the Products, including, without limitation, the Products ANDA. Cadista shall be responsible to obtain all Regulatory Approvals related generally to the Facility.

Obtaining Approvals. Each Party agrees to use commercially reasonable efforts to take the following actions, as reasonably necessary to consummate the transactions contemplated hereby: (a) timely obtain all approvals and consents from any Person other than the other Party (including all Governmental Entities), (b) timely make or give all filings with and notices to all Persons other than a Party (including all Governmental Entities), and (c) provide promptly to the other Party or to all other Persons (including all Governmental Entities) all information reasonably required to be provided to such other Party or such other Person. Without limiting the foregoing, the Parties shall use commercially reasonable efforts to obtain consent from Retailer and Parent to the transactions contemplated by this Agreement in the form 11 attached hereto as Exhibit 3.06, or such other form as the Parties may mutually agree upon (“Retailer Consent”). 3.07
Obtaining Approvals. Xxxxxxxx, at its sole cost and expense, shall be responsible for timely processing and obtaining all Governmental Approvals required for the construction and Substantial Completion of the Project. Xxxxxxxx shall use diligent efforts to obtain all Governmental Approvals and to keep Herndon reasonably apprised of the status of its efforts to obtain the Governmental Approvals by the dates set forth in the Project Schedule, including providing copies of all applications for Governmental Approvals and of all final Governmental Approvals issued by the permitting authority. Herndon shall timely cooperate, as reasonably requested by Xxxxxxxx, to assist in obtaining the Governmental Approvals. Such cooperation shall include facilitating in its proprietary capacity timely regulatory review of applications and other materials submitted to the Town of Xxxxxxx for approval in its governmental capacity, and execution by Herndon (in its capacity as a party to this Agreement and not its governmental capacity) of any applications, requests, plats and other documents. Governmental Approvals shall be subject to only those conditions approved by Xxxxxxxx in its discretion. If an appeal or challenge is filed with respect to any of the Governmental Approvals, Xxxxxxxx shall use diligent efforts to defend such appeal or challenge, at Xxxxxxxx’x sole cost and expense.
Obtaining Approvals. Before going out to bid, the Consultant must prepare and file applications, and obtain all necessary approvals from those local, state (e.g., MA Dept. of Public Safety) and Federal authorities that the statutes and the Agreement require. Before printing the bid documents for a building project, the Consultant will meet with the State Building Inspector and Massport’s Fire Rescue Department to secure their approvals of the plans. This step will also facilitate the General Contractor’s application for a Building Permit, and ultimately, for a Certificate of Occupancy. Also at this meeting, Consultants must submit Certification Construction Control Forms (Refer to Exhibit 19), which are signed by the respective architects and engineers who have stamped their professional seals on the construction documents.
Obtaining Approvals. 5.1.1 In this clause 5, the Developer will not be taken to be in breach of an obligation to obtain an Approval, unless the Developer has not obtained the Approval in accordance with the relevant provision of this Deed because the Developer has:
Obtaining Approvals. WDS shall deliver, at or prior to the Closing Time, the Approvals referred to in Section 5.1. If, notwithstanding such efforts, WDS is unable to obtain any of such Approvals, WDS shall not be liable to the Buyer for any breach of covenant, provided that nothing contained herein shall affect WDS’ obligations to complete the transactions contemplated by this Agreement and the Transaction Documents.
