Arbitration Procedure. (i) If Landlord and Tenant have failed to reach agreement as to the Prevailing Market rate within thirty (30) days after the date of the Rejection Notice, then, within five (5) days after the expiration of such thirty-(30)-day period, Landlord and Tenant shall each simultaneously submit to the other, in a sealed envelope, its good faith estimate of the Prevailing Market rate for the Premises during the Fourth Extended Term (collectively referred to as the “Estimates”). (iii) If the Prevailing Market rate has not been determined by the commencement date of the Fourth Extended Term, Tenant shall pay Base Rent upon the terms and conditions in effect during the last month of the Third Extended Term for the Premises until such time as the Prevailing Market rate has been determined. Upon such determination, the Base Rent for the Premises shall be retroactively adjusted to the commencement of the Fourth Extended Term for the Premises. If such adjustment results in an underpayment of Base Rent by Tenant, Tenant shall pay Landlord the amount of such underpayment within thirty (30) days after the determination thereof.

4. Notwithstanding anything to the contrary contained herein, the parties agree that Landlord shall not be obligated to extend the Term of this Lease if the Prevailing Market rate for the Premises during any year of the Extension Term is less than 100% of the Base Rent rate, per rentable square foot per annum, applicable during the last year of the prior Extended Term (the “Minimum Extension Term Base Rent Rate”), regardless of any determination of Prevailing Market rate made by the appraisers or arbitrator, as described above.

If the higher of such Estimates is not more than 105% of the lower of such Estimates, then Prevailing Market rate shall be the average of the two Estimates. Upon selection, Landlord’s and Tenant’s appraisers shall work together in good faith to agree upon which of the two Estimates most closely reflects the Prevailing Market rate for the Premises. The Estimate chosen by such appraisers shall be binding on both Landlord and Tenant as the Base Rent rate for the Premises during the Fourth Extended Renewal Term, subject to the terms of Section D.4 below regarding the Minimum Renewal Base Rent, as defined therein. If either Landlord or Tenant fails to appoint an appraiser within the seven-(7)-day 7 day period referred to above, the appraiser appointed by the other party shall be the sole appraiser for the purposes hereof. Upon such determination, the Base Rent for the Premises shall be retroactively adjusted to the commencement of the Fourth Extended Renewal Term for the Premises. If such adjustment results in an underpayment of Base Rent by Tenant, Tenant shall pay Landlord the amount of such underpayment within thirty (30) 30 days after the determination thereof. Upon such determination, the Base Rent for the Premises Advance Must-Take Term is determined. Upon determination of the Initial Base Rent, the Initial Base Rent for the Must-Take Space shall be retroactively adjusted to the commencement of the Fourth Extended Term for the Premisesapplicable effective date. (d) Notwithstanding anything to the contrary contained herein, the parties agree that the Initial Base Rent for the Must-Take Space (except as provided herein with respect to an Advance Must-Take Term) shall not be less than $30.72 per rentable square foot per annum (the “Minimum Initial Base Rent”) and shall not be greater than $46.08 per rentable square foot per annum (the “Maximum Initial Base Rent”), regardless of any determination of Prevailing Market rate made by the appraisers or arbitrator, as described above.

If Landlord and Tenant have failed fail to reach agreement agree upon the Fair Market Rate as to the Prevailing Market rate within thirty (30) days after the date of the Rejection Noticeset forth above, then, within five (5) days after the expiration of such thirty-(30)-day period, Landlord and Tenant shall then each simultaneously submit to the other, in a sealed envelope, its good faith estimate of the Prevailing Fair Market rate Rate for the Premises during the Fourth Extended Renewal Term (collectively referred to as the “Estimates”). The Estimate chosen by such appraisers shall be binding on both Landlord and Tenant as the Base Rent rate for the Premises during the Fourth Extended Renewal Term. (iii) If the Prevailing Market rate has not been determined by the commencement date of the Fourth Extended Term, Tenant shall pay Base Rent upon the terms and conditions in effect during the last month of the Third Extended Term for the Premises until such time as the Prevailing Market rate has been determined. Upon such determination, the Base Rent for the Premises shall be retroactively adjusted to the commencement of the Fourth Extended Term for the Premises. If such adjustment results in an underpayment of Base Rent by Tenant, Tenant shall pay Landlord the amount of such underpayment within thirty (30) days after the determination thereof.

4. Notwithstanding anything to the contrary contained herein, the parties hereby agree that Landlord shall not be obligated to renew this Lease if the Prevailing Market rate for the Premises during the Renewal Term is less than the Base Rental rate, per rentable square foot per annum, applicable during the last year of the initial Lease Term, plus three (3%) of such rate (the "Minimum Renewal Term Base Rental Rate"), regardless of any determination of Prevailing Market rate made by the appraisers or arbitrator, as described above.

(ii) Upon selection, Landlord’s and Tenant’s appraisers shall work together in good faith to agree upon which of the two Estimates most closely reflects the Prevailing Market rate for the Premises. The Estimate chosen by such appraisers shall be binding on both Landlord and Tenant as the Base Rent rate for the Premises during the Fourth Extended Renewal Term. If either Landlord or Tenant fails to appoint an appraiser within the seven-(7)-day 10 Business Day period referred to above, the appraiser appointed by the other party shall be the sole appraiser for the purposes hereof. If the arbitrator believes that expert advice would materially assist him, he may retain one or more qualified persons to provide such expert advice. The parties shall share equally in the costs of the arbitrator and of any experts retained by the arbitrator. Any fees of any appraiser, counsel or experts engaged directly by Landlord or Tenant, however, shall be borne by the party retaining such appraiser, counsel or expert.
(iii) If the Prevailing Market rate has not been determined by the commencement date of the Fourth Extended Renewal Term, Tenant shall pay Base Rent upon the terms and conditions in effect during the last month of the Third Extended initial Term for the Premises until such time as the Prevailing Market rate has been determined. Upon such determination, the Base Rent for the Premises shall be retroactively adjusted to the commencement of the Fourth Extended Renewal Term for the Premises. If such adjustment results in an underpayment of Base Rent by Tenant, Tenant shall pay Landlord the amount of such underpayment within thirty (30) 30 days after the determination thereof. If such adjustment results in an overpayment of Base Rent by Tenant, Landlord shall credit such overpayment against the next installment of Base Rent due under the Lease and, to the extent necessary, any subsequent installments, until the entire amount of such overpayment has been credited against Base Rent.

Upon such determination, the Base Rent for the Premises Renewal Term shall be retroactively adjusted to the commencement of the Fourth Extended Term term for the PremisesRenewal Term. If such adjustment results in an underpayment of Base Rent by Tenant, Tenant shall pay Landlord the amount of such underpayment within thirty (30) days after the determination thereof. Each appraiser such real estate broker so selected shall be certified as an MAI appraiser or as an ASA appraiser and shall have had at least five (5) years of experience within the previous immediately preceding ten (10) years years’ experience as a real estate appraiser working broker leasing first-class office space in the Route 128 West San Francisco financial district and “Mid-Market” area, with working knowledge of current rental rates and practices. For purposes hereof, an “MAI” appraiser means an individual who holds an MAI designation conferred by, and is an independent member of, the American Institute of Real Estate Appraisers (or its successor organization, or in the event there is no successor organization, the organization and designation most similar), and an “ASA” appraiser means an individual who holds the Senior Member designation conferred by, and is an independent member of, the American Society of Appraisers (or its successor organization, or, in the event there is no successor organization, the organization and designation most similar).

Upon such determination, the Base Rent for the Added Premises shall be retroactively adjusted to the commencement of the Fourth Extended Term for the PremisesExpansion Renewal Term. If such adjustment results in an underpayment of Base Rent by Tenant, Tenant shall pay Landlord the amount of such underpayment within thirty (30) days after the determination thereof. If such adjustment results in an overpayment of Base Rent by Tenant, Landlord shall credit such overpayment against the next installment of Base Rent due under the Lease (as amended hereby) and, to the extent necessary, any subsequent installments, until the entire amount of such overpayment has been credited against Base Rent.
(iv) If Tenant is entitled to and properly exercises the Expansion Renewal Option, Landlord shall prepare an amendment (a “Renewal Amendment”) to reflect changes in the Base Rent, Base Year (which shall be the calendar year in which the commencement of the Expansion Renewal Term occurs), term, termination date and other appropriate terms. Tenant shall execute (or make good faith corrective comments to) and return the Renewal Amendment to Landlord within fifteen (15) days after Tenant’s receipt of same, but an otherwise valid exercise of the Expansion Renewal Option shall be fully effective whether or not the Renewal Amendment is executed.
(v) For purposes of this Expansion Renewal Option, “Prevailing Market” shall mean the arms’ length fair market annual rental rate per RSF under new and renewal leases and amendments (other than renewal amendments with rental rates not based on 100% of the then applicable fair market rental rates) for closed transactions entered into on or about the date on which the Prevailing Market is being determined hereunder for space comparable to the Added Premises in the Building and in office buildings comparable to the Building in the “Mid-Market” district of San Francisco, California (“Comparable Transactions”). “Mid-Market” is hereby defined as that set of recently renovated office buildings located in the area bordered by Xxxxxx Xxxxxx xx xxx xxxxx, 0xx Xxxxxx to the east, Xxxxxxx Street to the south, and 00xx Xxxxxx to the west, including buildings located immediately on both sides of each of the aforementioned streets, in San Francisco. The determination of the Prevailing Market shall take into account any material economic differences between the terms of the Lease and any comparison lease, such as rent abatements, tenant improvement allowances, amenities, construction costs and other concessions and the manner, if any, in which the Landlord under any such lease is reimbursed for operating expenses and taxes, as well as the level of improvements and finishes existing in the Added Premises. The determination of Prevailing Market shall also take into consideration any reasonably anticipated changes in the Prevailing Market rate from the time such Prevailing Market rate is being determined and the time such Prevailing Market rate will become effective under the Lease.

If Landlord and Tenant have failed to reach agreement as to the Prevailing Market rate within thirty (30) 30 days after the date of the Rejection Notice, then, within five (5) 5 days after the expiration of such thirty-(30)-day 30-day period, Landlord and Tenant shall each simultaneously submit to the other, in a sealed envelope, its good faith estimate of the Prevailing Market rate for the Premises during the Fourth Extended Extension Term (collectively referred to as the “"Estimates”"). If the higher of such Estimates is not more than 105% of the lower of such Estimates, then Prevailing Market rate shall be the average of the two Estimates. Upon selection, Landlord’s 's and Tenant’s 's appraisers shall work together in good faith to agree upon which of the two Estimates most closely reflects the Prevailing Market rate for the Premises. The Estimate chosen by such appraisers shall be binding on both Landlord and Tenant as the Base Rent rate for the Premises during the Fourth Extended Extension Term, subject to the terms of Section D.4 below regarding the Minimum Extension Base Rent, as defined therein. If either Landlord or Tenant fails to appoint an appraiser within the seven-(7)-day 7-day period referred to above, the appraiser appointed by the other party shall be the sole appraiser for the purposes hereof. The parties shall share equally in the costs of the arbitrator and of any experts retained by the arbitrator. Any fees of any appraiser, counsel or experts engaged directly by Landlord or Tenant, however, shall be borne by the party retaining such appraiser, counsel or expert.
(iii) 3. If the Prevailing Market rate has not been determined by the commencement date of the Fourth Extended Extension Term, Tenant shall pay Base Rent upon the terms and conditions in effect during the last month of the Third Extended initial Term for the Premises until such time as the Prevailing Market rate has been determined. Upon such determination, the Base Rent for the Premises shall be retroactively adjusted to the commencement of the Fourth Extended Extension Term for the Premises.
4. If such adjustment results in an underpayment Notwithstanding anything to the contrary contained herein, the parties agree that Landlord shall not be obligated to extend the Term of this Lease if the Prevailing Market rate for the Premises during any year of the Extension Term is less than the Minimum Extension Term Base Rent Rate, regardless of any determination of Prevailing Market rate made by Tenantthe appraisers or arbitrator, Tenant shall pay Landlord the amount of such underpayment within thirty (30) days after the determination thereofas described above.

For purposes hereof, an “MAI” appraiser means an individual who holds an MAI designation conferred by, and is an independent member of, the American Institute of Real Estate Appraisers (or its successor organization, or in the event there is no successor organization, the organization and designation most similar), and an “ASA” appraiser means an individual who holds the Senior Member designation conferred by, and is an independent member of, the American Society of Appraisers (or its successor organization, or, in the event there is no successor organization, the organization and designation most similar).
(ii) 2. Upon selection, Landlord’s and Tenant’s appraisers shall work together in good faith to agree upon which of the two Estimates most closely reflects the Prevailing Market rate for the Premises. The Estimate chosen by such appraisers shall be binding on both Landlord and Tenant as the Base Rent rate and Base Year for the Premises during the Fourth Extended Renewal Term. If either Landlord or Tenant fails to appoint an appraiser within the seven-(7)-day 7 day period referred to above, the appraiser appointed by the other party shall be the sole appraiser for the purposes hereof. If the Prevailing Market rate has not been determined by the commencement date of the Fourth Extended Renewal Term, Tenant shall pay Base Rent upon the terms and conditions in effect during the last month of the Third Extended initial Term for the Premises until such time as the Prevailing Market rate has been determined. Upon such determination, the Base Rent for the Premises shall be retroactively adjusted to the commencement of the Fourth Extended Renewal Term for the Premises. If such adjustment results in an underpayment of Base Rent by Tenant, Tenant shall pay Landlord the amount of such underpayment within thirty (30) 30 days after the determination thereof. If such adjustment results in an overpayment of Base Rent by Tenant, Landlord shall credit such overpayment against the next installment of Base Rent due under the Lease and, to the extent necessary, any subsequent installments, until the entire amount of such overpayment has been credited against Base Rent.

If the arbitrator believes that expert advice would materially assist him, he may retain one or more qualified persons to provide such expert advice. The parties shall share equally in the costs of the arbitrator and of any experts retained by the arbitrator. Any fees of any appraiser, counsel or experts engaged directly by Landlord or Tenant, however, shall be borne by the party retaining such appraiser, counsel or expert.
(iii) 3. If the Prevailing Market rate has not been determined by the commencement date of Tenant’s obligation to pay Base Rent and other charges payable under the Fourth Extended TermLease based upon such Prevailing Market rate, Tenant shall pay Base Rent upon the terms and conditions in effect during the last month of the Third Extended Term for the Premises until such time as the Prevailing Market rate has been determined. Upon such determination, the Base Rent for the Premises shall be retroactively adjusted to the commencement of the Fourth Extended Option Term for the Premises. If such adjustment results in an underpayment of Base Rent by Tenant, Tenant shall pay Landlord the amount of such underpayment within thirty (30) days after the determination thereof.

Arbitration Procedure. (i) 1. If Landlord and Tenant have failed to reach agreement as to the Prevailing Market rate within thirty (30) days after the date of the Rejection NoticeNotice and Tenant has provided Landlord with timely written notice of its election to have the Prevailing Market rate determined by the arbitration procedures described herein, then, within five seven (57) days after the expiration of such thirty-(30)-day 30-day period, Landlord and Tenant shall each simultaneously submit to the other, in a sealed envelope, its good faith estimate of the Prevailing Market rate for the Premises during the Fourth Extended Extension Term (collectively referred to as the “"Estimates”"). If the higher of such Estimates is not more than 105% of the lower of such Estimates, then Prevailing Market rate shall be the average of the two Estimates. If the Prevailing Market rate is not resolved by the exchange of Estimates, then, within seven (7) days after the exchange of Estimates, Landlord and Tenant shall each select an appraiser to determine which of the two Estimates most closely reflects the Prevailing Market rate for the Premises during the Fourth Extended Extension Term. Each appraiser so selected shall be certified as an MAI appraiser or as an ASA appraiser and shall have had at least five (5) years of years' experience within the previous ten (10) years as a real estate appraiser working in the Route 128 West areaBoston MetroWest market, with working knowledge of current rental rates and practices. For purposes hereof, an “"MAI” " appraiser means an individual who holds an MAI designation conferred by, and is an independent member of, the American Institute of Real Estate Appraisers (or its successor organization, or in the event there is no successor organization, the organization and designation most similar), and an “"ASA” " appraiser means an individual who holds the Senior Member designation conferred by, and is an independent member of, the American Society of Appraisers (or its successor organization, or, in the event there is no successor organization, the organization and designation most similar).
(ii) 2. Upon selection, Landlord’s 's and Tenant’s 's appraisers shall work together in good faith to agree upon which of the two Estimates most closely reflects the Prevailing Market rate for the Premises. The Estimate chosen by such appraisers shall be binding on both Landlord and Tenant as for the determination of the Base Rent rate for the Premises during the Fourth Extended Extension Term. If either Landlord or Tenant fails to appoint an appraiser within the seven-(7)-day seven-day period referred to above, the appraiser appointed by the other party shall be the sole appraiser for the purposes hereof. If the two appraisers cannot agree upon which of the two Estimates most closely reflects the Prevailing Market within twenty (20) days after their appointment, then, within ten (10) days after the expiration of such twenty-(20) 20-day period, the two appraisers shall select a third appraiser meeting the aforementioned criteria. Once the third appraiser (i.e., i.e. arbitrator) has been selected as provided for above, then, as soon thereafter as practicable but in any case within fourteen (14) days, the arbitrator shall make his determination of which of the two Estimates most closely reflects the Prevailing Market rate, rate and such Estimate shall be binding on both Landlord and Tenant as for the determination of the Base Rent rate for the Premises. (iv) Notwithstanding anything to the contrary contained herein, the parties agree that in no event shall the Initial Renewal Term Base Rent shall not be less than the Minimum Renewal Base Rent regardless of any determination of Prevailing Market rate made by the appraisers or arbitrator, as described above.
