Arranged Financing Supplement. If Client selected “Arranged Financing Platform” in Section B of the New Account Application and Agreement For Entities, this Arranged Financing Supplement (the “AF Supplement”) will form part of Client's New Account Agreement. Unless otherwise defined in this AF Supplement, defined terms have the same meaning as set forth in Client's New Account Agreement. In the event that any provision of this AF Supplement conflicts or is inconsistent with any provision of Client's New Account Agreement, this AF Supplement shall control for matters related to this AF Supplement.

Arranged Financing Supplement securities of the same issuer, forming part of the same issue, and being of an identical type, nominal value, description and amount, or to the extent any new or different securities shall be exchanged for any Transferred Collateral by recapitalization, merger, consolidation or other corporate action, such new or different security) (“Equivalent Collateral”), provided that if a Close-Out Event has occurred, then GSI will only be obliged to account to the Client for the cash value of the Transferred Collateral. GSI may reflect such obligation to deliver Equivalent Collateral in a GSI account referencing the name of Client, but Client acknowledges that GSI is not acting as a custodian or securities intermediary for Client with respect to Transferred Collateral or Equivalent Collateral, neither Transferred Collateral nor Equivalent Collateral is subject to the rights and protections afforded by Rules 15c3-3, 8c-1 and 15c2-1 under the Securities Exchange Act of 1934, the Securities Investor Protection Act of 1970, or any excess SIPC coverage GS&Co. may maintain, nor is Transferred Collateral or Equivalent Collateral Client Money or Custody Assets within the meaning given to such terms in the FCA Handbook. Because GSI has the right to reuse or rehypothecate the shares in Client's AF Account, Client may receive payments in lieu of dividends rather than actual dividends. Current U.S. law generally provides that, subject to certain requirements, dividends paid to a U.S. individual shareholder from domestic corporations and certain foreign corporations are subject to tax at the reduced rates applicable to long-term capital gains. Payments in lieu of dividends are not eligible for the reduced rate of tax for dividends and are taxed at ordinary income rates.

  • Additional Debt The Borrower will, promptly upon execution thereof, deliver to the Administrative Agent a copy of each Material Debt Financing Document (excluding, for the avoidance of doubt, commitment letters, fee letters and similar letters with respect to the arrangement, establishment, syndication, or underwriting of any additional Debt); provided, that the Borrower shall have the right to redact any provision set forth in such Material Debt Financing Documents to the extent necessary to comply with binding confidentiality obligations or to protect proprietary market information.   • Financing Arrangement 5.2.1 The Developer shall at its own cost, expenses and risk make such financing arrangement as would be necessary to implement the Project and to meet all of its obligations under this Agreement, in a timely manner.

  • Supplemental Funding Unless otherwise defined by program rules, Supplemental Funding is the award of additional funds to provide for an increase in costs due to unforeseen circumstances. The State will comply with all Federal program agency policies and procedures for requesting supplemental grant funding. The State will comply with the following guidelines when requesting supplemental funding for the Medical Assistance Program and associated administrative payments (CFDA 93.778): The State must submit a revised Medicaid Program Budget Report (CMS-37) to request supplemental funding. The CMS guidelines and instructions for completing the CMS-37 are provided in Section 2600F of the State Medicaid Manual (SMM). The CMS/CO must receive the revised Form CMS-37 through the Medicaid Budget Expenditure System/Children's Budget Expenditure System (MBES/CBES) no later than 10 calendar days before the end of the quarter for which the supplemental grant award is being requested. Additional guidance on this policy is available from the respective CMS Regional Office, U.S. Department of Health & Human Services. The State will comply with the following guidelines when requesting supplemental funding for TANF (CFDA 93.558), CCDF (CFDA 93.575), CSE (93.563), and the FC/AA (CFDA 93.658 and CFDA 93.659) programs administered by the U.S. Department of Human Services, Administration for Children and Families (HHS/ACF):

  • Funding Agreement On the Original Issue Date set forth above, the Company will issue to the Trust the Funding Agreement(s) identified by number in the Pricing Supplement.

  • Pre-financing Pre-financing is intended to provide the beneficiary with a float. Where required by the provisions of Article I.4 on pre-financing, the beneficiary shall furnish a financial guarantee from a bank or an approved financial institution established in one of the Member States of the European Union. The guarantor shall stand as first call guarantor and shall not require the Commission to have recourse against the principal debtor (the beneficiary). The financial guarantee shall remain in force until final payments by the Commission match the proportion of the total grant accounted for by pre-financing. The Commission undertakes to release the guarantee within 30 days following that date.

  • Alternative Risk Financing Programs The County reserves the right to review, and then approve, Contractor use of self-insurance, risk retention groups, risk purchasing groups, pooling arrangements and captive insurance to satisfy the Required Insurance provisions. The County and its Agents shall be designated as an Additional Covered Party under any approved program.
