Articles of Cancellation. If the Company is dissolved, the Members shall promptly file a Certificate of Dissolution with the Ohio Secretary of State. If there are no Remaining Members, the Certificate shall be filed by the last Person to be a Member; if there are no Remaining Members, or a Person who last was a Member, the Certificate shall be filed by the legal or personal representatives of the Person who last was a Member.

Articles of Cancellation. When all debts, liabilities and obligations have been paid and discharged or adequate provisions have been made therefor and all of the remaining property and assets have been distributed as provided in Section 10.3, Articles of Cancellation shall be executed and filed with the State of Maryland Department of Assessments and Taxation in accordance with Section 4A-909 of the Act.

The Company also shall undertake to furnish to the Securities and Exchange Commission, upon demand, either at their principal office or at any regional office, complete, correct and current hard copies of any and all such records. Thereafter, such records shall not be destroyed by the Company without the approval of the Paying Agent, which approval shall not be withheld unreasonably, but will be safely stored for possible future reference.

  • Filing of Certificate of Cancellation If the Company is dissolved, a Certificate of Cancellation shall be promptly filed with the Secretary of State by the Member.
