Assignment and Nomination. The City may, in its sole and absolute discretion, assign its rights hereunder without obtaining the consent of the Homeowner, and the City may nominate another person or entity to acquire the Affordable Unit, and the identity of such nominee shall not be subject to the approval of the Homeowner. In no event shall Homeowner, without the prior express written consent of the City, which consent shall be given by the City only in the event that the City determines the Transfer fully complies with Section 4 of the Covenant, assign or transfer its obligations under this Option Agreement to any person or entity.

Assignment and Nomination. Prior to the Closing Date, the Buyer may nominate any affiliate to take title to the Vessels or it may assign this Agreement to any affiliate upon prior written notice to the Seller. If the Buyer wishes to nominate a company other than an affiliate to take title to the Vessels or to assign this Agreement to any company other than an affiliate, such nomination or assignment shall only be upon the prior written consent of the Seller, which consent shall not be unreasonably withheld. This Agreement shall be binding on and inure to the benefit of all assigns and successors of the Buyer and the Seller.
