Assignment by City. The City and/or Board may assign their rights and obligations under this Agreement to any governmental entity the City creates without prior consent of Developer. If the City and/or Board assign their rights and obligations under this Agreement then the City and/or the Board shall provide Developer written notice of assignment within thirty (30) days of such assignment.
Assignment by City. This Lease and the interest of the City in the Leased Property may not be assigned or encumbered by the City except as permitted by Section 3.04 hereof.
Assignment by City. If City sells or otherwise transfers the Premises or if City assigns its interest in this Lease, such purchaser, transferee, or assignee thereof shall be deemed to have assumed City's obligations under this Lease arising after the date of such transfer, and City shall thereupon be relieved of all liabilities under this Lease arising thereafter, but this Lease shall otherwise remain in full force and effect. Lessee shall attorn to City's successor, which assumes and agrees to perform all of City’s obligations under this Lease.
Assignment by City. The City shall have the right at its option to assign its rights and obligations under this Agreement to a municipal services district or other public agency without consent of the Developer.
Assignment by City. City may assign or transfer any of its rights or obligations under this Agreement with the approval of the Participant, which approval shall not be unreasonably withheld; provided, however, that City may assign or transfer any of its interests hereunder at any time without the consent of the Participant.
Assignment by City. City may assign all of its rights and obligations under this Agreement to a Governmental Authority, a local government corporation formed by City or a trustee in connection with the Financing; provided that City remains liable for the City’s financial obligations contained herein unless such financial obligations are specifically assumed by any such Governmental Authority.
Assignment by City. The City shall not, without the prior written consent of the Developer, which consent shall not be unreasonably withheld or delayed, assign, pledge or transfer all or any part of, or any right or obligation under this Lease Agreement, whether voluntarily or by operation of law, and any such assignment or transfer without such consent will be null and void.
Assignment by City. City shall have the right to assign in its sole and absolute discretion all or any part of its interests in this Agreement without Owner's approval to the ICLT, a public benefit non-profit corporation. City shall provide notice to Owner of any such assignment.
Assignment by City. The City may assign, transfer, dispose of or otherwise alienate any interest in this Agreement or any agreement in connection with this Agreement to which Project Co and the City are parties:
(a) as may be required to comply with Applicable Law;
(b) to a corporation, all of the shares of which are owned by the City, provided that in such event, the City shall remain liable for all its obligations under this Agreement;
(c) to a regional services commission created under the Municipal Government Act (Alberta), or other similar entity, provided that in such event, the City shall remain liable for all its obligations under this Agreement;
(d) to any minister or agency of the Province of Alberta or the Government of Canada having the legal capacity, power, authority and ability to become a party to and to perform the obligations of the City under this Agreement; or
(e) with the prior written consent of Project Co.
Assignment by City. Neither this Series 2016 Purchase Agreement nor any interest of the City herein may at any time after the date hereof, without the prior written consent of the Trustee, be mortgaged, pledged, assigned or transferred by the City by voluntary act or by operation of law or otherwise. The City shall at all times remain liable for the performance of all of the covenants and conditions on its part to be performed, notwithstanding any such action.
