Assignment; Enurement. Neither Party may assign, delegate, or otherwise transfer this Agreement or any of it rights or obligations hereunder, without the prior written consent of the other Party (such consent not to be unreasonably withheld); provided, however, that either Party may assign this Agreement without the other Party’s consent in the event of any successor or assign that has acquired all, or substantially all, of the assigning Party’s business by means of merger, stock purchase, asset purchase, or otherwise. Any assignment or attempted assignment in violation of this Agreement shall be null and void.
Assignment; Enurement. This Agreement may not be assigned by a Party without the prior written consent of the other Party, which consent may be unreasonably and arbitrarily withheld. This Agreement shall be binding upon and shall enure to the benefit of the Parties and their respective administrators, trustees, receivers, successors and permitted assigns.

End User may not assign, transfer or encumber this Wireless Services Agreement, or any of its rights or obligations hereunder, without the prior written consent of FARMERS EDGE. Any attempted assignment, transfer or encumbrance without the required consent shall be void. The consent of FARMERS EDGE to any assignment of this Wireless Services Agreement shall not constitute FARMERS EDGE’s consent to a further assignment. Notwithstanding this Section, this Wireless Services Agreement shall be binding upon and enure to the benefit of the parties hereto and their respective heirs, executors, personal representatives, successors and permitted assigns.

The Company may assign this Agreement, or any part of its rights or obligations hereunder, without your prior consent and you hereby consent to the Company’s release of information necessary to facilitate such assignment.
Assignment; Enurement. Subject to prior written notice to each Securityholder, Nomad may assign all or part of its rights under this Agreement to a direct or indirect wholly owned subsidiary of Nomad, but, if such assignment takes place, Nomad shall continue to be liable jointly and severally with the assignee for any obligations hereunder.This Agreement shall not be otherwise assignable by any party hereto without the prior written consent of the other party hereto, which consent may not be unreasonably withheld, conditioned or delayed. The provisions of this Agreement will be binding upon and enure to the benefit of the parties and their respective heirs, administrators, executors, legal representatives, successors and permitted assigns.
Assignment; Enurement. (1) No Party may assign or transfer, whether absolutely, by way of security or otherwise, all or any part of its rights or obligations under this Agreement to any Person.
(2) Notwithstanding Section 10.11(1), the Purchaser may assign any or all of its rights and obligations under this Agreement to any of its Affiliates (the “Purchaser Affiliate”) and the Purchaser shall cause such Purchaser Affiliate to execute and deliver to the Vendor a joinder to this Agreement at Closing, on such terms and subject to such conditions as agreed by the Parties, wherein the Purchaser Affiliate agrees to be bound by the applicable provisions of this Agreement as the Purchaser and to make all representations and warranties of the Purchaser under this Agreement.
(3) This Agreement is binding upon and enures to the benefit of the Parties and their respective heirs, executors, administrators, legal representatives, successors and permitted assigns (as applicable).

Neither Party shall assign this Agreement or any of its rights or obligations hereunder, in whole or in part to any Person without the prior written consent of the other Party, except that Purchaser shall have the right to assign any or all of its rights, interests or obligations hereunder to an Affiliate of Purchaser, provided that: (a) such Affiliate agrees to be bound by the terms of this Agreement; (b) Purchaser shall remain liable hereunder for any breach of the terms of this Agreement by such Affiliate; (c) such assignment shall not release Purchaser from any obligation or liability hereunder in favour of Vendor; and (d) Purchaser shall acknowledge and confirm its continuing obligations in favour of Vendor in an assignment and assumption agreement in form and substance satisfactory to Vendor. This Agreement will be binding upon and enure to the benefit of the Parties and their respective successors and permitted assigns, as the case may be.
Assignment; Enurement. Neither the Corporation nor the Subscriber may assign any rights or benefits under this Agreement, including the benefit of any representation, warranty or covenant, without the prior written consent of the other party. This Agreement will enure to the benefit of and be binding upon the Corporation, the Subscriber and their respective heirs, executors, administrators and other legal representatives, successors and permitted assigns.
