ASSIGNMENT OR SUBLETTING BY LESSEE. LESSEE SHALL NOT ASSIGN, TRANSFER, PLEDGE OR OTHERWISE DISPOSE OF THIS LEASE AGREEMENT, ANY LEASE [ILLEGIBLE] OR ANY OF ITS RIGHTS THEREUNDER NOR SUBLEASE OR LEND ANY OF THE EQUIPMENT TO ANY OTHER PERSON WITHOUT THE PRIOR WRITTEN CONSENT OF [ILLEGIBLE]. ANY PURPORTED ASSIGNMENT, TRANSFER, PLEDGE, OR OTHER DISPOSITION OF THIS LEASE AGREEMENT, ANY LEASE ORDER OR ANY OF LESSEE'S RIGHTS THEREUNDER, OR ANY PURPORTED SUBLEASE OR LENDING OF THE EQUIPMENT, WITHOUT LESSOR'S PRIOR WRITTEN CONSENT, AT LESSOR'S OPTION, SHALL BE VOID AND OF NO EFFECT. FOR THE PURPOSES OF THIS PARAGRAPH 11, ANY PURPORTED SALE OR OTHER TRANSFER OF A CONTROLLING OWNERSHIP INTEREST OF DUPLICATE LESSEE (WHETHER IN ONE TRANSACTION OR SERIES OF RELATED TRANSACTIONS) SHALL BE DEEMED AN ASSIGNMENT OF THE LESSEE'S RIGHTS HEREUNDER REQUIRING THE PRIOR WRITTEN CONSENT OF THE LESSOR. As to any permitted assignment or sublease, the following conditions shall apply:

ASSIGNMENT OR SUBLETTING BY LESSEE. After the second sentence add the following sentence: "Notwithstanding the foregoing, no consent of the Lessor shall be required for a purported sale or other transfer of a controlling ownership interest in the Lessee where the acquiring entity has a Standard & Poor's rating of BB+ or an equivalent Moodx'x xxxing."
ASSIGNMENT OR SUBLETTING BY LESSEE. Lessee shall not voluntarily assign this Lease, or assign an interest in the Lease or in the Title Plant, or sublet the Title Plant, without the express written consent of Lessor.
ASSIGNMENT OR SUBLETTING BY LESSEE. Lessee may assign all of the rights and benefits of this Lease, but Lessor shall not be obligated to any assignee of Lessee unless Lessor has given its prior written consent to such assignment. Lessor's consent to an assignment will not be withheld unreasonably.
ASSIGNMENT OR SUBLETTING BY LESSEE. Lessee will not mortgage, assign, transfer or otherwise encumber this Lease, or allow same to be assigned by operation of law or otherwise, or sublet site Premises or any part thereof, without site prior written consent of Lessor.
ASSIGNMENT OR SUBLETTING BY LESSEE. Lessee shall not assign this Lease or sublet the Leased Premises, in whole or in part, at any time during the term of this Lease or any extensions or renewals thereof, without the prior written consent of Lessor. However, any assignment of this Lease or subletting of the Leased Premises shall not in any way relieve Lessee from its obligation to fully comply with all terms and provisions contained herein, and any such assignment or subletting by Lessee shall require the Assignee or Sublessee to perform, jointly and severally with Lessee, each and every obligation of the Lessee hereunder. Neither this Lease nor any assignment, memorandum OF notice thereof shall be recorded by either party.
ASSIGNMENT OR SUBLETTING BY LESSEE. 1. a. Lessee shall not assign, sublease, transfer or encumber this Lease or any interest therein or grant any license, concession or other right of occupancy of the Premises or any portion thereof or otherwise permit the use of the Premises or any portion thereof by any party other than Lessee (any of which events is hereinafter called a "Transfer") without the prior written consent of Lessor, which consent shall not be unreasonably withheld or delayed. Consent by Lessor to one or more Transfers shall not operate as a waiver of Lessor's rights as to any subsequent Transfers.
ASSIGNMENT OR SUBLETTING BY LESSEE. Lessee shall not assign this Lease or any property, or assign any interest in the Lease or the Leased Property, or sublet any of the Leased Property without the express prior written consent of Lessor.
ASSIGNMENT OR SUBLETTING BY LESSEE. Delete the last sentence and paragraphs (a), (b) and (c) and insert the following in lieu thereof: "Notwithstanding anything to the contrary in this Section 11, in the event of a merger, sale of substantially all of the assets of Lessee or other reorganization involving Lessee, Lessor shall not withhold its consent to the assignment of this Lease Agreement or any Lease Order to the successor entity or purchaser of such assets if each of the following conditions precedent is satisfied:
