ASSIGNOR'S ENFORCEMENT RIGHTS. The Assignor shall have the right ----------------------------- and the duty to bring suit or other action in the Assignor's own name to maintain and enforce the Trademarks, the Trademark Registrations and the Trademark Rights. The Assignor may require the Agent to join in such suit or action as necessary to assure the Assignor's ability to bring and maintain any such suit or action in any proper forum if (but only if) the Agent is completely satisfied that such joinder will not subject the Agent or any Bank to any risk of liability. The Assignor shall promptly, upon demand, reimburse and indemnify the Agent for all damages, costs and expenses, including legal fees, incurred by the Agent pursuant to this (S)7.3.

The Assignor shall promptly, upon demand, reimburse and indemnify the Agent and the Banks for all damages, costs and expenses, including legal fees, incurred by the Agent and any of the Banks pursuant to this (S)6.

Each Assignor shall have the right and the duty to bring suit or other action in such Assignor’s own name to maintain and enforce the Trademarks, the Trademark Registrations and the Trademark Rights. Such Assignor may require the Lender to join in such suit or action as necessary to assure such Assignor’s ability to bring and maintain any such suit or action in any proper forum if (but only if) the Lender is completely satisfied that such joinder will not subject it to any risk of liability or if required by law or any order of any Court or tribunal. To the extent Lender does not join in any proceeding, Lender shall cooperate to the extent reasonably required by Assignors for purposes of Assignors’ enforcement rights as they relate to the Pledged Trademarks. Such Assignor shall promptly, upon demand, reimburse and indemnify the Lender for all damages, costs and expenses, including reasonable legal fees, incurred by Lender pursuant to this Section 7.3.

The Assignor shall have the right, with the consent of the Agent which shall not be unreasonably withheld, to bring suit or other action in the Assignor's own name to enforce the Patents and the Patent Rights; provided, however, so long as no Event of Default shall have occurred and is continuing, nothing in this §6.3 shall require the Assignor to take such action if the taking of such action is not in the Assignor's reasonable judgment desirable in the conduct of its business and the failure to take such action does not have a Material Adverse Effect. The Agent shall be required to join in such suit or action as may be necessary to assure the Assignor's ability to bring and maintain any such suit or action in any proper forum so long as the Agent is completely satisfied that such joinder will not subject the Agent or any of the Banks to any risk of liability. The Assignor shall promptly, upon demand, reimburse and indemnify the Agent and the Banks for all damages, costs and expenses, including legal fees, incurred by the Agent and any of the Banks pursuant to this §6.

The Assignor shall have the right and the duty (to the extent determined by the Assignor in its reasonable business judgment to be advisable) to bring suit or other action in the Assignor's own name to maintain and enforce the Trademarks, the Trademark Registrations, the Trademark Rights and the Trademark License Rights. The Assignor may require the Agent to join in such suit or action as necessary to assure the Assignor's ability to bring and maintain any such suit or action in any proper forum if (but only if) the Agent is completely satisfied that such joinder will not subject the Agent or any Bank to any risk of liability. The Assignor shall promptly, upon demand, reimburse and indemnify the Agent for all damages, costs and expenses, including legal fees, incurred by the Agent pursuant to this §7.3.
ASSIGNOR'S ENFORCEMENT RIGHTS. Each Assignor shall have the right, with the consent of the Lender, which consent shall not be unreasonably withheld, to bring suit or other action in such Assignor’s own name to maintain and enforce the Domain Name Collateral, the Domain Name License Rights and the Domain Name Rights. The Lender shall be required to join in such suit or action as may be necessary to assure such Assignor’s ability to bring and maintain any such suit or action in any proper forum so long as the Lender is completely satisfied that such joinder will not subject it to any risk of liability or if required by law or any order of any Court or tribunal. To the extent Lender does not join in any proceeding, Lender shall cooperate to the extent reasonably required by Assignors for purposes of Assignors’ enforcement rights as they relate to the Domain Name Collateral. Such Assignor shall promptly, upon demand, reimburse and indemnify the Lender for all damages, costs and expenses, including reasonable legal fees, incurred by the Lender pursuant to this Section 6.
ASSIGNOR'S ENFORCEMENT RIGHTS. The Assignor shall have the right and the duty, consistent with its reasonable business judgment, to bring suit or other action in the Assignor's own name to enforce the material Pledged Patents and the material Patent Rights. The Administrative Agent shall be required to join in such suit or action as may be necessary to assure the Assignor's ability to bring and maintain any such suit or action in any proper forum so long as the Administrative Agent is completely satisfied that such joinder will not subject the Administrative Agent or any Lender to any risk of liability. The Assignor shall be excused from its obligations and duties under this (S)6.3 if the Administrative Agent refuses to join the suit or action. The Assignor shall promptly, upon demand, reimburse and indemnify the Administrative Agent and the Lenders for all out-of-pocket damages, costs and expenses, including reasonable legal fees, incurred by the Administrative Agent and any Lender pursuant to this (S)6.

The Bank shall be required to join in such suit or action as may be necessary to assure the Assignor's ability to bring and maintain any such suit or action in any proper forum so long as the Bank is completely satisfied that such joinder will not subject the Bank to any risk of liability. The Assignor shall promptly, upon demand, reimburse and indemnify the Bank for all damages, costs and expenses, including legal fees, incurred by the Bank pursuant to this Section 6.
